RESOLUTION
APPROVE AND ACCEPT AN EASEMENT DEED FROM BORAL BRICKS, Inc.
WHEREAS, the Augusta-Richmond County Commission has been petitioned to approve
an Easement Deed from Boral Bricks, Inc. for the Doug Barnard Water Main Project (10158), a
copy of which is attached hereto as Exhibit A; and
WHEREAS, the Augusta-Richmond County Commission has elected to approve said
Easement Deed; and
WHEREAS, it is appropriate for approval of the Easement Deed by the Augusta-
Richmond County Commission be shown by execution of said Easement Deed;
NOW, THEREFORE, it is hereby resolved as follows:
1. The Augusta-Richmond County Commission does hereby approve the Easement
Deed.
2. It is further determined that the Mayor of Augusta, Georgia shall execute the
Easement Deed, a copy of which is attached hereto as Exhibit A.
This Resolution shall be recorded in the Minutes of the Augusta-Richmond County
Commission, accompanied by the exhibits referred to herein.
Duly adopted by the Augusta-Richmond county Commission, this 3rd day of February
2009.

THIS INDENTURE (this -Indenturej made and entered into t~day of ~.i'~2008,
between Borel Brieklt Inc., a Georgia corporation, flkla Georgia Carolina Brick & Tile Company
("Owne"'), and Augusta. Georgia, a political subdivision under the laws of the state of Georgia
("Augusta,;
WIlNESSETH, that Owner, for and in consideration of the sum of ONE DOLlAR ($1.00) in hand
and truly paid by Augusta at and before the sealing and delivery of these presents, and other valuable
consideration, the receipt whereof ;s hereby acknowledged, has granted, bargained, sold, conveyed and
confinned, and by these presents does grant, bargain, seg, convey and confinn unto Augusta, ils
successors and assigns, an exclusive utility, maintenance and access easement in P9fP9tuity under,
across and through the hereinafter described parcel of land (the "Permanent Easement").

Said easement consists of 38,203 square feet, more or less, 8S shown on a plat, sheet numbers
2, 3, 4, 5 and 6, prepared by W. R. Toole Engineers, Inc., dated February 19, 2008, all sheets being
attached as Exhilit A hereto and made a part hereof, to which reference is made for a more accurate and
complete description of the metes, bounds and courses, and being for the purpose of accessing, laying,
adding, relaying, expanding, installing, extending, operating, repairing and maintaining pipelines
transporting and carrying utility serviceS, all in conjunction with the construction and operatiOn of the Doug
Barnard Parkway Water Main (the "Projecr).
Owner does also grant unto Augusta a temporary easement consisting of 24,242 square feet,
more 0( less, as shown on said plat (the "Temporary Construction Easement"; the Pennanent Easement
and the Temporary Construction Easement, collectively, shall be hereinafter referred to as the
-Easementj. The Temporary Construction Easement is granted together with the right to dig such
trenches, to pile thereon the material excavated, and to haul pipe, supplies and equipment connected
with the construction and maintenance thereof, over, along and across the Temporary Construction
Easament, as may be neC4lssary for the Project. The Temporary Construction Easement shall expire at
the completion and final acceptance of this pipeline by Augusta.
Owner does also grant, bargain, sell and convey unto Augusta, its successolS and assigns, the
right, but not the duty, to clear, and keep clear, all trees, undergrowth and other obstructions from the
pennanent Easement. along with the free right of ingress and egress to and from the Permanent
Easement for this purpose and all other purposes stated herein.

Owner does agree that no other utilities may be constructed within the Permanent Easement
except by written permission, nol to be unreasonably withheld. of the Augusta Utilities Department, a
department of Augusta, Georgia.
Augusta does agree that it will, during the course of the construction of the Project. at its sole
expense, lay a tee, with stub out and plug, as depicted in Exhibit B attached hereto and by this reference
made a part hereof. at the private entrance to OWner's Boral Bricks plant or other such location as
determined by the Owner, for the possible future construction of a water line and fire hydrant by Owner or
its successors or assigns.
Owner, its successors, heirs, assigns and legal representatives, aher the completion of this
Project, shall have the ri~ to use the Permanent Easement in any maMer not inconsistent or interfering
with the rights herein granted. excludino. however, l'Ie right 10 plant thereon any trees or other vegetation
that may interfere w~h the laying, relaying, installing, extending, operating, repairing and maintaining of
pipelines transporting and carrying utility services and the right to erect. construct or maintain thereon any
buildings. structures, or other permanent Improvements; Drovlded. however, that Owner may install
fencing or construct drive aisles, curbs and parking areas In the Pennanent Easement.
Augusta does agree that the sole and exclusive obligation for the oonstruction, operation,
maintenance, repair, replacement and removal ("\Vor1() of the Project, and the costs associated
therewith, shall be the responsibility of Augusla. All Work shall be performed In a good, wol1cmanllke
manner using reputable contractors. During any WOO<, Augusta shall (i) use reasonable efforts not to
disrupt or Interfere with Owner's use of the Permanent Easement or with Its business operations, and (ll)
in connection with any Work, restore the areas affected thereby to as close to the condition that existed
prior to the perfonnance of such maintenance or construction as is reasonably poss;bIe. Owner shall
have no obligation to construct, maintain, improve or repair the Easement. Notwithstanding anything
herein to the contrary and in no way limiting any of Owner's rights provided herein, Augusta does agree
that (i) Owner shall have unrestricted access to its business entrances during business hour&, the
specifics of which shall be determined III the 80le discretion of the Owner and provided to Augusta upon
request, and (ii) Augusta shall minimize disruption to Owner's fenced trucking yard, use best efforts to
keep at all times such yard as secure as it was prior to the beginning of any Work, and after the
completion of Work in the yard area. restore the fencing to equal or better condition and quality as existed
prior to the commencement of such Wolt.

It is understood by Owner that Augusta, Georgia, and the Augusta Utilities Department, as a
division of the sane. are self-Insured.
Augusta does agree to deliver to Owner, prior to conducting any activities on the Easement, a
certificate (or certificates) of insurance evidencing insurance coverage for any and all of AuguSla'8
contractors or subcontractOl'8 providing servtces for the Project of the following types and with the
following limits:

To the extent pennltted by law, Augusta does agree to and shall defend, indemnify and hold
Owner harmless from and against any and all claims, causes of action, liabilities, losses, costs, damages
and expenses, including, without limitation, reasonable and actual attomeys' fees, incurred or suffered by
Owner by reason of, or arising out of, Augusta's negligence or wiDful misconduct or Augusta's use of and
work within the Easement.
It Is acknowledged by the parties hereto that Owner has executed this Indenture at the request of
and as an accommodation to Augusta. Augusta does hereby release and discharge Owner from any and
all iability, claim or demand which Augusta may have or claim to have, now or hereafter, against Owner
arising out of, or in any manner associated with, this Indentlxe or the Easement, except any liability, claim
or demand arising out of Owner's negligence or willful misconduct after the date hereof.
My notices required or pennitted to be given under this Indenture must be in writing and shall be
sent to the address set forth below (or any other address which Is provided by one party to lhe other by
notice pursuant to this provision) and must be given by United States man, certified, return receipt
requested, by overnight courier BeMce or by hand delivery. Any notice shall be deemed effective only
upon actual receipt, but rejection or refusal by the addressee to accept delivery or the Inability to
accomplish delivery because the party can no longer be found at the current notice address shall be
deemed actual receipt.
