EASEMENT DEED

THIS INDENTURE made and entered into this irl-day of ~~ 20c:l. between Atlanta
Gas Light Company, hereinafter referred to as AGL, and Augusta, Georgia, a political subdivision
under the laws of Georgia, hereinafter referred to as AUGUSTA;
WITNESSETH, that AGL, for and in consideration of the sum of ONE DOLLAR ($1.00) in hand
and truly paid by Augusta at and before the sealing and delivery of these presents, and other valuable
consideration, the receipt whereof is hereby acknowledged, has granted, bargained, sold, conveyed and
confirmed, and by these presents does grant, bargain, sell, convey and confirm unto Augusta, its
successors and assigns, an exclusive utility, maintenance and access easement in perpetuity under,
across and through the hereinafter described parcel of land.
To FIND the point of beginning, commence at the intersection of the western right-of-way of Doug
.Barnard Parkway and the southeastern most right-of-way of Lumpkin Road; thence turning and traveling
S 260-46'-24" E for a distance of6.89 feet to a point; thence turning and traveling S 550-40'-15" W for a
distance of2.57 feet to the Point Of Beginning; thence turning and traveling S 250-48'-03" E for a
distance of 109.56 feet to a point; thence turning and traveling along a curve having an arc length of
110.82 feet, radius of4,032.88 feet, chord bearing S 260-02'-41" E and a chord length of 110.83 feet to a
point; thence turning and traveling S 030-49'-53" E for a distance of39.06 feet to a point; thence turning
and traveling S 290-32'-22" E for a distance of18.17 feet to a point; thence turning and traveling S 550-
44'-56" W for a distance of 15.05 feet to a point; thence turning and traveling N 290-32'-22" W for a
distance of22.83 feet to a point; thence turning and traveling N 030-49'-53" W for a distance of38.31
feet to a point;. thence turning and traveling N 250-48'-03" W for a distance of 215.76 feet to a point;
thence turning and traveling N 690-19'-53" W for a distance of 0.77 feet to a point; thence turning and
traveling N 550-40'-15" E for a distance of 15.70 feet back to the Point of Beginning and said permanent
utility, maintenance and access easement contains 4,189 square feet (0.10 Ac.) as substantially shown on
a plat prepared for the Augusta-Richmond County Commission Augusta, Georgia, prepared by W.R.
Toole Engineers, Inc., dated April 1 0, 2006, revised November 17, 2006, which is attached hereto and
incorporated herewith. Said easement being for the purpose of laying, relaying, installing, adding,
expanding, extending, operating, repairing and maintaining pipelines transporting and carrying utility
services.
AGL does also grant unto Augusta a temporary easement consisting of 4,818 Square Feet, as
shown on said plat. Said easement is granted together with the right to dig such trenches in said parcel of
land as may be necessary for the Project, to pile. thereon the material excavated, and to haul pipe,
supplies and equipment connected with the construction and maintenance thereof, over, along and
across the said parcel of land. Said temporary easement shall expire at the completion and final
acceptance of the pipelines by Augusta.

AGL does also grant, bargain, sell and convey unto Augusta, its successors and assigns, the
right, but not the duty to clear, and keep clear, all trees, undergrowth and other obstructions from said
permanent easement, along with the free right of ingress and egress to and from said permanent
easement for this purpose and all other purposes set forth herein.
AGL does agree that no other utility may be constructed within the aforesaid easement in
perpetuity except by written permission of the Augusta Utilities Department.
AGL, its successors, heirs, assigns and legal representatives, after the completion of this Project,
shall have the right to use said parcel of land in any manner not inconsistent or interfering with the rights
herein granted, excludino, however, the right to plant thereon any trees or other vegetation that may
interfere with the laying, relaying, installing, extending, operating, repairing and maintaining of pipelines
transporting and carrying utility services and the right to erect, construct or maintain thereon any
buildings, structures, or other permanent improvements.
TO HAVE AND TO HOLD the aforesaid rights, ways, easements, privileges and appurtenances
unto Augusta, its successors and assigns, in perpetuity.
PROVIDED, however, that this conveyance is made by AGL upon the following conditions:
1. Augusta shall give AGL at least seventy-two (7~rs' advance notice before entry upon the
property for this project and all future maintenance by contacting 'iYJ JL.!J. ~~..rwhose telephone

2. AGL shall give Augusta at least seventy-two (72) hours' advance notice before entry upon the
property to work on its pipelines, or other facilities, near Augusta's pipelines, by calling 800-482-7411.
3. Augusta will not permanently remove any cover from AGL's pipelines.
4. Augusta's pipeline is to cross AGL's pipelines as near to ninety (90) degrees as practical. In the
event that AGL's gas pipeline(s) is moved, or replaced, said pipeline(s) will be moved, or replaced, in such a
manner so as to cross Augusta's pipeline as near to ninety (90) degrees as practical.
5. If boring under AGL's gas pipelines is necessary, said gas pipelines must be exposed by hand
and a representative of AGL's local district office must be present prior to the commencement of the bore operation.
6. If boring under Augusta's pipelines is necessary, said pipelines must be exposed by hand and a
representative of the Augusta Utilities Department must be present prior to the commencement of the bore
operation.

7. Both parties agree that, whether Augusta's pipelines cross under or over AGL's gas pipelines, a
24-inch separation shall be maintained between Augusta's pipelines and AGL's pipelines.
8. Both parties agree that neither party shall install, or move, their respective pipelines so that the
joints of any of the pipelines come within a five (5) foot radius of another pipeline.
