WHEREAS, Gibbs Auto Wrecking Company, Inc. is presently in a Chapter 11 bankruptcy proceeding in the United States District Court for the Southern District of Georgia, Augusta Division, Chapter 11 Case No.: 02-1 0704-JSD and Gibbs Auto Wrecking Company, Inc. desires to sell to Augusta, Georgia, a political subdivision of the State of Georgia, acting by and through the Augusta-Richmond County Commission, and Augusta, Georgia, a political subdivision of the State of Georgia, acting by and through the Augusta-Richmond County Commission desires to purchase from Gibbs Auto Wrecking Company, Inc. a certain parcel of real property more fully described on "Exhibit A" attached hereto, and such proposed sale having been properly noticed to approved by Order of John S. Dalis, Chief Judge, United States Bankruptcy Court, at a hearing before the Court on June 27, 2002, BE IT RESOLVED that in consideration of no less then $182,400.00, Gibbs Auto Wrecking Company, Inc., may sell to Augusta, Georgia, a political subdivision of the State of Georgia, acting by and through the Augusta-Richmond County Commission, real property more fully described in the attached Schedule A - Property Description. BE IT FURTHER RESOLVED, that John Gibbs, III as President of Gibbs Auto Wrecking Company, Inc., is hereby authorized and directed to take all steps necessary for the consummation of the transaction described in this resolution and to accomplish this purpose.
