hereinafter referred to as the Party of the First Part, and Augusta, Georgia, a
political subdivision under the laws of the State of Georgia, hereinafter referred to
as the Party of the Second Part;
WITNESSETH
THAT THE PARTY OF THE FIRST PART, for and in consideration of the
sum of FIVE DOLLARS ($5.00) in hand and truly paid by the Party of the Second
Part, at and before the sealing and delivery of these presents, and other valuable
consideration, the receipt whereof is hereby acknowledged, has granted,
bargained, sold, conveyed and confirmed, and by these presents does grant,
bargain, sell, convey and confirm unto the Party of the Second Part, its
successors and assigns, the hereinafter described parcel of land:
All that tract or parcel of land, situate, lying and being in the State of Georgia,
,County of Richmond, consisting of 11.92 Acres, more or less, and being
designated as Tract "C," as shown on a plat prepared by Harbin & Harbin, dated
December 21, 2001, attached hereto and made a part hereof, to which reference
is made for a more accurate and complete description of the metes, bounds and
courses.
Also, all that tract, or parcel of land, situate, lying and being in the State of
Georgia, County of Richmond, consisting of 0.24 Acre, more or less, and being
designated as Tract "8" on said Ply? ~

Both tracts, or parcels of land, being portions of that conveyed by John T. Gibbs,
Jr. and Nelle B. Gibbs, to Gibbs Auto Wrecking Company by Warranty Deed
dated the 4th of November 1996 and recorded in the Office of the Clerk of the
Superior Court of Richmond County, Georgia, in Realty Reel 540, Page 547.
TO HAVE AND TO HOLD the said parcel of land, together with all and
singular the rights, members and appurtenances thereof, belonging or in anywise
appertaining, to the Party of the Second Part, its successors and assigns, forever
in fee simple.
AND THE PARTY OF THE FIRST PART, their heirs, assigns and legal
representatives shall and will forever warrant and forever defend the right and
title to the above described property, unto the Party of the Second Part, its
successors and assigns, against the claims of all persons whomsoever.
IN WITNESS WHEREOF, Owner has set their hand and seal, the day and

CERTIFICATE OF RESOLUTION
The Undersigned hereby certifies that he is the President of Gibbs Auto Wrecking Company,
Inc., and that the following is a true and correct copy of the resolution adopted by all shareholders
of Gibbs Auto Wrecking Company, Inc., on August 23, 2002, and that, as of the date hereof, said
resolution has not been modified or amended and is in full force and effect.
WHEREAS, Gibbs Auto Wrecking Company, Inc. is presently in a Chapter 11
bankruptcy proceeding in the United States District Court for the Southern District
of Georgia, Augusta Division, Chapter 11 Case No.: 02-1 0704-JSD and Gibbs Auto
Wrecking Company, Inc. desires to sell to Augusta, Georgia, a political subdivision
of the State of Georgia, acting by and through the Augusta-Richmond County
Commission, and Augusta, Georgia, a political subdivision of the State of Georgia,
acting by and through the Augusta-Richmond County Commission desires to
purchase from Gibbs Auto Wrecking Company, Inc. a certain parcel of real property
more fully described on "Exhibit A" attached hereto, and such proposed sale having
been properly noticed to approved by Order of John S. Dalis, Chief Judge, United
States Bankruptcy Court, at a hearing before the Court on June 27, 2002,
BE IT RESOLVED that in consideration of no less then $182,400.00, Gibbs Auto
Wrecking Company, Inc., may sell to Augusta, Georgia, a political subdivision of the
State of Georgia, acting by and through the Augusta-Richmond County Commission,
real property more fully described in the attached Schedule A - Property Description.
BE IT FURTHER RESOLVED, that John Gibbs, III as President of Gibbs Auto
Wrecking Company, Inc., is hereby authorized and directed to take all steps
necessary for the consummation of the transaction described in this resolution and
to accomplish this purpose. All such documents shall be of such form and content
as approved by the President of Gibbs Auto Wrecking Company, Inc., which
approval shall be conclusively evidenced by the signature of said President on any
such document. All documents shall be executed on behalf of Gibbs Auto Wrecking
Company, Inc. , by its President.
