NOW, THEREFORE, for and in consideration of the sum of Ten and no /100 ($10.00) Dollars, to it in hand well and truly paid by Grantee and before the sealing and delivery of these presents, the receipt of which is hereby acknowledged, and for the further consideration of the benefits to the Shopping Center by the maintenance of the New System, the parties hereto agree as follows: Grantor does by these presents, grant, bargain, sell and confirm unto Grantee, its successors and assigns, an easement in perpetuity under, across and through the Shopping Center in the location depicted for the New System, together with all of the necessary rights of ingress and egress for the purpose of maintaining the described New System. This indenture is subject to any utility easements, encumbrances or other matters of record which have been granted in the past, including all telephone lines, gas lines, or power lines for the transmission of electricity, and Grantor herein reserves an easement over the New System herein conveyed for the purpose of maintaining and installing power lines for the transmission of electricity, telephone lines, and gas lines for the purpose of serving the Shopping Center and the property adjacent thereto. Any such maintenance and installation shall be coordinated through Grantee by notifying Grantee's Augusta Utilities Department, Land Acquisition Section at least three (3) business days in advance. Said easements being in the nature of a right -of -way for the purposes of laying, relaying, installing, operating, repairing and maintaining pipelines transporting and carrying water and sanitary sewerage. Grantee shall maintain the above described New System. Grantee will have the right, when construction or maintenance is necessary, to dig trenches within the New System area as may be necessary to maintain and repair such water distribution and sanitary system; to pile thereon the material excavated, and to haul pipe, supplies and equipment connected with the construction and maintenance thereof, over, along, and across the Shopping Center, along with the free right of ingress and egress to and from the New System for these purposes. Grantor, its successors, legal representatives, and assigns, does also grant, bargain, sell and convey unto Grantee, its successors and assigns, the right, but not the duty, to clear, and keep clear, all trees, undergrowth and other obstructions within the New System, along with the free right of ingress and egress to and from the New System for these purposes. Grantor, its successors, assigns and legal representatives, shall have the right to use the Shopping Center in any manner not inconsistent or interfering with the rights herein granted. To have and to hold said water distribution and sewerage system, together with all and singular, the rights, members, appurtenances thereof to the same being, belonging, or in anywise appertaining to the only proper use, benefit and behoof of Grantee, its successors and assigns. -2 1668449v6 j Book 01256:0963 Augusta - Richmond County 2010019779 04/20/2010 11:18:26.00 Grantee does hereby quitclaim, release and convey to Grantor, its successors and assigns, all of its right, title and interest in and to such portion of the Old System that has been relocated by the New System. Book 01256:0983 Augusta - Richmond County ' 2010019779 04/20/2010 11:18:26.00 ADDENDUM TO DEED OF DEDICATION Notwithstanding anything to the contrary in the attached document: Grantee agrees to use due care in any use of the easements herein granted and in the construction, installation, repair, replacement and maintenance either Grantee's improvements or the easement area as provided for herein so as not to unreasonably disturb Grantor's use of its property. Grantee agrees to return the easement area to its condition which existed prior to the installation, maintenance or repair of any of its improvements in the easement area by Grantee, including but not limited to the replacement of any sod, landscaping, paving or other improvements that existed within the easement area prior to such installation. To the extent allowed by law, Grantee will forever waive and hold Grantor harmless for, and defend Grantor against, any claims, losses, causes of action, and suits which arise from Grantee's, its agents', employees' or invitees' acts or omissions, including but not limited to the use of the easement herein granted and will indemnify Grantor and Grantor's tenants for any losses suffered due to any such claims, losses, causes of action or suits. The easement granted hereunder is a permanent easement and will continue in full force and effect so long as the easement is used by the Grantee, its successors and assigns. Notwithstanding the foregoing, Grantor shall have the right, at its sole cost and expense, to relocate said easement and the improvements located therein, upon Grantor's property with Grantee's prior written consent, such consent not to be unreasonably withheld, conditioned or delayed. Any improvements that are relocated pursuant to this provision shall be constructed in compliance with the then applicable rules, standards and regulations of Augusta, Georgia, and dedicated to Augusta upon the expiration of any applicable warranties. Following the dedication to and acceptance of the improvements by Grantee, upon the written request of Grantor, Grantee shall in a timely manner release and extinguish all of its rights in the abandoned easement which was granted pursuant to this easement. Grantee will use all caution not to interfere with Grantor's business operations while utilizing this easement. In exercising any rights and privileges under this easement, Grantee shall comply fully with any federal, state or local laws, regulations, ordinances, permits or other authorizations or approvals or other requirements relating to storm water discharges or the control of erosion or sediment discharges from construction projects, including but not limited to the Clean Water Act, 33 U.S.C. § 1251 et seq., and the Storm Water General Permit for Discharges Associated with Construction Activities (collectively the "Storm Water Requirements "). 1668449v6 t 14 1 Book 01256:0984 Augusta - Richmond County • 2010019779 04/20/2010 11:18:26.00 Grantee shall secure, maintain and comply with all required licenses, permits and certificates relating to, or otherwise necessary or appropriate for, the construction, installation, repair, replacement and maintenance of either Grantee's improvements or the easement area as provided for herein. Grantee shall comply with any and all applicable federal, state and local laws, rules, regulations, statutes, codes, orders and ordinances, including, but not limited to, those governing the prevention, abatement and elimination of pollution and /or protection of the environment and the employment of its workers. Grantee shall use commercially reasonable efforts to (i) comply in all respects with all immigration laws, statutes, rules, codes and regulations, (ii) properly maintain all records required by the United States Citizenship and Immigration Services (the "USCIS "), including, without limitation, the completion and maintenance of the Form I -9 for each of Grantee's employees, and (iii) respond in a timely fashion to any inspection requests related to such I -9 Forms. Grantee shall fully cooperate in all respects with any audit, inquiry, inspection or investigation that may be conducted by the USCIS of Grantee or any of its employees. Grantor may, in its sole discretion, terminate this easement immediately if, at any time during the term, (x) Grantee violates or is in breach of any provision of this paragraph or (y) the USCIS determines that Grantee has not complied with any of the immigration laws, statutes, rules, codes and regulations of the United States.
