THIS CONVEYANCE made and executed the 31st day of AURUst
,2000
WITNESSETH that Courtyard bv Marriott Limited Partnership, the undersigned, is the owner of a
tract of land in RlCHMOND COUNTY, through which Stevens Creek Road, known as Stevens Creek Road, has
been laid out by Southern Partners, Inc.. being more particularly described in a map and drawing of said project
in the Augusta Utilities Department, to which reference is hereby made.
NOW, THEREFORE, in consideration of the benefit to said property by the construction and maintenance
of said project, and in consideration of ONE DOLLAR ($1.00), in hand paid, the receipt whereof is hereby
acknowledged, the undersigned does hereby grant, sell and convey to Augusta, Georgia, a political subdivision of
the State of Georgia, and their successors in office, so much land (as hereinafter described) as to make a right-of-way
for said project as surveyed.
SAID right-of-way is hereby conveyed in fee simple, consisting of 0.053 acre (2,325.98 sq. ft.) . more or
less, as shown on a drawing of the property prepared by Southern Partners, Inc., dated June 26. 1998 , and revised
January 11. 2000, attached hereto and made a part of this description; subject, however, to all existing easements,
rights-of-way and other matters of record as of the date hereof, if any, insofar as they may lawfully affect said
property.
TO HA VE AND TO HOLD the said conveyed premises in fee simple.
I hereby specially warrant that I have the right to sell and convey said land and bind myself, my heirs,
executors and administrators forever to defend by virtue of the~e presents.

Legal Description of Right-of-Way Property Conveyed
All that tract or parcel of land, situate, lying and being on Stevens Creek
Road in Augusta, Georgia, containing 0.053 acre as shown on a plat prepared by
Southern Partners, Inc., dated June 26, 1998, and revised September 21, 1998.
Said properly being further described to wit:
Beginning at a point on the southeast corner of the property, said point
being the intersecting point of the right-of-way of Stevens Creek
Road. Thence, S 690 56' 14" W along the existing right-of-way line
for a distance of76.70 feet, to a concrete monument; thence, S 690 56'
14" VI along the existing right-of-way line for a distance of 82.00 feet
to a point; thence, N 640 45' 41" E for a distance of 100.27 feet to a
point; thence, N 430 04' 52" E for a distance of 55.44 feet to a point;
thence, N 250 36' 07" E for a distance of 10.63 feet to a 'point; thence,
N 440 51' 34" W for a distance of 23.99 feet to a point; thence, N 250
38' 32" E for a distance of 25.00 feet to a point; thence, S 15046' 32"
E along the existing right-of-way line of Stevens Creek Road for a
distance of 80.98 feet back to the point of beginning.

TEMPORARY CONSTRUCTION EASEMENT AGREEMENT
GEORGIA, RICHMOND COUNTY
PROJECT: Stevens Creek Road
TillS TEMPORARY CONSTRUCTION EASEMENT AGREEMENT (this "Agreement") is
made and executed the 31st day of AU2Ust , 2000 by COURTYARD BY MARRIOTT
LIMITED PARTNERSHIP ("Grantor") for the benefit of AUGUSTA, GEORGIA ("Grantee")..

WHEREAS, Grantor is the owner of record of certain real property ("Grantor's Property") located in
RICHMOND COUNTY, through or adjacent to which a project known as the Stevens Creek Road Project (the
"Project) has been laid out by Southern Partners, Inc., being more particularly described in a map and drawing
of said Project in the Augusta Utilities Department, to which reference is hereby made;
WHEREAS, in connection with the Project, Grantee is desirous of obtaining from Grantor, and
Grantor is desirous of granting and conveying to Grantee, a temporary construction easement over and through
a portion of Grantor' s Property consisting of approximately eleven thousand six hundred one and seventy-eight
one hundredths (11,601.78) square feet of land (the "Easement Area"), as shown on a drawing of the property
prepared by Southern Partners, Inc., dated June 26. 1998, and revised January 1 L 2000 , attached hereto
and made a part of this description; and
WHEREAS, the undersigned desires to set forth herein its agreements and understandings with
respect to the foregoing and other related matters.
NOW, THEREFORE, in consideration of the foregoing, the mutual covenants and conditions herein
contained and other good and valuable consideration, the receipt and sufficiency of which are hereby
acknowledged and confirmed, the parties hereto agree as follows:
1. Grant of Easement. Subject to the obligations of Grantee set forth herein, Grantor hereby
grants and conveys to Grantee and its agents and contractors a temporary construction easement (the
"Easement") over and through the Easement Area for the purpose of access, operation of equipment, and other
construction or other activities that may be reasonably necessary in connection with the Project.

2. Use. Maintenance and Restoration. Grantee and its agents and/or contractors shall: (i) exercise
any rights granted hereunder in a manner reasonably designed to minimize interference with the use by Grantor
of the balance of Grantor's Property; (ii) provide reasonable notice to the General Manager of the hotel located
on Grantor's Property (the "Hotel") prior to the commencement of any work in or on such property and
coordinate with such General Manager with respect to the timing of any such work; (iii) perform all activities
authorized hereunder with care and in accordance with all applicable local, state and federal laws, ordinances,
codes, rules and regulations; and (iv) except as modified by any improvements or as otherwise contemplated
hereby, promptly cause the Easement Area and any other affected portion of Grantor's Property to be restored
to substantially the same physical condition as existed immediately prior to the entry therein or thereon by
Augusta, Georgia or its agents and contractors.
3. Insurance. Grantee shall cause any and all of its contractors or other agents entering into or
onto Grantor's Property to provide and maintain, at its or their sole cost and expense, (i) worker's compensation
insurance governing their employees, including employer's liability which complies with the applicable
workers' compensation laws, and (ii) comprehensive general liability insurance, including contractual liability
for bodily injury or property damage.
4. Liability. Grantee sha1l cause any and a1l of its contractors or other agents entering into or
onto Grantor's Property to be fully responsible and liable for any and all costs, expenses, liabilities, losses,
claims, damages, actions or causes of action, resulting from, arising out of, or related to any negligent acts or
omissions of such contractors or other agents in connection with the entry into or onto or the use of Grantor's
Property.
5. Termination. The Easement granted hereby shall become effective upon the commencement
of the above-referenced Project and shall terminate upon the earlier of (i) the date of completion of
construction of any improvements contemplated hereby, or (ii) the date which is twelve (12) months following
the date of commencement of the Project.
6. Binding Effect Governing Law. This Agreement shall be binding upon and shall inure to the
benefit of Grantor and Grantee and their respective successors and assigns. The laws of the State of Georgia
shall govern the validity, construction, enforcement and interpretation of this Agreement.
7. Entire Agreement. This document contains the entire agreement and understanding of the
undersigned with respect to the subject matter hereof. Any modification of the terms of this Agreement must
be in writing signed by the party against whom enforcement ofthe modification is sought.
