DUNNINGTON DEVELOPMENT, LLC, as party ofthe Second Part,
WITNESSETH:
That this conveyance is made pursuant to a Resolution duly adopted on December
13,2006, by the AUGUSTA, GEORGIA LAND BANK AUTHORITY authorizing the sale
of property hereinafter described and authorizing the conveyance of said property (a copy of
said Resolution being attached hereto as Exhibit "B").
That the said party of the First Part, for and in consideration of the sum of Ten
Dollars and other good and valuable consideration, in hand paid, at and before the sealing
and delivery of these presents, the receipt of which is hereby acknowledged, has granted,
bargained, sold and conveyed, and by these presents does grant, bargain, sell and convey
unto the said party of the Second Part, its successors and assigns, the following described

consolidated into a consolidated city-county government known as Augusta-Richmond
County by an act of the Georgia Legislature passed in 1995 with the consolidation of said
governments being effective January 1, 1996; and
WHEREAS, said consolidated government is now known as AUGUSTA,
GEORGIA and is a political subdivision of the State of Georgia.

reference being made to said plat for a more complete and accurate description as to the
metes, bounds and location of said properties.
Augusta, Georgia shall also retain a ,twenty (20) foot easement over any and all existing
water and sewer pipelines and storm water drainage lines for which there is no easement
of record. Said easement(s) shall be held in perpetuity and are for.the purpose of laying,
relaying, installing, extending, operating, repairing, maintaining, and replacing pipelines
transporting a11d carrying utility services. Augusta, Georgia, its successors and assigns,
also retain the right, but not the duty, to clear and keep, clem' all trees, undergrowth and
other obstructions from said permanent easement(s), along with the free right of ingress
and egress to and from said permanent easement for these and the aforesaid purposes.
The Grm1tee, his heirs and assigns shall have the right to use said easement( s) in any
manner not inconsistent or interfering with the aforesaid purposes. The plm1ting of trees,
or other vegetation, on said permm1ent easement( s) that may interfere with the aforesaid
purposes is strictly prohibited. The use of said permanent easement(s) by anyone other

WHEREAS, the Augusta Commission (hereinafter "City" or "Augusta") lias approved
the transfer and sale of a port ion of the property commonly known as Map and Parcel 018-0-001-
00-0 and Map and Parcel 018-0-001-01-0 (previously misidentified as Map 018-0-001-00)
shown Parcel A containing 1.66 acres and Parcel C containing 7.67 acres, on a plat prepared by
Southern Land Surveyors, Inc. for Dunnington Development, LLC and 'the Augusta-Richmond
Board of Commissioners dated June 26, 2006 (the "Property"), to the Augusta, Georgia Land'
Bank Authority (the "Land Bank), a copy of which is attached hereto and incorporated herein by
reference; and
WHEREAS, it is anticipated that the Land Bank will simultaneously sell the Property for
the sum of $25,000.00 per acre to an adjacent landowner, Dunnington Development, LLC; and
WHEREAS, such transfer is conditioned upon and contingent upon net sales proceeds
being delivered to Augusta, Georgia.
NOW THEREFORE, it is hereby resolved as follows:-
1. That a portion of the property commonly known as Map and Parcel 018-0-001-00-0
and Map andParcel 018..,0-001-01-0 (previously misidentified as Map 018-0-001-
00) shown as Parcel A containing 1.66 acres and Parcel C containing 7.67 acres, ona
plat prepared by Southern Land Surveyors, Inc. for Dunnington Development, LLC
and the Augusta-Richmond Board of Coinmissioners dated June 26, 2006 shall be
transferred to the Augusta, Georgia Land Bank Authority in consideration of the net

RESOLUTION TO AUTHORIZE SALE OF PROPERTY TO
DUNNINGTON DEVELOPMENT, LLC
WHEREAS, the Augusta Commission (hereinafter "City" or "Augusta") by resolution
dated December 5, 2006 approved the transfer and sale of a portion of the property commonly
known as Map and Parcel 018-0-001-00-0 and Map and Parcel 018-0-001-01-0 (previously
misidentified as Map 018-0-001-00) (the "Property"), to the Augusta, Georgia Land Bank
Authority (the "Land Bank"); and
WHEREAS, Dunnington Development, LLC has offered to purchase a portion of the
property commonly known as Map and Parcel 018-0-001-00-0 and Map and Parcel 018-0-001-
01-0 (previously misidentified as Map 018-0-001-00), said property being shown as Parcel A
containing 1.66 acres and Parcel C containing 7.67 acres, on a plat prepared by Southern Land
Surveyors, Inc. for Dunnington Development, LLC and the Augusta-Richmond Board of
Commissioners dated June 26, 2006, a copy of which is attached hereto and incorporated herein
by reference, for $25,000.00 per acre, and

WHEREAS, the transfer of such property from Augusta, Georgia was conditioned upon

NOW THEREFORE, it is hereby resolved as follows:
1. That the conveyance of a portion of the property commonly known as Map and
Parcel 018-0-001-00-0 and Map and Parcel 018-0-001-01-0 (previously
misidentified as Map 018-0-001-00) and shown as Parcel A containing 1.66 acres
and Parcel C containing 7.67 acres, on a plat prepared by Southern Land Surveyors,
Inc. for Dunnington Development, LLC and the Augusta-Richmond Board of

Commissioners dated June 26, 2006, is hereby accepted.

2. The contract from Dunnington Development, LLC to purchase said property for
$25,000.00 per acre is hereby accepted.
3. It is further resolved that the Chairman of the Augusta, Georgia Land Bank
Authority, and its Coordinator are authorized to execute a Limited Warranty Deed to
Dunnington Development, LLC and such other documentation as may reasonably be
required, in form approved by the Authority's Attorney, conveying all of the
Augusta, Georgia Land Bank Authority's interest in the property, to Dunnington
Development, LLC, subject to easements and restrictions of record.
4. That the net proceeds from the sale of the property shall be delivered to Augusta,
Georgia.
5. This Resolution shall be recorded in the Minutes of the Augusta., Georgia Land
Bank Authority, accompanied by the exhibits referred to herein.
Duly adopted by the Augusta, Georgia Land Bank Authority, this 13th day of
December, 2006.
