GA 30901 Book 01210:1698 Augusta - Richmond County 2009009490 03/20/2009 15:55:29.01 $0.00 EASEMENT 11111111111111111111111111I11111111111111111111111111111I111 2009009490 Augusta - Richmond County State of Georgia County of Richmond AUGUSTA, GEORGIA EASEMENT DEED PARCEL IDENTIFICATION NUMBER: 100-0-011-00-0 ADDRESS: 1475 Doug Barnard Parkway, Richmond County, Georgia ~ THIS INDENTURE (this "Indenture") made and entered into this~day of ~2008, between Boral Bricks Inc., a Georgia corporation, f/k/a Georgia Carolina Brick & Tile Company ("Owner"), and Augusta, Georgia, a political subdivision under the laws of the state of Georgia ("Augusta"); WITNESSETH, that Owner, for and in consideration of the sum of ONE DOLLAR ($1.00) in hand and truly paid by Augusta at and before the sealing and delivery of these presents, and other valuable consideration, the receipt whereof is hereby acknowledged, has granted, bargained, sold, conveyed and confirmed, and by these presents does grant, bargain, sell, convey and confirm unto Augusta, its successors and assigns, an exclusive utility, maintenance and access easement in perpetuity under, across and through the hereinafter described parcel of land (the "Permanent Easemenf'). Said easement consists of 38,203 square feet, more or less, as shown on a plat, sheet numbers 2, 3, 4, 5 and 6, prepared by W. R. Toole Engineers, Inc., dated February 19, 2008, all sheets being attached as Exhibit A hereto and made a part hereof, to which reference is made for a more accurate and complete description of the metes, bounds and courses, and being for the purpose of accessing, laying, adding, relaying, expanding, installing, extending, operating, repairing and maintaining pipelines transporting and carrying utility services, all in conjunction with the construction and operation of the Doug Barnard Parkway Water Main (the "Project"). Owner does also grant unto Augusta a temporary easement consisting of 24,242 square feet, more or less, as shown on said plat (the "Temporary Construction Easemenf'; the Permanent Easement and the Temporary Construction Easement, collectively, shall be hereinafter referred to as the "Easement"). The Temporary Construction Easement is granted together with the right to dig such trenches, to pile thereon the material excavated, and to haul pipe, supplies and equipment connected with the construction and maintenance thereof, over, along and across the Temporary Construction Easement, as may be necessary for the Project. The Temporary Construction Easement shall expire at the completion and final acceptance of this pipeline by Augusta. Owner does also grant, bargain, sell and convey unto Augusta, its successors and assigns, the right, but not the duty, to clear, and keep clear, all trees, undergrowth and other obstructions from the Permanent Easement, along with the free right of ingress and egress to and from the Permanent Easement for this purpose and all other purposes stated herein. , Book 01206: 13 ugusta-Richmond County 20090047980 /2009 16:48:38.00 Book 01210:1699 Augusta-Richmond -Coun~; ~~ 2009009490 03/20/2009 15:55:29.01 Owner does agree that no other utilities may be constructed within the Permanent Easement except by written permission, not to be unreasonably withheld, of the Augusta Utilities Department, a department of Augusta, Georgia. Augusta does agree that it will, during the course of the construction of the Project, at its sole expense, lay a tee, with stub out and plug, as depicted in Exhibit B attached hereto and by this reference made a part hereof, at the private entrance to Owner's Boral Bricks plant or other such location as determined by the Owner, for the possible future construction of a water line and fire hydrant by Owner or its successors or assigns. Owner, its successors, heirs, assigns and legal representatives, after the completion of this Project, shall have the right to use the Permanent Easement in any manner not inconsistent or interfering with the rights herein granted, excludina, however, the right to plant thereon any trees or other vegetation that may interfere with the laying, relaying, installing, extending, operating, repairing and maintaining of pipelines transporting and carrying utility services and the right to erect, construct or maintain thereon any buildings, structures, or other permanent improvements; orovided, however, that Owner may install fencing or construct drive aisles, curbs and parking areas in the Permanent Easement. Augusta does agree that the sole and exclusive obligation for the construction, operation, maintenance, repair, replacement and removal ("Work") of the Project, and the costs associated therewith, shall be the responsibility of Augusta. All Work shall be performed in a good, workmanlike manner using reputable contractors. During any Work, Augusta shall (i) use reasonable efforts not to disrupt or interfere with Owner's use of the Permanent Easement or with its business operations, and (ii) in connection with any Work, restore the areas affected thereby to as close to the condition that existed prior to the performance of such maintenance or construction as is reasonably possible. Owner shall have no obligation to construct, maintain, improve or repair the Easement. Notwithstanding anything herein to the contrary and in no way limiting any of Owner's rights provided herein, Augusta does agree that (i) Owner shall have unrestricted access to its business entrances during business hours, the specifics of which shall be determined in the sole discretion of the Owner and provided to Augusta upon request, and (ii) Augusta shall minimize disruption to Owner's fenced trucking yard, use best efforts to keep at all times such yard as secure as it was prior to the beginning of any Work, and after the completion of Work in the yard area, restore the fencing to equal or better condition and quality as existed prior to the commencement of such Work. It is understood by Owner that Augusta, Georgia, and the Augusta Utilities Department, as a division of the same, are self-insured. It is acknowledged by the parties hereto that Owner has executed this Indenture at the request of and as an accommodation to Augusta. Augusta does hereby release and discharge Owner from any and all liability, claim or demand which Augusta may have or claim to have, now or hereafter, against Owner arising out of, or in any manner associated with, this Indenture or the Easement, except any liability, claim or demand arising out of Owner's negligence or willful misconduct after the date hereof. Any notices required or permitted to be given under this Indenture must be in writing and shall be sent to the address set forth below (or any other address which is provided by one party to the other by notice pursuant to this provision) and must be given by United States mail, certified, return receipt requested, by overnight courier service or by hand delivery. Any notice shall be deemed effective only upon actual receipt, but rejection or refusal by the addressee to accept delivery or the inability to accomplish delivery because the party can no longer be found at the current notice address shall be deemed actual receipt.
