LEASE
THIS AGREEMENT, effective this -'- day of klAw 1996, between RICHMOND
COUNTY, GEORGIA, as Lessor, and AUGUSTA ARSENAL SOCCER CLUB, INC., a
Georgia corporation, as Lessee,
WITNESSETH
WHEREAS, Lessor has acquired the property which IS the subject of this lease by
warranty deed of even date herewith; and
WHEREAS, the parties desire to enter into a long-term lease to provide Lessee with the
right to operate the property for recreational, educational and other purposes;
NOW THEREFORE, in consideration of the foregoing and the representations,
warranties, covenants and agreements hereinafter set forth, the parties hereto agree as follows:
1. Lessor does hereby rent and lease to Lessee the property described in Exhibit A (hereinafter
referred to as the "premises").
2. The term of this lease shall be for a period of forty (40) years and from month-to-month
thereafter, commencing on the date of closing of the sales contract between the parties.
3. For the rental of the premises Lessee covenants and agrees to pay to Lessor the sum of One
Dollar ($1.00) per year, payable on the date shown above and on the anniversary of that date
each year thereafter. If default shall be made by the Lessee in the agreements, stipulations and
covenants, or any of them herein contained to be kept, observed, performed, or fulfilled by the
Lessee, including those covenants set forth in the" Augusta Area Classic and Premier Youth
Soccer Program Business Plan" attached hereto as Exhibit "B" (hereinafter the "Plan") and
said default shall continue for thirty (30) days after notice thereof in writing to the Lessee and
Lessee has failed to cure such breach so complained of, then the Lessor may at its option,
terminate this lease and take immediate possession of the rented premises, without waiving
any claims for damages for breach of the lease on the part of the Lessee.
4. The premises shall be used for recreational, and educational purposes. The premises shall not
be used for any illegal purposes, nor in violation of any valid regulation of any governmental
body, nor in any manner to create any nuisance or trespass.
5. Lessor shall pay for all water, gas, electricity, fuel, light, heat, and power and for all meters
required therefor for premises or used by Lessee in connection therewith. If Lessor does not
pay same, Lessee may pay the same and require reimbursement from Lessor for all charges
incurred, including penalties and late fees.
6. Lessor agrees to pay all real estate taxes and assessments on the premises.

7. Lessee agrees to pay all license and permit taxes and fees required in the use of the premises.
8. Lessee shall be solely responsible for any and all causes of action, claims or demands for
damages for personal injuries, or for loss, damage or injury to property, and any and all other
causes of action, claims, or demands of every kind and character, caused by or arising from
the use, occupancy or operation of the leased premises.
9. Lessee agrees to accept the premises as is with the understanding that Lessor shall construct
improvements on the property consistent with the property's use as a soccer facility, including
but not limited to engineering, grading and constructing soccer fields, in accordance with the
development and timetable outlined in "II. Field Development" of the Plan (attached as
Exhibit "B"). Lessor agrees to maintain the property in accordance with an annual
"Maintenance and Operations Plan" which shall be prepared by Lessee and submitted to
Lessor's Recreation Department for approval, which approval shall not be unreasonably
withheld and shall be binding upon Lessor. Lessor agrees that any fixtures installed by Lessee
may be removed by Lessee at the expiration of this Lease provided that Lessee shall restore
the premises and pay any damage caused thereby.
10. Lessor shall provide all maintenance (except as set out below) of the facilities including, but
not limited to, field and parking lighting, water, sewer, electric and other utilities, grass cutting
and maintenance, concession and restroom maintenance. Lessee shall provide field striping
and goal post maintenance.
11. In the event that during the term of this lease, Lessee abandons the leased premises, Lessor
may take possession of the premises and relet the same, and Lessee further agrees to turn over
the premises at the expiration of said lease free of all claims of lien of every nature
whatsoever.
12. This lease shall create the relationship of landlord and tenant between Lessor and Lessee; no
estate shall pass out of Lessor; Lessee has only a usufiuct, not subject to levy and sale.
13. If through oversight or otherwise Lessee should hold said premises beyond the term herein
limited then Lessee shall become a tenant at will and shall surrender said property on thirty
days notice from Lessor.
] 4. Lessor hereby covenants that Lessee, upon paying said rents and performing the covenants of
this lease, shall and may quietly have, hold and enjoy the leased premises during the term
hereof, unless leased premises or portion thereof be condemned by a corporation or
governmental authority having the right of eminent domain.
15. Richmond County Recreation Department shall have the right to use the leased property for
uses consistent with Lessee's use of the property, upon obtaining Lessee's consent in writing,
which consent may be withheld only for reasons of Lessee's previously scheduled
commitments or for maintenance of the property.
16. Lessee shall operate all concessions on the property, and shall be obligated for all expenses
and entitled to all income from such operations.

17. This Agreement constitutes the entire understanding and agreement between the parties with
regards to all matters contained herein. There are no other agreements, conditions or
representations, oral or written, express or implied, with regard thereto. This Agreement may
be amended only in writing, signed by both parties.
18. Covenants contained in this lease with respect to the obligations of Lessor shall be binding
upon Lessor, its successors and assignees; and all covenants contained in this lease with
respect to the obligations of Lessee shall be binding upon Lessee, its heirs, successors and
assIgns.
19. Time is of the essence of this agreement.
20. Any notice required to be given pursuant to this lease shall be given in writing and sent by
registered mail directed as follows:
(a) To Lessee at Augusta Arsenal Soccer Club, Inc., Rick Marshall, President, c/o
Rhodes-Murphy, 3938 Washington Road, Martinez, Georgia 30907, or at such other address as
Lessee may from time to time designate in writing:
(b) To Lessor at Tommy Boyles, Augusta-Richmond County Recreation Depanment,
2027 Lumpkin Road, Augusta, Georgia 30906 or at such other address as Lessor may from time
to time designate in writing.
Any party may change its address for purposes of this paragraph by giving the other
parties written notice of the new address in the manner set forth above.

SOCCER AS A SPORT
Soccer is the fastest growing sport In American and already has over 15,000,000 par-
ticipants in the USA alone The State of Georgia currently has over 200,000 participants in
their RecreatJonal, Premier, and Classic leagues. Presently there are more youth playing ~oc-
cer than almost any other sport nationwide.
Soccer is a sport that both boys and girts can play Soccer Is a game based on skill
and stamina not size and strength. The Augusta Arsenal Soccer Program sponsors both boys
and girls teams.
SOCCER IN GEORGIA
Georgia's youth movement to the game of soccer has been dramatic, Some of the At-
lanta based Clubs have tleen competitive nationally and now the Augusta Arsenal Soccer
teams have matured to the point where they are competitive with the Atlanta teams. These
results have been achieved with a much smaller player pool to select from in this area.
The recreational level is for all players regardless of ability. The AU9usta YMCA and
Augusta ~Ichmond County Department of Recreation have over 1500 participants in the Rec-
reational league. The Premier league is developmental for above average players who are
selected based on ability. The highest competitIve league for the most serious and accom-
pliShed players is the Classic league. These teams are selected on an annual basis. The
rankings of these teams are done on a state level and national tevel. Presently, Augusta has
Classic teams in all age divisions and Premier teams in most age divisions.
We anticipate a significant increase in the number of children seeking to participate In
soccer following the Olympics (finals to be played in Georgia) this year just as we saw an in-
creased interest after the 1994 World Cup played in the United States.
THE AUGUSTA ARSENAL SOCCER PROGRAM
The Augusta Arsenal Soccer Program, sometimes referred to as the "Gunners" was
started by the Augusta YMCA in the late 1970's as the competitive league of their soccer pro-
gram. The Gunner teams participate in the Premier and Classic levels. Presently, there are
thirteen (13) teams in the Gunner program whO play year round participating in league play,
tournaments and soccer camps. r he IndiVidual Skills, team play and maturation of me program
has opened doors for our players to receive college scholarships, play on the Georgia State
Select teams, be guest players on other state competitive teams, and In some cases compete
for state high school soccer titles The Gunner program provides Augusta players a chance to
play agamst other highly competitive leagues and teams, attend soccer camps of the highest
c:aliber, and improve the caliber of play of the local school teams.
DIRECTION OF THE PROGRAM
The goal of the Augusta Ar5p.nal SaccAr Program is to keep the youth of the Central
Savannah River Area who have an interest in soccer involved in soccer by providing the re-
sources and the opportunity to continuously Improve their skills and team play. Without this
challenge. local youth Will lose Interest and not be able to excel to their full potential in the

sport of soccer. The structure and organization has been set to create a preeminent soccer
program here In the Central Savannah River Area. The real challenge facing the youth soccer
program today Is the lack of adcquC3te practice and game facilities. Without fields it is difficult
to train and improve the Cluality of the players in the program and expand its reach Into our
community. Recognizing this limitation to the full development of the soccer program, the
Augusta Arsenal Soccer Club was incorporated as a not for profit corporation in September,
1994. The Augusta Arsenal Soccer Club's first objective was to purchase land for a soccer
complex. The Augusta Arsenal Soccer Club purchased thirty (30) acres of land near the
Westside Branch YMCA and Interstate 20. The Augusta Arsenal Soccer Club has been using
most of the proceeds from its annual fund raiser -- the Spring Shootout Soccer Tournament --
to pay the ~nnual mortgage payments on the property. The problem is that there Is not suffi-
cient funds available to the Augusta Arsenal Soccer Club to develop the soccer eomplex on
the site or expand the player and coaches development program.
Through a partnership with the Richmond County Department of Recreation we can
turn the vision of a first class soccer complex in Augusta into a reality. The land will accom-
modate eight (8) full size lighted soccer fields, parking, restroom facilities and a concession
stand.
By turning over the responsibility for field development to the Richmond County De-
partment of Recreation, the Augusta Arsenal Soccer Club can focus its financial and volunteer
resources on the aspects of the soccer program for which they are best suited -- training of
coaches and development of players. The oOJective of the Augusta Arsenal Soccer Program
is to continuously improve the skills of both the players and the coaches and expand the pro-
gram to a larger segment of Augusta-Richmond County.
The purpose of this document is to detail the actions and responsiOilities of the compo-
nents of this partnership reCJuired to complete the maiority of the development of the proposed
soccer complex by the Fall of 1996. Some activities. like liahtina of the final fields would be
completed by the Fall of 1997 under the proposed plan. The details of the proposed plan are
provided in the follo'Ninq sections.
I. Property Acquisition
In the Spring of 1994. the Augusta Arsenal Soccer Club purchased thIrty (30) acres of
land near the Westside Branch YMCA and Interstate 20 at the price of $154,000. To date the
Augusta Arsenal SoccAr Club has paid mortgage payments totaling approximately $50,000
(principal of $21,000 and interest of $29,000) It is proposed that this tract of land be acquired
from the Augusta Arsenal Soccer Club, Inc. by Richmond County Department of Recreation at
the price of $133.000 (balance due on mortgage). Richmond County would agree to then
Ic~sc the property back to the Augusta Arsenal Soccer Club, Inc. The terms of thA lease
would be ninety-nine (99) years with the Augusta Arsenal Soccer Club agreeing to pay an an-
nual lease of one ($1.00) dollar This transaction should be completed by July 1996 to allow
field development to Oegin in time to complete construction oy the Fall of 1996.
II. Field Development
All preliminary engineering drawings have been completed for the soccer complex and
the required permits have been approved rinalizing the engineering plans are the only costs
anticipated before bp.oinnino field development. All or the expenses to date were covered by

volunteers who donated their professional time to complete the engineering wor1< and permit

111e Augusta Arsenal Soccer Club completed Phase I of the Field Development Project
In the Summer of 1995. ihls phase consisted of grading the first field, installing an irrigation
system and grassing the field. The cost of the grading and grassing for this first field was
$25,000. The irrigation system Installation and equipment cost an additional $5,000. The
goals, field layout, and striping cost roughly $2,000. Some of this work was supplemented with
volunteer work performed by members of the Augusta Arsenal Soccer Club.
It is proposed that Phase II of the Field Development Project be executed by the Rich-
mond County Department of Recreation Phase II includes the development of FIelds 2
through 8, including grading, grassing, installation of sprinkler system and the construction of a
parking area. Phase II also includes the construction of the restroom and concession building
and utility connections to the building. Phase II would also include the lighting of Field 1 whlcn
Is estimated to cost $25,000.
The construction of the fields should begin in the July/August of 1996 tlmetrame In or-
der to catch enough of the growing season to enable the grass to catch hold. Field number
one was grassed by using sprigs. A better, albeit more expensive alternative, would be to sod
the fields for better long term results. It may be beneficial to sod at least a couple of the fields
so that they could be used at the ear1iest pOSSible time. Assuming construction and grassIng
of the fields is completed by the Fall of 1996. the fields would be playable by the
Spring/Summer of 1997.
The estimated cost to grade and grass fields 2 through 8 is $200,000. The Irrlgatlon
system installation and equipment for fields 2 through 8 is estimated at $35,000 total The
construction of the parking area is estimated to cost $35,000. The cost of the restroom and
concession building and utilities is $67.000
The Augusta Arsenal Soccer Club will provide goals for each field and layout and paint
stripes on each field. The estimated cost of these items for fields 2 through 8 is $23,000. In
addition, the Augusta Arsenal"Soccer Club will, through private donations, obtain equipment
for the concession building. These facilities would be constructed in the Fall of 1996 and be
operational by the Spring of 1997.
It is proposed that the construction of Phase III of the soccer complex would be the re-
sponsibility of Richmond County and would be completed in the Fall of 1997. This phase
would consist of providing field lighting for fields 2 through 8 at a cost of $175,000. In addition,
a general public use jogging track at an estimated cost of $35,000 would be added in this
phase. Additional parking and paving detailed on the englneertng drawings would be com-
pleted in this phase as well. Finally. to t::ike advantage of the natural springs on the property
as well as prOVide fain water runoff control it will be necessary to complete pond reconstruction
as shown on the engineering drawings The installation of seating and bleachers would be in
the Fall of 1997 A maintenance and storage building is also included in this phase. The total
cost of Phase III is estimated to be $390,000.

III. Maintenance and Ooerations
Under the terms or this partnership, the RiChmond County Department of Recreation
and the Augusta Arsenal Soccer Club will be responsible for all maintenance, capital Improve-
ments and upkeep of the physical facilities and property of the complex. Maintenance
activities performed by Richmond County would include all field and complex lighting, grass
cutting (fields and common areas), concession stand and restroom maintenance and upkeep,
blea('J"ler maintenance, utility connections and maintenance (water. sewer. electric. and other
utilities). The Augusta Arsenal Soccer Club will be responsible for goal maintenance and re-
curring field striping. In addition, the AU!;justa Arsenal Soccer Club will be responsible for
maintaining the cleanliness and $anitary eonditions of the restrooms 2nd concession $tand.
With regards to the operations of the facility, the Augusta Arsenal Soccer Club will be
responsible for the Premier and Classic Youth Soccer Pro9ram Development. Activities to be
Included In the operations are: player development ;tralnlng of coaches (including sponsoring
licensing clinics); coordinating purchase of uniforms; coordinating registration and sign-up of
players; coordinating travel for out of town tournaments; sponsoring learns through payment of
tournament fees as funds permit; toumament development and sponsorship; conduct mini and
day camps: and run concession operation.
The above described activities will be sponsored by the Augusta Arsenal Soccer Club
through fund raising initiatives. entry fees received from tournaments sponsored and revenues
earned through concession stand operations. Many of the activities above have been per-
formed successfully by the Augusta Arsenal Soccer Program in the past. This proposal will
build on these past successes and allow the program to be expanded to a much greater cross-
section of the community. Alumni of the Augusta Arsenal Soccer Program will be an excellent
source of new coaches as we look to expand the program.
IV. Richmond County Department of Recreation/ AUQusta Arsenal
Soccer Proqram PlaverfTeam Development
The basis of any successful youth soccer program starts with a solid recreational pro-
gram The recreation program is where youth five (5) years of age and up begin to develop
their skills and understand the basic concepts of the game of soccer. ThIs team sport provides
a positive learning experience for youth in a team environment.
The Augusta Arsenal Soccer Club will assist the Augusta-Richmond County Depart-
ment of Recreation with the development of their recreational soccer program. The Augusta
Arsenal Soccer Club will provide coaching clinics to help the recreation coaches become certi-
fied coaches.
The Augusta Arsenal Soccer Club will also provide clinics for the players to assist with
the development of their skills Local recreation tournaments will also be held to increase the
interests of the youth un the recreational level.
The facilities will also be made available to Richmond' County schools for their games
and tournaments on an as-available basis. Soccer clinics for school teams will also be avail-
able upon request by the schools
