THIS INDENTURE is made this ~ day of March , 2008, by and
between Atlanta Gas Light Company, a Georgia corporation, hereinafter called "Grantor", and
Augusta, Georgia, a political subdivision, hereinafter called "Grantee". The words "Grantor"
and "Grantee" include the neuter, masculine and feminine genders, and the singular and the
plural.

FOR AND IN CONSIDERATION of the sum ofTen Dollars ($10.00) in hand
paid to Grantor by Grantee at and before the execution, sealing and delivery hereof, and other
good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged,
Grantor has granted, bargained, sold, aliened, conveyed and confirmed, and by these presents
does grant, bargain, sell, alien, convey and confirm unto Grantee, and the successors, legal
representatives and assigns of Grantee, all that tract or parcel of land lying and being in
Richmond County, Georgia, being more particularly described on Exhibit "A", attached hereto
and incorporated herein by reference.
TOGETHER WITH, the buildings, fixtures, structures and improvements
thereon, and the easements, rights, members and appurtenances thereunto appertaining.
TO HAVE AND TO HOLD said tract or parcel of land, and easements, rights, members
and appurtenances thereunto appertaining unto the Grantee forever, in fee simple; and
GRANTOR SHALL WARRANT and forever defend the right and title to said
tract or parcel of land unto Grantee, and the successors, legal representatives and assigns of

Grantee, against the claims of all persons whomsoever, claiming by, through or under Grantor,
but not otherwise.
GRANTEE SPECIFICALL Y ACKNOWLEDGES AND AGREES THAT
GRANTOR IS SELLING AND GRANTEE IS PURCHASING THE PROPERTY ON AN "AS
IS" BASIS AND THAT GRANTEE IS NOT RELYING ON ANY REPRESENTATIONS OR
WARRANTIES OF ANY KIND WHATSOEVER, EXPRESS OR IMPLIED, FROM
GRANTOR OR ITS AGENTS AS TO ANY MATTERS CONCERNING THE PROPERTY,
INCLUDING, WITHOUT LIMITATION: (I) THE QUALITY, NATURE, ADEQUACY, AND
PHYSICAL CONDITION OF THE PROPERTY, INCLUDING, BUT NOT LIMITED TO,
THE STRUCTURAL ELEMENTS, FOUNDATION, ROOF, APPURTENANCES, ACCESS,
LANDSCAPING, PARKING FACILITIES AND THE ELECTRICAL, MECHANICAL,
HV AC, PLUMBING, SEWAGE, AND UTILITY SYSTEMS, FACILITIES AND
APPLIANCES; (II) THE QUALITY, NATURE, ADEQUACY AND PHYSICAL
CONDITION OF SOILS, GEOLOGY, AND ANY GROUNDWATER; (III) THE
EXISTENCE, QUALITY, NATURE, ADEQUACY AND PHYSICAL CONDITION OF
UTILITIES SERVING THE PROPERTY; (IV) THE DEVELOPMENT POTENTIAL OF THE
PROPERTY, AS WELL AS THE USE, HABITABILITY, MERCHANTABILITY, OR
FITNESS, SUITABILITY, VALUE OR ADEQUACY OF THE PROPERTY FOR ANY
PARTICULAR PURPOSE; (V) THE ZONING OR OTHER LEGAL STATUS OF THE
PROPERTY OR ANY OTHER PUBLIC OR PRIVATE RESTRICTIONS ON THE USE OF
THE PROPERTY; (VI) THE COMPLIANCE OF THE PROPERTY OR ITS OPERATION
WITH ANY APPLICABLE CODES, LAWS, REGULATIONS, STATUES, ORDINANCES,
COVENANTS, CONDITIONS AND RESTRICTIONS OF ANY GOVERNMENTAL, OR
QUASI-GOVERNMENTAL ENTITY OR OF ANY OTHER PERSON OR ENTITY; (VII)
THE QUALITY OF ANY LABOR AND MATERIALS USED IN ANY IMPROVEMENTS
ON THE PROPERTY; (VIII) THE CONDITION OF TITLE TO THE PROPERTY (EXCEPT
AS SPECIFICALLY SET FORTH IN THIS DEED); AND (IX) THE ECONOMICS OF THE
OPERATION OF THE PROPERTY.
IN WITNESS WHEREOF, Grantor has caused its duly authorized corporate
officer to execute this indenture, to affix its corporate seal hereto and to deliver this indenture to
Grantee, all as of the day and year first written above.

Legal Description of the Property
ALL that lot or parcel of land, with any improvements thereon, situate, lying and being in the
State of Georgia, County of Richmond, City of Augusta, on the southwest comer of' the
intersection of Ninth (Campbell) Street and Fenwick Street, fronting a distance of 45 feet, more
or less, on the west side of Ninth (Campbell) Street and extending back therefrom between
approximately parallel lines a distance of 78 feet, more or less, to a width on its rear or western
boundary of 45 feet, more or less, and BOUNDED, all now or formerly: North by Fenwick
Street; East by Ninth (Campbell) Street; South by property of Mose Anderson; and West by
property of F. L. Vaughn; the improvements on said property are known as 701-703 Ninth
(Campbell) Street according to the present system of street numbering in the City of Augusta.
Being the same property conveyed to CWW Group, Inc. by Warranty Deed of Matthew Turner
dated September 15,2000 and recorded in Realty Reel 701, page 801, in the Office of the Clerk
of the Superior Court for Richmond County, Georgia,
Being the same property conveyed by CWW Group, Inc. to Atlanta Gas Light Company by
Warranty Deed dated May 7, 2002 and recorded in said Clerk's Office in Deed Book 789, page

foregoing Closing Statement and agree that it accurately reflects the substance of
the financial aspects of the transaction contemplated by the parties and the parties
hereby approve and direct the Closing Attorney to disburse the proceeds and
expense of the sale and purchase in accordance with this Closing Statement. No
responsibility is assumed by the Closing Attorney for the accuracy of the figures
obtained from others. Seller and their agents, in receiving the funds disbursed
herein, release the Purchaser and the Closing Attorney from any claims against
the funds disbursed herein.
