Dear Lena:
In connection with the swap of certain properties along
River Watch Parkway, I am enclosing the following:
(1) Original warranty deed from Lee H, Brandenburg and
Eric L. Brandenburg to Richmond County, Georgia, conveying three
parcels which total 27.13 acres shown on a plat dated February 28,
1986, prepared by Cranston, Robertson & Whitehurst, which plat is
recorded on Realty Reel 271, at page 2120;
(2) A copy of the warranty deed from Richmond County,
Georgia to Lee H. Brandenburg and Eric L. Brandenburg which has
been recorded on Realty Reel 541, at page 2373, which deed conveys
two parcels of land totaling 3.65 acres;
(3) Copy of declaration of protective covenants which
creates the "Canal Buffer Zone" which has been recorded on Realty
Reel 541, at page 2384. I am also enclosing a copy of the plat
which is recorded on Realty Reel 541, at page 2367, which
delineates said Canal Buffer Zone.
Please retain these important documents as part of the
permanent records of Richmond County.

for property described on Exhibit "A" and shown on Exhibit "B"
attached hereto, hereinafter the "Canal Buffer Zone", being a
portion of Tracts 2 and 2-A as shown on a plat prepared by
Cranston, Robertson & Whitehurst, dated February 28, 1986, last
revised 9/15/87, and recorded in the Office of the Clerk of the
Superior Court of Richmond County, Georgia in Realty Reel 271, page
2120 et seq., hereinafter the "Plat"

WHEREAS, Declarants own a tract of
County, Georgia containing approximately 106.99 acres and being
known as Tract 2 and that portion of Tract 2-A lying west of Warren
Lake as delineated on the Plat, and
WHEREAS, Declarants, anticipating the development of said
106.99 acres and being desirous of creating a buffer zone 100 feet
in width, parallel and contiguous to the Augusta Canal and Warren
Lake, in order to preserve the historic significance of the Augusta
Canal, the conservational uniqueness of the Augusta Canal and to
protect the integrity of the Augusta Canal for future generations.
NOW THEREFORE, for and in the consideration of the
premises, and of the benefits to be derived by Declarants, to
accomplish the purposes recited above, and as further consideration
for the exchange of real estate between Declarants and Richmond

County as evidenced by deeds of even date and recorded
simultaneously herewith, Declarants do hereby set up, establish,
promulgate and declare the following covenants to apply to the
Canal Buffer Zone described on Exhibit "A" and shown on Exhibit
"B" . These covenants shall be binding on all persons claiming
under and through Declarants, are established in perpetuity and
shall constitute a covenant running with the land.
1. It is the intent of the Declarants to create the
Canal Buffer Zone in order to conserve and protect the historic and
unique significance of the Augusta Canal.
2. As part of the intent of Declarants, the Canal
Buffer Zone can used for the installation, construction,
development, operation, management, maintenance, repair,
demolition, replacement, modification, renovation and/or expansion
of Water Dependent and Recreational Facilities and for no other
purposes.
3. The term Water Dependent and Recreational Facilities
shall mean and include all facilities related to the use and
operation of a water dependent and recreational use, including, but
not being limited to, docks, boat or canoe slips, restrooms,
jogging, bicycle and/or hiking paths, bridges, culverts, telephone
and cable lines, electric lines, gas lines, propane lines and all
other necessary utilities.
4. Except as provided for in the immediately preceding
paragraphs, no other activities of any kind or description shall be
permitted within the Canal Buffer Zone, including, but not being
limited to, dirt moving operations or other operations which would

disturb the natural vegetation and plant life. The purposes,
terms, and restrictions of this covenant may be specifically
enforced or enjoined by Richmond County, Georgia in proceedings in
the Superior Court of Richmond County, Georgia. Declarants agree
that jurisdiction and venue are proper in the Superior Court of
Richmond County, Georgia.
5. This covenant may be enforced only by Richmond
County, Georgia and there are no other parties in whom any rights,
benefits, or obligations are created by this covenant.
6. The establishment and declaration of this covenant
does not authorize and shall not be construed as authorizing
Richmond County, Georgia, the public or any member of the public to
enter upon, trespass on, or use any portion of the Canal Buffer
Zone or other properties of Declarants for any purpose whatsoever.
7. Declarants, who own the fee title to the Canal
Buffer Zone, shall be responsible and bear all costs concerning the
ownership, operation, and maintenance of the Canal Buffer Zone.
8. If an action in eminent domain for condemnation of
any interest in the Canal Buffer Zone is filed, or if the Canal
Buffer Zone is acquired for the public improvement by any public
agency, these restrictions will be null and void as to the interest
actually condemned or acquired; however, all terms, conditions and
restrictions of this covenant will be in effect during the pendency
of any such condemnation action; provided further that if such an
action is abandoned or dismissed prior to the recordation of a
final order of condemnation, all or any portion of the Canal Buffer
Zone that is not actually acquired for public use will once again

be sUbject to all of the terms, conditions and restrictions of this
covenant.
9. If any provision in this agreement is found to be
ambiguous, an interpretation consistent with the purpose of this
covenant that would render the provision valid will be adopted over
any interpretation that would render it invalid.
10. If any provision of this covenant is found to be
invalid, or if the application of this covenant to any circumstance
is disallowed or found to be invalid, the remainder of the
provisions of the covenant, or the application of the grant to
circumstances other than those to which its application was
disallowed or found invalid, will not be affected and will remain
in full force and effect.
11. This covenant is to be interpreted, enforced, and
performed according to the laws of the state of Georgia.
12. This covenant is independent of any land use
decision of Richmond County, Georgia. This covenant has not been
made or declared as a precondition for any land use approval and
any use of the Canal Buffer Zone shall be subject to all zoning,
permitting and license requirements of Richmond County, Georgia.
13. This covenant shall binding upon the heirs,
successors and assigns of Declarants.
IN WITNESS WHEREOF, Declarants have hereunto set their
hands and seals in making, establishing and declaring this
covenant.

EXHIBIT "A"
The Canal Buffer Zone is defined as all that
lot or parcel of land, situate, lying and
being in Augusta-Richmond County, Georgia
being 100 feet in width and running parallel
and contiguous to the Augusta Canal and Warren
Lake beginning at a point 100 feet south of
the intersection of the Augusta Canal and the
eastern right-of-way of Interstate Highway 20;
running thence in a generally easterly
direction 100 feet from and parallel to the
Augusta Canal to a point 100 feet from the
western point of the confluence of the Augusta
Canal and Warren Lake; continuing thence in a
generally southerly direction 100 feet from
and parallel to Warren Lake to a point 100
feet west of the intersection of Warren Lake
and the northern right-of-way of RiverWatch
Parkway. Said 100 foot strip is more
particularly shown as "Canal Buffer Zone" on a
certain plat, prepar~d by cran~ton, Robertson
