TillS INDENTURE made this ~ day of January, 2001, between Thomas L. Abernathy, James S.
Timberlake and AE III, L.L.c., a Georgia limited liability company, the undersigned (hereinafter referred to
collectively as Grantor) and Augusta-Richmond County, Georgia, a political sub-division of the State of
Georgia (Grantee).

THAT for and in consideration of the sum of One Dollars ($1.00) in hand paid, and the benefits
flowing from the project hereinafter described, Grantor does grant and convey unto Grantee, its successors and
assigns, the following property, to-wit: (i) 0.63 acres i: (the "Roadway Parcel") of real property located in the
1269th GeorgiaMilitary District, Augusta-Richmond County, Georgia, as more fully described on Exhibit "A-
I"; and (ii) 0.88 acres :t (the "Existing Detention Pond Parcel") of real property located in 1269th Georgia
Military District, comprising a portion of Tax Parcel 023-034-30] 0 on Tax Map Sheet No. 23, Augusta-
Richmond County, Georgia, also as more fully described in Exhibit "A-2" attached hereto and incorporated
herein by reference together with a non-exclusive permanent easement for ingress and egress over the portion
of Grantor's remaining property depicted as the cross-hatched area on Exhibit "B" attached hereto and
incorporated herein by reference.
TO HAVE and to hold the bargained premises unto Grantee, its successors and assigns forever in fee
simple.

COMMENCE at a concrete right-of-way monument found located at the intersection ofthe northerly side of
the right-of-way along Wheeler Road (right-of-way varies) and the easterly side of the right-of-way along
Bobby Jones Expressway a/k/a Interstate 520 (right-of-way varies)
