PURCHASE OF SERVICES FOR JUVENILE OFFENDERS CONTRACT FOR SERVICES (Subcontract) THIS CONTRACT is hereby made and entered into this ,J!:!:J.. day of December, 2002, by and between COMMUNITY SERVICE BOARD OF EAST CENTRAL GEORGIA d/b/a COMMUNITY MENTAL HEALTH CENTER OF EAST CENTRAL GEORGIA ("Contractor;" sometimes referred herein as "CMHC"), located at 3421 Mike Padgett Highway, Augusta, Georgia 30906; and AUGUSTA-RICHMOND COUNTY, Department of Juvenile Justice, in the State of Georgia ("County"), located at Post Office Box 3472, Augusta, Richmond County, Georgia 30914-3472; by which Contractor agrees to supply, and County agrees to purchase group counseling services for eligible children. WIT N E SSE TH: WHEREAS, County has contracted with Contractor, pursuant to a grant entitled Juvenile Court Block Grant (JAIBG), authorizing County to purchase certain services from public or private persons, organizations, institutions, fimls or corporations; and , WHEREAS, Contractor is a person, organization, institution, firm or corporation engaged in or able to engage in providing such services. NOW, THEREFORE, the parties herein do mutually agree as follows: A. DEFINITIONS As used herein: 1. Eli2:ible Child: (a) any child alleged to be delinquent who is not currently incarcerated; or (b) any child alleged to be a status offender or unruly child. 2. Jud2:e: The Judge(s) charged with hearing juvenile cases in the County. B. SERVICES Contractor agrees to provide the following service(s) [Group Counseling] to eligible children upon proper referral in the manner and at the rates set forth below: Counselin2:: . Group Alcohol & Drug Counseling at a rate of $100.00 Per session (hour) . Psychological evaluation for eligible child at a rate of$N/A Per hour/test . Diagnostic testing for eligible child at a rate of $N/ A \. C. REFERRAL Whether a child is referred to Contractor under this Contract and the extent and combination of services to be provided are within the discretion of the Judge. No child shall be referred to or received by Contractor unless that child is an eligible child under this Contract and the Judge has ordered the referral either as an informal agreement or formal probation. D. DUAL COMPENSATION No person holding public office or working full time and receiving compensation directly from any department, agency or institution of the State or County government, may enter into or receive payment under any subcontract authorized by this Contract, unless such services were rendered at times for which such persons were not being compensated by the department, agency or institution of the State or County Government employing him/her. Full time court employees or Department of Juvenile Justice personnel are not eligible to receive payment for services rendered at any time under this Contract. E. PAYMENT Contractor agrees to provide services to each eligible child referred by the Judge. Contractor is to submit to County a statement at the end of the final sessions for that group showing the dates and times worked, the number of children for whom services were provided, a brief description of the services provided, the total number of hours worked, the hourly rate of payment, and the total amount owed. The rate of payment for any services shall not exceed the rates prescribed in the Contract for provision of Purchase of Services between Contractor and County. In no event shall the total payment under this Contract exceed Twenty Thousand ($20,000) Dollars. F. EFFECTIVE DATE AND TERMINATION This Contract will be effective as of the date agreed upon by both parties and shall terminate on the 1 st day of October, 2006. All requests for payment must be submitted no later than the 30th day of the following month of service. Any request submitted after the 30th day of the following month of service must be sent registered mail, return receipt requested. However, either party herein may terminate this Contract at any time prior to the aforesaid expiration date for' cause and County may terminate this Contract at its conyenience, upon written notice to Contractor, thirty (30) days prior to the termination date. Payment may be obtained as provided herein for services actually rendered up to the date of termination. 2 \ -. G. DISPUTES, APPEALS AND REMEDIES Any dispute concerning a question of fact arising under this Contract which is not disposed of by agreement, shall be decided in the following manner: The contracting parties shall reduce to writing their opposing arguments and submit them to the Children and Youth Coordinating Council ["CYCC"]. They shall also provide a copy of their argument to the other contracting party. CYCC shall set a time for hearing within thirty (30) days of the receipt of the initial argument, at which time an administrator appointed by CYCC shall decide the issue. The decision of the administrator shall be final and conclusive unless determined otherwise by a court of competent jurisdiction. Pending final decision of a dispute hereunder, Contractor shall proceed diligently with the performance of this Contract in accordance with the terms of this Contract. However, Contractor shall retain the right to terminate this Contractor as provided in Section F above. The administrator may consider questions of law in reaching a decision; however, this decision on the question of law by the administrator is not final. H. STATE AND FEDERAL REGULATIONS This Contract is subject to all regulations and rules placed on contracts of this type by the Office of Juvenile Justice and Delinquency Prevention (OJJDP) and CYCC. This Contract and all rights and obligations hereunder, including matters of construction, validity and performance, shall be governed by the laws of the State of Georgia. CYCC, OJJDP, the Comptroller General of the United States, and County, or any of their duly authorized representatives, shall have access for the purpose of audit and examination to any books, documents, papers, and records of Contractor that are pertinent to the grant referenced herein. 1. INTEGRATION AND MODIFICATION This Contract represents the sole and entire agreement between Contractor and County and all offers, negotiations, or agreements between the parties are merged herein. No modification of this Contract is binding unless it is in writing and signed by the parties herein. J. TIME IS OF ESSENCE Time is of the essence of this Contract. 3 ~ Ii IN WITNESS WHEREOF, the parties herein have hereunto executed this Contract on the .11~day of December, 2002.
