PERSONAL SERVICES CONTRACT This PERSONAL SERVICES CONTRACT (the "Contract") is entered into as of the 1 s1- day of January, 1996 by and between the AUGUSTA-RICHMOND COUNTY COMMISSION-COUNCIL (the "Commission- Council") and STEVE REED, an individual resident of the State of Georgia ("Reed"). WHEREAS, the Commission-Council desires to hire Reed to serve as a Claims Adjustor/Investigator ("Adjustor"), and Reed desires to provide said services to the Commission-Council. NOW, THEREFORE, for and in consideration of the payments and mutual promises and covenants contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto, intending to be legally bound, do hereby agree as follows: 1. Employment. Reed shall be employed as an Adjustor for the Commission- Council. Reed shall act according to the direction and supervision of the Assistant Director of the Risk Management Department of Augusta-Richmond County and his duties shall include, but not be limited to, the following: a. Investigation of each claim or loss involving property of Augusta-Richmond County (said investigation to include reports and other documentation, including photographs, of the subject claim or loss); b. Appraisal in writing of damage to property of Augusta-Richmond County and, when necessary, damage to property of others involved; c. Preparation of repair specifications as to damages to property of Augusta-Richmond County, which specifications shall be in a format designated by the Assistant Director so as to be provided to vehicle body shops, repair shops, cleaning services and the like for the submission of bids, and which specifications shall include any parts to be supplied by Augusta-Richmond County. d. Coordination of repair and/or cleaning services with vehicle body shops, repair shops and/or cleaning services; 1 ~ e. Inspection of work completed pursuant to bid, including without limitation inspection as a result of a request for supplement of work or upon completion of work. Said inspection should entail checks for quality of work completed and adherence to bid specifications; and f. Maintenance of listings of resources, including without limitation LKQ parts available from salvage and deadlined vehicles. 2. Term. a. This Contract shall be effective as of January 1, 1996 and shall, unless earlier terminated as set out below, continue until June 30, 1996, at which time it shall automatically terminate. This Contract may be renewed for an additional term of 6 months at the sole option of the Commission- Council, which option shall be acted upon by the Commission- Council no later than 45 days prior to the termination of this Contract, with written notice to Reed. b. This Contract may be terminated by either party for any reason, so long as at least thirty (30) days' written notice is provided to the other party. 3. Salary. During the term of this Contract, Reed shall be paid a monthly sum of $2,500.00, to be paid each month upon the presentation of an invoice by Reed no later than the 30th of each month of the term, for a total salary of $15,000.00 over the term of this Contract. 4. Automobile. Reed shall be furnished a 1984 Ford Crown victoria automobile for use in performing his duties under this Contract. This automobile may be used by Reed only in the course of performance of his duties hereunder and for driving to and from his residence to his employment. The cost of gasoline associated with this use of the automobile will be reimbursed to Reed by Augusta-Richmond County upon the submission of receipts for said cost. Upon the termination of this Contract, Reed shall return the automobile to Augusta-Richmond County in the same condition as received, normal wear and tear excepted. 2 '( 5. No benefits. Reed shall not be considered an employee of Augusta-Richmond County eligible for benefits (other than use of the automobile outlined above) as a result of this Contract. Augusta-Richmond County shall not provide Reed with any type of insurance coverage, pension benefits, etc. 6. Miscellaneous. a. This Contract represents the entire agreement between the parties hereto. b. This Contract shall be governed by the laws of the State of Georgia. c. This Contract may not be assigned by either party.
