PROFESSIONAL SERVICE CONTRACT Project Name: Lake Olmstead Park - Julian Smith Casino 2200 Broad Street AUl!Usta, Geon!:ia 30904 THIS AGREEMENT MADE THE j:Ii, day of ~ in lbe year 2004 by and between AUGUS~1 t RICHMOND COUNTY, GEORGfA, hereinafter called the OWNER. and f\o, W, t)~$ cR '/4 f5'avis Design Group, 1205 Street Augusta, Georgia 30901, hereinafter called the ARCHITECT: WITNESSETH, that the parties hereto, in consideration of the mutual promises and benefits flowing to each of the parties hereto as hereinafter stated, do mutually agree as follows: I 1. The ARCHITECT will prepare and furnish to the OWNER. complete and ready for use, including changes as required during the progress of the work, all of the following: Design and contract administration for new doors for the rear of the Casino leading to new flagstone terrace with an arbor and new steps to a four row amphitheater, replacement of all windows in the tower, rework the lighting inside the easino to be more in keeping with the period of the structure, coordinate with Georgia Power for additional site lighting at the rear of the Casino, replace the block steps at the lower front and back of building to include railings, restore the existing rock fountain to working order, replace the fencing around the mechanical equipment, installation of a lighted 50' floating fountain in the lake and to provide for landseaping and irrigation of the areas to the rear of the building. Work is to be accomplished in accordance with scope furnished by the Department of Recreation and Parks and as outlined in a March 31, 2004 letter from the ARCHITECT to the OWNER 2. The ARCHITECT will develop his work by site visits, consultation with the OWNER or his designated representatives and preliminary sketches. 3. The ARCHITECT agrees to develop his work in accordance with the criteria and standards of the OWNER and to furnish the documents with certifieates required and stipulated by the OWNER. 4. The ARCHITECT will furnish the documents to the OWNER in ten (10) copies. Additional copies will be furnished at reproduction costs. 5. The ARCHITECT will provide the OWNER with an estimate of the cost of the work specified to be constructed or performed in Paragraph 1 above. If requested, that is sufficiently accurate so as to provide for budgeting funds. n The ARCHITECT will be paid the following fee in the manner outlined below. The fee outlined below will be full compensation except as outlined below: Fixed Fee Equal to $25,768.00, including ex-penses paid as follows: Design and Development Phase: Construction Documents Phase: percent (35%) percent (40%) ~ Bidding or Negotiation Phase: Construction Phase: percent ( 5%) percent (20%) m The ARCHITECT agrees to perfoml the above services in accordance with all-applicable codes and laws. IV The ARCH1TECT agrees to act as the OWNER'S contract administrator during the construction phase of the work on the project for an additional fee of included in II above. V The OWNER will be responsible for expenses incurred for surveys and laboratory services, beyond original scope, provided, however, the OWNER approves the charges for these services in advance. VI TItis contract can be modified, added to, or eA1ended only by mutual agreement of the parties hereto as outlined below: Principal's time at a fixed rate of one hundred twenty-five dollars ($125.00) per hour for the purpose of this agreement, the principal is Roger W. Davis. Supervisory time at a fixed rate of Eighty-five dollars ($85.00) per hour for the purpose of this agreement, the supervisory persOlmel is R Scott Davis. VB This contract cannot be assigned by either party. VIII In consideration ofTen Dollars ($10.00), receipt and sufficiency of which is hereby acknowledged by the ARCHITECT and any of its subcontractors will indemnify and save harmless and defend the City/County from suits or actions of every name and description brought against the City/County based on personal injury, bodily injury (including death) or property damages (including construction) received or claims and expenses to be received or sustained by any person or persons arising from or about any negligent act or omission of the ARCHITECT or its subcontractors, its agents, employees or assigns in providing the professional services called for herein. IX The parties hereto hereby agree to the full performance of the conditions and provisions contained herein. Executed as of the day and year first above written.
