With best personal regards, I am JBW/sjp ry truly, Enclosure Cc: Ms. Jean McRae Mr. Walter Hornsby Ms. Donna Williams ~ "'i- t ," . ;0 ST ATE OF GEORGIA ) COUNTY OF RICHMOND ) CONTRACT TIllS CONTRACT is entered into on and as of ;JtrV, '2AJ , 2001, by and between Augusta, Georgia, by and through the Augusta-Richmond County Commission ("Augusta") and Jean McRae ("McRae"). 1. SCOPE OF WORK; SCHEDULE a. Scope of Work. McRae shall provide the following services to the Mayor and the Augusta-Richmond County Commission, to wit: . Participate in Augusta's fall legislative agenda preparation . Assist in strategic meetings concerning the Augusta legislative agenda . Active lobbying for the Augusta legislative agenda . Monitor legislative actions and Committees for existing and potential legislative developments of interest to Augusta . Maintain close liaison with key leaders and staff of the Legislature, offices of the Governor and Lt. Governor, and other local governments . Arrange expert witnesses to testify or meet with key legislative leaders and committees and preparation of testimony . Work with legislators (local delegation as well as others) to develop and introduce legislative positions desired by Augusta ." Keeping abreast of public opinion and current events that could have a significant impact on Augusta's day-to-day legislative and lobbying needs i:" ~l' . Attend Richmond County Legislative Delegation meetings at the Capitol as needed 2. TERM; TERMINATION a. This Contract shall be for a term beginning December 1,2001 and ending on April 30, 2002. b. The parties agree that Augusta may terminate this Contract or any work or delivery required hereunder, from time to time, either in whole or in part. Termination, in whole or in part, shall be effected by delivery of a Notice of Termination signed by the Mayor, mailed or delivered to McRae, and specifically setting forth the effective date of termination. Upon receipt of such Notice, McRae shall: 1. Cease any further deliveries or work due under this Contract, on the date, and to the extent, which may be specified in the Notice; 11. Accept no further orders except as may be necessary to perform that portion of this Contract not subject to the Notice; and Ill. Use her best efforts to mitigate any damages. which may be sustained by him as a consequence of termination under this clause. c. Either party may terminate this Contract, without further obligation, for the default of the other party or its agents or employees with respect to any agreement or provision contained herein. 3. REPORTS REQUIRED McRae shall provide periodic reports to Augusta as deemed necessary to keep Augusta informed of her activity. 2 \". "... 4. COMPENSATION Recognizing that substantial more time will be required of McRae during the period of time that the General Assembly isin Session, Augusta shall pay monthly compensation to McRae as follows: December, 2001- $3,000.00 January, 2002 - $3,000.00 Februa.ry, 2002 - $3,000.00 March, 2002 - $3,000.0"0 April, 2002 - $3.000.00 In addition, Augusta shall reimburse McRae for her actual out..,of-pocket travel expenses, with mileage to be paid by Augusta at the same rate as paid to Augusta employees for travel (currently $0.32 lhper mile) plus lodging as approved by the Mayor for stays in Augusta. Any out-of-pocket expenses for activities in Atlanta, Georgia, must be approved in advance by the Mayor. 5. MISCELLANEOUS a. Entire agreement. This Contract, and any and all exhibits thereto, and/or documents incorporated by reference into this Contract, shall constitute the whole agreement between the parties. There are no promises, terms, condition, or obligations other than those contained herein, and this Contract shall supersede all previous communications, representations, or agreements, written or verbal, between the parties hereto related to the Provision for Services described herein. b. Venue. All claims, disputes and other matters in question between Augusta and McRae arising out of or relating to the Agreement, or the breach thereof, shall be 1 ~. .:. ~.., . decided in the Superior Court of Richmond County, Georgia. McRae, by executing this Agreement, specifically consents to jurisdiction in Richmond County and waives any right to contest the venue in the Superior Court of Richmond County, Georgia. c. Governing law. This Contract shall be governed by, and construed in accordance with,.the laws of the State of Georgia. d. Time of the essence. Time shall be of the essence to this Contract, except where it is herein specifically provided to the contrary.
