CONTRACT
BY AND BETWEEN THE
AND
Augusta -Richmond County Local EmergencyflaDDwg Committee
The agreement entered into on the 1st day of July. 1995. by and between. The Local Emergency
Planning Committee of Richmond: Augusta -Richmond County, (hereinafter called the "Contractorll)
. and the Georgia Emergency Management Agency (or its successor as determined by state law), State
of Georgia (hereinafter called the II Agency").
The parties do hereby agree to the fullowing:
1. EmploVment of Contractor. The AgeJ?CY hen:by agrees to engage the Contractor and
the Contractor agrees to perform these services hereinafter set furth in fulfillment of the
responsibilities of the Agency.
2. Scope of Project. To assist in the revision of the existing Hazardous:Materials Anne!(
of the Emergency Operations Plan and the developmem of an Area. Contingency Plan;
and to offset cost for a. :full scale hazardous materials exercise,
3. Time ofPeribtmance. The services of the Contractor is fur the period beginning July
1, 1995, and shall be undertaken in an orderly sequence so as to insUre their
expeditious completion in accordance with the purposes of this contract; but, I any
event, all of the services :required herein shall be completed by September 30, 1996.
4. Compensation, The Agency agrees to compensate the Contractor in the amount of
$1,055,20 carry out the scope of project
5. Method oipayment. The Agency shall pay the Contractor upon submission of a Status
of Work R.eportlInvoice during tlte term of this oontract. The above shall constitute

full and complete compensation for the Contractor's services prescribed in the Scope of
Services above.
6, Termination of the Contract fur Cause. It: through any cause, the Contractor ahall fail
to fulfill in a timely and propec manner the Contractor's obligation undec this contract,
or if the Contractor shall violate any of the covenant:~ agreements or stipulations of this
contra~ the Agency sba11 therefore have the right. to terminate this contract by giving
written notice to the Contractor of such termination and specifj1ing the e1fective date of
such termination. The.Agency reserves the right to terminate this oontract based on the
.lack of federw. and/or state funds and/or the reduction of workload based on need
analysis determined by GEMA
7. Termination fur the Convenience of the Contractor, The Contractor may terminate
this oontra.ct at any time by giving written notice to the Agency of such termination and
specifYing the effective date thereof; at least thirty (30) days prior to the e1fective date
of such te.rminatiOIL In the event, all finished or unfinished documents and other
materials shall, at the option of the Agency. become the Agency's property.
8. Release of Product of Services to the Public Restricted. The Contractor shall not
release or deliver any of the final products of the Contractor's services required
thereunder to the general public or any local official until authorized to do so by the
Agency.
9. Cb.an8es. The Agency may from time to time; req~ changes in the Scope of SeMceS
ofthe Contractor to be performed thereunder. Such changes,. including any increase or
decrease of the Contractor's compensation, 'Which are mutually agreed upon by and
between the Agency and the Corrt:ractor> shall be inoorporated as written amendments
to this contract.
10. Ass@lability, The Contractor shaI1 not assign any interest in this contract, and shall not
transfer any interest in the same (whether by assignment or notation), 'Without the prior
written. consent of the Agenay thereto; prQvided however, that claims fur monies due
or become due to the Contractor from the Agency under the contract, may be assigned
to a bank, trust company or other financial institution without such approval. Notice of
such assignment or transfer shall be furnished to the Agency promptly.
11. Interest of ContraCt. The Contractor covenants that the Contractor presently has no
interest and shall not acquire any interest direct or indirect which would oonflict in any
ma.tlJ'm" or degree with the perfOlIlUUloo of the Contractors services thereunder. The

Contractor fUrther covenants that in the performance of this contract no person having
such interest shall be employed.
12. Findings Confidentig!, Any rep~ data, or the like given to or prepared or assembled
by the Contractor under this contract which the Agency requests to be kept
confidential shall not be made available. to any individual or organization by the
Contractor without priOT'app.roval of the Agency.
13. Cowrigbt No reports, data or other documents produced in whole or in part under
this contract shall be the subject of an application for copyright by o~ on behalf of the
Contractor.
14. Acoess to Records. The Contractor agrees ro give the Agency or the State Auditor,
through any authorized repres.emativ~ the access to and the right to examine all
records,. books, papers or documents related to the contract.
15. Ri2ht to Au~ The Contractor agrees to give the Agency or the State Auditor,
tbrough any authorized reprosentative the right to audit all records and books of
account related to the contract.
IN WITNESS WHEREOF the Agency and the Contractor have executed this agreement as of the date
first above written.
