FIRST AMENDMENT TO
l\UGUSTA METROPOLITAN CONVENTION AND VISITORS
PROFESSIONAL SERVICES CONTRACT
WITH
AUGUSTA-RICHMOND COUNTY
BUREAU, INC.
This FIRST AMENDMENT TO AUGUSTA METROPOLITAN CONVENTION AND
VISITORS BUREAU, INC. PROFESSIONAL SERVICES CONTRACT WITH AUGUSTA-
RICHMOND COUNTY is entered into as of the 21st day of October,
1997 I' by and between the AUGUSTA METROPOLITAN CONVENTION AND
VISITORS BUREAU, INC. (the "CVB") and AUGUSTA, GEORGIA by and
through the AUGUSTA-RICHMOND COUNTY COMMISSION ("AUGUSTA").
WHEREAS, the parties entered into that certain Professional
Services Contract effective December 3, 1996 (the "Contract");
WHEREAS, the Contract provides that Augusta is to pay CVB 100%
of the amounts collected as mixed drink taxes; and
WHEREAS, the parties desire to amend said provision to provide
for CL fixed-sum payment of the Augusta mixed drink tax revenues to
CVB.
NOW, THEREFORE, for and in consideration of the mutual
covenants and promises contained herein, and other good and
valuable consideration, the receipt and sufficiency of which are
hereby acknowledged, the parties hereto, intending to be legally
bound, do hereby agree as follows:
1. Section 3.1 of the Contract is hereby deleted in its
entirety and the following substituted therefor:
3.1 (a) In consideration of the professional services
to be performed by the AMCVB under the terms of this
contract, Augusta-Richmond County shall pay to the AMCVB
not less than forty (40%) percent of all monies collected
each year from its hotel-motel tax levied pursuant to
O.C.G.A. 48-13-50 et seq., plus the sum' of One Hundred
Twenty-Five Thousand and no/100 Dollars ($125,000.00) per
annum of the Augusta mixed drink tax revenues, to be paid
in equal monthly installments. Augusta-Richmond County
shall make said payments to AMCVB monthly on or before
the 15th day of each month and on a like day each month
during the term of this Agreement, commencing on or
before the 15th day of January, 1997.

(b) Notwithstanding any prior provision of this
Agreement, it is hereby understood and agreed that the
AMCVB shall be paid the sum of $125,000.00 for calendar
year 1997 (in addition to the hotel-motel tax monies for

said year). An adjustment shall be made, as necessary to
effectuate this provision, as to any wholesale beer and/or
mixed drink taxes previously paid to AMCVB during calendar
year 1997, and such adjustment shall be made as to the
December, 1997 payment.
2. All other provisions, terms and conditions of the
Contract remain in full force and effect.
IN WITNESS WHEREOF, the parties hereto have set their hands
and seals as of the day and date first above written.
