FIRST AMENDMENT TO
AUGUSTA METROPOLITAN CONVENTION AND VISITORS
BUREAU, INC.
PROFESSIONAL SERVICES CONTRACT
WITH
AUGUSTA-RICHMOND COUNTY
STATE OF GEORGIA
COUNTY OF RICHMOND
IT IS RECITED:
A. On October 4, 2004, Augusta Convention and Visitors Bureau,
Inc., formerly, Augusta Metropolitan Convention and Visitors
Bureau, Inc. ("CVB) and Augusta-Richmond County ("City")
entered into a professional services contract under which CVB
provides City with tourist and visitors services (the "Contract").
B. City and CVB have agreed to certain modifications to Section 3.5
of the Contract which Section relates to the City's Tourism Grant
Program.
C. CVB and City desire to amend the Contract to reflect CVB' s name
change and the modification to the Tourist Grant Program.
NOW THEREFORE, in consideration of the premises, the adequacy of
which is mutually acknowledged, the Contract has and is hereby
amended and modified as follows:
1. All references to "Augusta Metropolitan Convention and Visitors
Bureau, Inc." are changed to "Augusta Convention and Visitors
Bureau, Inc."
2. The following Subsection is added to Section 3.5 of the Contract:
"(g) CVB shall deduct and retain fifteen (15%) of the funds which are
the subject of this Section 3.5 for the purpose of covering the expense
of the administration of the grants to be made hereunder."

The Contract, as amended hereby, is ratified and confirmed by the City and
CVB.
IN WITNESS WHEREOF, the parties have caused these presents to be
executed by its dl;1.!l.~uthorized officers and their respective seals to be
