FIRST AMENDMENT
CONTRACT BETWEEN
AUGUSTA, GEORGIA
&
AUGUSTA MINI THEATRE, INC.
YEAR 2003 COMMUNITY DEVELOPMENT BLOCK GRANT (CDBG)
This First Amendment to the Contract executed by and between the Parties on
January 1, 2003 is made and entered into on the 18th day of September 2007, by and
between AUGUSTA, GEORGIA, (hereinafter referred to as "GRANTEE"), and
AUGUSTA MINI THEATRE, INC. (hereinafter referred to as the "SUB-
RECIPIENT").
WHEREAS, GRANTEE desires to amend the ORIGINAL CONTRACT to allow
the SUB-RECIPIENT to construct a community arts theatre in order to provide
instruction in art, drama, dance and music;
WHEREAS, SUB-RECIPIENT has determined that this amendment is in its
best interest and has agreed to the said amendment;
NOW THERFORE, in exchange for their mutual good and valuable
consideration, the receipt and sufficiency of which each PARTY acknowledges, and
intending to be legally bound, GRANTEE and SUB-RECIPIENT agree to amend said
CONTRACT as follows:

I. Paragraph (7) in the Original Contract shall be stricken in its entirety and
shall be replaced with the following language:
7. COMPENSATION
"The Sub-recipient shall be paid a total consideration of $206.404.ElEl for
the full performance of the services specified under this Contract. Any cost
above this amount shall be the sole responsibility of the Sub-recipient. The
Grantee shall be responsible for paying the contractor for work performed
under this agreement for the Sub-recipient."
II. Appendix (C) shall be stricken in its entirety and shall be replaced with the
following language:

"On January 1, 2003 Commission approved a CDBG in the amount of $46,100.00.
March 20, 2007 Commission approved an additional CDBG in the amount of
$10,304.55. July 10; 2007 Commission approved reprogramming $50,000 from 2007
grant funds. September 18,2007 Commission approved an additional CDBG amount of
$100,000.00. Total amount funded $206,404.55. See funding sources in chart below.

III. Except for the modifications made by this First Amendment, the terms
and conditions of the ORIGINAL CONTRACT, as previously amended, shall remain in
full force and effect.
