EMPLOYMENT CONTRACT
Augusta, Georgia, herein referred to as "Client" does hereby employ the firm of
Burnside Wall LLP, attorneys, to represent Augusta, Georgia for the recovery of
litigation expenses, including attorney fees and costs of litigation arising out of the
action brought by the McElmurray family against Augusta, Georgia seeking damages as
a result of the application of biosolids to the McElmurray farmland, Augusta, Georgia
hereby authorizes said attorneys to proceed against any insurance carrier from which,
in the best judgment of said attorneys, Augusta, Georgia is entitled to reimbursement
under the respective insurance policies for litigation expenses and other costs
associated with the McElmurray litigation.
It is understood and agreed that attorneys fees for representation in this matter
shall be thirty-three and one-third percent (33 1/3%) of all sums recovered either by way
of settlement or suit. In the event of no recovery, the Client will owe no attorneys' fees.
However, the Client agrees to bear all expenses associated with the attorneys' efforts to
make a recovery on its behalf as stated herein. The Client shall either pay said
expenses as they are incurred or agrees to reimburse said attorneys for any and all out-
of-pocket expenses incurred in the handling of this matter.
It is further understood and agreed that if, after investigation, said attorneys
determine in their opinion that the case is without merit or not economically feasible to
pursue, they shall have the right upon notice to Client to withdraw from further
representation, in which event no attorneys' fees will be due. Said attorneys, their

matters involved in said case and to receive any and all reports concerning same.

arising out of the action brought by the Boyce family against Augusta, Georgia seeking
damages as a result of the application of biosolids to the Boyce farmland. Augusta,

EMPLOYMENT CONTRACT

Burnside Wall LLP, attorneys, to represent Augusta, Georgia in the matter of recovery
of sales tax monies from the State of Georgia for which Augusta has sought a refund
from the Georgia Department of Revenue for materials used in the construction of the
new raw water pumping station, supply line, and treatment plant. Augusta, Georgia
hereby authorizes said attorneys to proceed against the Georgia Department of
Revenue.
It is understood and agreed that attorneys fees for representation in this matter
shall be thirty-three and one-third percent (33 1/3%) of all sums recovered either by way
