This first Amendment to the Contract executed by and between the Parties on the
~ day of November, 2006, is made and entered by and between AUGUSTA,
GEORGIA, (hereinafter referred to as "GRANTEE"), and .CARE MANAGEMENT
CONSULTANTS, INC. (hereinafter referred to as the "SUB-RECIPIENT").
WHEREAS, GRANTEE desires to amend the ORIGINAL CONTRACT to allow
the SUB-RECIPIENT top' effectively and efficiently administer its CARE XPRESS
TAANSPORTATION SERVICE;
WHEREAS, SUB-RECIPIENT has determined that this amendment is in its
best interest and has agreed to the said amendment;
NOW THEREFORE, in exchange for their mutual good and valuable
consideration, the receipt and sufficiency of which each PARTY acknowledges, and
intending to be legally bound, GRANTEE and SUB-RECIPIENT agree to amend said
CONTRACT as follows:

First and Second Sentence in Paragraph 1 of Paragraph (7), entitled
COMPENSATION on the Original Contract shall be stricken in its entirety and shall
be replaced with the following language:
"The Sub-recipient shall be paid a total consideration of $24,000.00 for
full performance of the services specified under this Contact. Any cost
above this amount shall be the sole responsibility of the Sub-recipient."

Paragraph 4 of Appendix (B) shall be stricken in its entirety and shall be replaced
with the following language:
"Community Development Block Grant (CDBG) funds will be used to pay
salaries for both the dispatcher and certified licensed driver, and
purchase gasoline and pay maintenance costs that has incurred for the
vehicles of Care Management Consultants, Inc., that are used to provide
transportation services for the elderly and disabled persons."

Appendix (C) shall be stricken in its entirety and shall be replaced with the following
language:

Total Grant Amount:
Note: On January 1,2006, Commission approved a CDBG in the amount
of $14,000.00. On November 9, 2006 Commission approved an
additional CDBG in the amount of$10,000.00. Total amount awarded
$24,000.00. See funding sources in chart below."

Except for the modifications made by this First Amendment, the terms and
conditions of the ORIGINAL CONTRACT, as defined, shall remain in full force and
effect.

Dear Paul:
The Augusta-Richmond County Commission, at their regular meeting held on Thursday,
November 9, 2006, took the following action.
1. Approved Final Version of Year 2007 Annual Action Plan for Community Development Block
Grant (CDBG), Emergency Shelter Grant (ESG), HOME Investment Partnership and Housing for
Persons with AIDS (HOPWA) Funds with the adjustment that funding of $100,000 from the
Economic Development Loan Program be moved to the Clearance and Demolition category for a
total of $200,000 and that ttie contingency funding of $50,000 be earmarked for demolition and
clearance at the site of the new Augusta Mini Theatre with the changes below. (Approved by
Administrative Services Committee October 30,2006)
CDBG Budaet
A. Reduce the Housing Rehabilitation program line item by $ 200,000. New total for the line
item is $544,325 .
B. Add a new project called Bethlehem Revitalization and budget $200;000 for the project.
Eligible activities under this project include acquisition, clearance and demolition, housing
rehabilitation and new housing construction.
HOME Budaet
A. Change the Demolition / Rebuild Program to Housing Rehabilitation. Funding to remain
the same at $160,000.
2. Approved Amendment to 2006 CDBG Contract with Georgia Legal Services. (Approved by
Administrative Services Committee October 30,2006)
3. Approved the reprogramming of $10,000 from the Aragon Park Housing Project and Award to
Care Management Consultants, Inc. (Approved by Administrative Services Committee October
30, 2006)
5. Approved the use of $4,000 in R-UDAG funds for one 12-week session of Micro Loan Business
Development Training. (Approved by Administrative Services Committee October 30,2006) .
8. Approved Resolution Authorizing Submission Year 2007 Annual Action Plan for Community
Development Block Grant (CDBG), Emergency Shelter Grant (ESG), HOME Investment
