This First Amendment to the Contract executed by and between the Parties on December 17, 2007, is made and entered into on the 27th day of May 2008, by and between AUGUSTA, GEORGIA, (hereinafter referred to as "GRANTEE"), and ASSET PROPERTY DISPOSITION, INC. (hereinafter referred to as the "SUBRECIPIENT"). WHEREAS, GRANTEE desires to amend the ORIGINAL CONTRACT to allow the SUBRECIPIENT to prepare a Neighborhood Revitalization Strategy (NRS) Plan and I an application to HUD for designation of Laney Walker and Bethlehem neighborhoods for GRANTEE; WHEREAS, GRANTEE has determined that this amendment is in its best interest and SUBRECIPIENT agrees to said amendment; NOW THERFORE, in exchange for their mutual good and valuable consideration, the receipt and sufficiency of which each PARTY acknowledges, and I intending to be legally bound, GRANTEE and SUBRECIPIENT agree to amend said CONTRACT as follows: (1) I. Paragraph (2) on the Original Contract shall be stricken in its entirety and shall be replaced with the following language: 2. SCOPE OF SERVICES "The Consultant will provide the "Services" set forth in Appendix A-I and A-2, attached hereto and incorporated herein by reference. It is understood and agreed by the parties that the services of the Consultant do not include any of the following: the disbursement or account of funds distributed by the GRANTEE'S financial officer, legal advice, fiscal audits or assistance with activities not related to the project." (2) II. Paragraph (4) on the Original Contract shall be stricken in its entirety and shall be replaced with the following language: Page 1 of 9 , " I First Amendment Contract Between Augusta, Georgia & Asset Property Disposition, Inc. Neighborhood Revitalization Strategy Plan 4. EFFECTIVE DATE AND TIME OF PERFORMANCE "This Contract takes effect on December 17, 2007. The services to be performed by the Consultant will be completed no later than May 31, 2008, for the Laney Walker and Bethlehem neighborhoods' action plan and August 18, 2008, for preparation of the Neighborhood Revitalization Strategy for Laney Walker and Bethlehem neighborhoods". (3) III. Paragraph (5) on the Original Contract shall be stricken in its entirety and shall be replaced with the following language: 5. COMPENSATION "For the satisfactory completion of the services to be provided under this Contract, the GRANTEE will pay the Consultant a sum not to exceed One Hundred Seventy-One Thousand, Five Hundred Seventy Dollars and no cents ($171,570.00), which the GRANTEE agrees to pay as set forth in "Appendix B - Compensation/Budget", attached her~to and incorporated herein by reference and stated below: Original Contract: $147,770 for preparation and implementation of a neighborhood action plan for the neighborhoods known as Laney Walker and Bethlehem; Amended Contract #1: $23,800 for preparation of the Neighborhood Revitalization Strategy (NRS) for Laney Walker and Bethlehem neighborhoods. Any cost above this amount shall be the sole responsibility of the SUB RECIPIENT. The Consultant may submit monthly requests for payment, based on actual work performed, which must be accompanied by an itemized invoice describing the services furnished, the number of hours worked to accomplish each item, the amount being billed for each item, a description of any other eligible expenses incurred during the billing period, and the total amount being billed". (4) IV. Except for the modifications made by this First Amendment, the terms and conditions of the ORIGINAL CONTRACT, as previously amended, shall remain in full force and effect. Neighborhood Revitalization Strategy Plan I APPENDIX A-l SCOPE OF SERVICES "Laney Walker/Bethlehem Action Plan" The Consultant will be responsible for preparation of a detailed neighborhood implementation action plan for the neighborhoods of Laney-Walker and Bethlehem. This Implementation Action Plan will be utilized by the Grantee for revitalization and future development in the designated neighborhoods. A. PROJECT BOUNDARIES 1. Contiguous parts of the neighborhoods of Laney-Walker and Bethlehem with the boundaries as outlined below; and 2. Will include workshops designed to confirm resident's references. APPENDIX A-2 SCOPE OF SERVICES "Neighborhood Revitalization Strategy - Laney Walker/Bethlehem" The Consultant will be responsible for the preparation of a Neighborhood Revitalization Strategy (NRS) Plan and an application to BUD for designation of the Laney Walker and Bethlehem neighborhoods as a NRS. A. TASKS, DELIVERABLES AND TIMETABLE Task #1: Review previous Neighborhood Revitalization Strategy application submitted to HUD in Year 2003. Deliverables: . Review the application and meet with HUD / Atlanta Regional Office staff to review the findings and the reason for denial. . Review current Consolidated Plan. Task #2: Content and approach to new submission to HUD The strategy should be designed to provide for the economic empowerment of the low-to- moderate income residents of a particular neighborhood (Laney Walker / Bethlehem) and long term improvements within a reasonable period of time. Neighborhood Revitalization Strategy Plan Deliverables: Meeting summaries Task #4: Final report, application submission, and follow-up with HUD The final report/application will include the deliverable in Tasks 1 thru 3 and programs to be undertaken in the NRS area that will improve the living environment and create opportunities for new jobs and economic development. The report shall also outline the baseline needs information for the designated NRS area and set benchmarks projections to indicate the results that will be achieved.
