MacKenzie Law Department 5o1 Greene, 3� Floor Augusta, Georgia 30901 Dear Andrew: Room 8o1- Municipal Building 53o Greene Street - AUGUSTA, GA. 30911 (7o6) 821 -2400 - FAX (7o6) 821 -2819 www.augustaga.gov The purpose of this letter is to set forth the compensation and other benefits Augusta- Richmond County (Augusta) has agreed to provide you (Employee) as the General Counsel and chief legal officer of Augusta- Richmond County. COMPENSATION The annual rate of compensation will be $136,359.36 per year. In the event that Augusta adopts a Senior Executive Staff (SES) program with SES salary ranges, the employee's salary will be adjusted to be consistent with the SES program. Increases for cost - of- living adjustments will be provided consistent with other Augusta Employees. Merit increases, if any, shall be based upon performance and shall be commensurate with those given other SES personnel, subject to the financial condition of Augusta. Employee's position as General Counsel shall be effective upon approval by the Commission but not earlier than any Fourteen (14) day waiting period required by Open Records. Employee's salary of $136,359.36 shall be effective May 4, 201o. Employee will be an "At Will" employee during the term of his employment. MOVI AND RELOCATION EXPENSES Employee shall be paid for expenses relating to packing and moving from South Carolina to Augusta- Richmond County payable in a lump sum payment of $3,000. Employee shall not be entitled to any other moving expenses. AUTOMOBILE ALLOWANCE Employee will receive an annual car allowance of $7,200 paid in equal installments with his regular pay. DEFERRED COMPENSATION In addition to the compensation referenced above, the employee will receive a yearly sum equal to $4,000, paid into a deferred compensation account established by Augusta. PROFESSIONAL DEVELOPMENT Augusta shall budget and pay for reasonable travel and subsistence expenses of Employee for professional and official travel, meetings and occasions necessary to continue the professional development of employee. DUES AND SUBSCRIPTIONS Augusta agrees to budget and pay for the professional dues and subscriptions of the employee necessary for his continuation and participation in national, regional, state and local associations and organizations necessary and desirable for Mr. Andrew MacKenzie May 26, 2010 Page z his continued professional participation, growth and advancement, and for the good of the Employer. OTHER BENEFITS The General Counsel position is a department director position and shall be classified at the highest level of the SES Benefits Program. Employee will be provided all incentives and benefits offered to SES personnel at this level and shall be immediately credited with an additional five years of service. Employee will also be provided all other benefits (health, dental, life, long term disability and pension) afforded to employees of Augusta with five years of additional service credit, which includes the accrual of one and a half (1.5) days of vacation per month. Augusta shall not at any time during the term of this agreement reduce the salary, compensation, or other financial benefits of Employee, except that Employee shall be subject to mandatory furlough days if such are imposed on other SES personnel. SEVERANCE PAY In the event Employee is terminated by the Commission during such time that Employee is willing and able to perform his duties as General Counsel, Employer agrees to pay Employee severance pay equal to six (6) months pay and benefits. Employee shall also be compensated for all earned vacation, holidays, PTO days and other accrued benefits to date. In the event that Employee is terminated for cause or a felony conviction, Augusta shall have no obligation to pay the severance sum designated in this paragraph. Sincerely, / ov'�� rederick L.
