'-i .' CONSULTING AGREEMENT This AGREEMENT dated this.3~ay Of~2001,;bY and between AUGUSTA. Georgia on .I behalf of RIVERWALK SPECIAL EVENTS, an ijrumentality of Augusta, Georgia (herein referred to as "Augusta ") and MARLENE WILLARD (herein referred "Consultant "). I WHEREAS, AUGUSTA desires to engage the services of the Consultant, as an independent contractor, to develop and to promote events for Riverwalk Special Events. WHEREAS, CONSULTANT, an independent contractor, desires to contract with Augusta to develop and to promote events for Riverwalk Special Events. NOW, THEREFORE, FOR AND IN CONSIDERATION OF the covenants and obligations herein, and other good and valuable consideration, the receipt of and sufficiency of which is hereby acknowledged, the parties agree as follows: 1. CONSULTATIONS: Consultant shall develop events, secure corporate and media sponsors, prepare news releases and promotions, act as liaison with other local agencies and entities, and other related duties for Riverwalk Special Events. 2. INDEPENDENT CONTRACTOR: Consultant enters into this Agreement and will remain throughout the term of this Agreement, as an independent contractor. Consultant agrees that Consultant is not and will not become an employee, agent or principal of Augusta while this Agreement is in effect. Consultant is not entitled to the rights or benefits afforded to Augusta's employees, including disability or unemployment insurance, workers' compensation, medical insurance, sick leave or any other employment benefit. Consultant is responsible for providing, 'i; 'i j.. 7 ;.,' at Consultant's own expenses, disability, unemployment, worker's compensation, other insurance for Consultant. 3. TAXES: Consultant is responsible for paying when due all income taxes incurred as a result of the compensation paid by Augusta to Consultant for services under this agreement. Consultant agrees to indemnify Augusta for any claims, costs, losses, fees, penalties, interest or damages resulting from Consultant's failure to comply with this provision 4. COMPENSATION: As compensation for the services rendered by Consultant under this agreement, Augusta shall pay Consultant at the rate of per hour: however, in no event shall the total compensation to the Consultant be more than $10,500 under this Agreement. Consultant shall work no more than twenty-five hour per week as determined by the Director of Riverwalk Special Events. Consultant shall not be required to devote full time, attention and energy to this performance of Consultant's duties pursuant to this Agreement. 5. LIABILTY: Consultant shall indemnify, defend, and hold Augusta harmless from any and all claims, demands, and cause of actions, losses, damages, fines, penalties, liabilities, costs and expenses, including attorney's fees and court costs, sustained and incurred by or asserted against Augusta by reason of or arising directly from Consultant's Gross Negligence. 5. PROPERTY RIGHTS: All records and documents created under the terms ofthis agreement shall be the exclusive property of Augusta. 6. TERMS: This respective duties and obligations of the contracting party shall be for shall be for a period commencing on April 1, 2001 and ending on December 31, 2001. ~ '. -::,..""."'- ...-.' 7. AMENDMENTS: Except as otherwise herein provided any and all amendments, additions and deletions to this agreement shall be null and void unless approved by the parties in writing. 9. VENUE: All issues relating to this contract shall be decided in the Superior Court of Richmond County, Georgia. The Parties by executing this Agreement specifically consent to jurisdiction and venue in the Superior Court of Richmond County and waives any right to contest the same. 10. COMPLETE AGREEMENT: This contract represents the complete agreement between the parties. Each party to this Agreement acknowledges that any party or anyone acting on behalf of any party, orally or otherwise, has made no representation, inducements, promises, or agreements, which are not embodied herein. .
