analysis for the Prestressed Concrete Cylinder Pipelines (PCCP) operated by AUGUSTA UTIUTIES
DEPARTMENT (AUD) as a provision of Condition Based Asset Management Best Practices.
Remote Field Eddy CurrentITransforn:ner Coupling Inspection (RFECrrC)
a) General
Pressure Pipe Inspection Company (USA) Inc. (hereinafter referred to as PPIC) will supply all test
equipment required to perform an internal inspection of portions of PCCP pipelines using its
patented Remote Field Eddy Current/Transformer Coupling (RFEC{TC) technology. The purpose of
this inspection is to identify, localize, and quantify the presence of broken prestressing wire in
segments of PCCP, and to permit remediation of these areas by the AUD. PPIC shall supply trained
technicians as required to operate the RFEC{TC equipment, perform the inspection, and analyze the
data. The project will be completed in one phase.
b) Pipeline operation during testing
The AUGUSTA UTIUTIES DEPARTMENT will keep the pipeline out of service as described in the
attached Standard Provisions.
c) Work to be performed
PPIC will complete an internal inspection of the nominated water system.
i) As necessary, PPIC personnel shall collect RFEC{TC data from the stretch of pipe approximately
20,330 feet in length (4 miles). The diameter of the Interpace raw water pipe is 42 ", and the
alignment runs from inside the gate at the end of Riverlook Drive at the Water Treatment Plant
to the Richmond County Reservoir, at one area going through Augusta National Golf Course.
ii) Following the RFEC{TC testing, a comprehensive review of the data will be performed that will
identify those pipe sections in which there are broken prestressing wires, as well as the
locations on the pipe and the approximate number of broken wires present at each location.
d) Fee and payment schedule
The cost to AUGUSTA UTIUTIES DEPARTMENT to perform the calibration, analysis, and
comprehensive review shall be $111,500, payable to Pressure Pipe Insoection Comoanv (USA)
Inc. of 16099 North 82nd Street, Suite Bl, Scottsdale, Arizona, 85260
i) 30% of the Phase amount shall be invoiced upon completion of actual field inspection.
ii) Balance of each Phase shall be due upon delivery of RFEC{TC results in final report form.
e) Payment terms
Payment terms are:

i) Net 30 days from date of invoice.
ii) A finance charge of 1% will be added for each month an invoice remains unpaid after 30 days.
iii) This proposal is net of all applicable taxes. '
f} Deliverable
A report, "RFEC[TC Test Results", that details the review of the RFEC[TC data, shall be submitted
eight weeks after completion of the inspection. In this report, distressed sections of PCCP shall be
identified. These distressed pipes shall be ranked in order of the quantitative estimates of the
number of broken prestressing windings in each pipe.
g) Condition Assessment Data Presentation
Condition assessment data will be presented in both tabular and graphical hard copy format for
your review. Survey co-ordinates must be provided by AUGUSTA UTILITIES DEPARTMENT if full
GPS mapping is required. Should AUGUSTA UTILITIES DEPARTMENT require the full GIS tool set
for manipulation and interrogation of the data the price shall be $3,000 per mile. This will include:
presentation of the data in electronic format, the PPIC pipe database and toolset. There will be an
additional cost for training and installation. '
h) Milestones
Tentative milestones for the RFEC[TC Testing Program are:

Inspect 4.0 miles of pipe
Submit Final report of RFEC[TC inspection
A PPIC Project Manager will contact you to confirm these milestones upon receipt of a signed
agreement.
i) Allocation of resources
The company will make best efforts to reserve resources and personnel to undertake the requested
inspection and analysis, when the client has verbally committed to undertake such an inspection,
and has indicated the preferred dates.
However, no equipment will be shipped, or flights and accommodation booked, until a written
confirmation is received from the client.
A PPIC Project Manager will contact you to confirm the allocation of resources.
j) Late confirmation
If this written confirmation is not received at least two (2) weeks prior to the inspection then a late
order charge of $4000 will be applied, to cover the increased cost of arrangements.
k) Cancellation charge
If a contract is cancelled within 2 weeks of the inspection date, resulting in incurred costs and lost
opportunity for PPIC, a late cancellation charge of 30% of the anticipated contract value will be
applied.
I) Support
PPIC will provide support and answer questions on the Condition Assessment Report produced, for
up to 30 days from the date of final (hard copy) report delivery. After that date, support is
available, but may be on a chargeable basis at $100 per hour, plus expenses, depending on the
nature of the enquiry and resources required to respond.

Effective Date

STANDARD PROVISIONS INCORPORATED INTO AGREEMENT FOR SERVICES TO:
CLIENT: Augusta Utilities Department, Augusta, GA
1, CONTRACT - These Standard Provisions and the accompanying Proposal or Agreement constitute the full and
complete Agreement of the parties and may be amended, added to, superseded, or waived only if both parties
specifically define in writing an official amendment of this Agreement.
2, RIGHT OF ENTRY - When entry to property is required by the work, the Client agrees to obtain any required legal-
right-of entry on the property at no cost to PPIC,
3. DOCUMENTS - All reports, notes. drawings, specifications, test data, calculations, and other documents prepared by
PPIC are instruments of PPIC's service that shall remain PPIC's property, The Client agrees not to use PPIC-
generated documents for marketing purposes or for projects other than the project for which the documents were
prepared by PPIC without PPIC's express written pennission,
Any reuse or disbursement to third parties without such express written pennission or project-specific adaptation by
PPIC will be at the Client's sole risk and without liability to PPIC or its subsidiaries, independent professional
associates, sub consultants, and subcontractors. Accordingly, Client shall, to the fullest extent pennitted by law,
defend, indemnify, and hold hannless PPIC from and against any and all costs. expenses, fees, losses, claims,
demands, liabilities, suits, actions, and damages whatsoever arising out of or resulting from such unauthorized reuse
or disbursement.
4, TEST DATA - PPIC will collect and store test data from electro-magnetic testing, acoustic testing, or other methods.
This data shall be the sole property of PPIC, '
5, CONFINED SPACE ENTRY - The scope of PPIC's services for this Agreement may require entry into confined
spaces. The Client shall be responsible for rendering these areas safe for the services included in this Agreement,
including locking and tagging pumps, valves and motors; de-watering areas to pennit movement of persons and
equipment; vector and rodent control; ventilation and monitoring of air quality; preparing entry pennits; providing
personnel and equipment for communication and recovery; and meeting the requirements of federal and local
government authorities.
6, DE-WATERING -If the services of this Agreement include inspections inside of existing pipelines, the Client shall be
, responsible for de-watering the pipeline sufficiently to perfonn the work, In pipelines 66" in diameter and smaller, de-
watering shall be done such that no more than 4" of water remains in the pipeline at any location throughout the
portion to be inspected. In pipelines 67" and larger, there shall be no more than 10" of water at any location in the
portion being inspected.
In addition, there shall be no more than 2" of mud or silt at any location throughout the portion to be irispected,
These maximum amounts of water, mud, and silt, when there, can only be tolerated for distances of less than two
consecutive pipe sections because these conditions will result in significant degradation of the collected data which
may impact PPIC's ability to effectively analyze the data,
7. CONSTRUCTION SERVICES - When construction-phase services are included in the Agreement, PPIC will provide
personnel to evaluate whether construction is in general accordance with the construction contract, but not to
perform detailed observations or inspections of the work,
PPIC is not a guarantor or insurer of the contractor's work; the contractor is solely responsible for the accuracy and
adequacy of construction and for all other activities perfonned by the contractor, including the methods of
construction; supervision of personnel and construction; control of machinery; false work, scaffolding, and other
temporary construction aids; safety in, on, and about the job site; and compliance with OSHA and all other applicable
regulations,
PPIC's evaluation of the contractor's perfonnance will not include review or observation of the adequacy of the
contractor's safety measures or of safety conditions on the project site nor of Contractor's means or methods of
construction.
8, STANDARD OF CARE - PPIC and its subsidiaries, independent professional associates, sub-consultants, and
subcontractors will exercise that degree of care and skill ordinarily practiced under similar circumstances by
engineers, scientists, and other professionals providing similar services. Client agrees that services provided will be
rendered without any warranty, express or implied.
9, OPINION OF STRUCTURAL CONDITION - PPIC provides testing and condition assessment of concrete pipelines
using advanced technologies and methods, These methods and procedures are continually being developed by
PPIC and its associates and are currently not available anywhere except from PPIC, These technologies will be
used diligently and carefully by PPIC to identify areas of pipelines in structural distress. Client acknowledges that

these technologies are developmental within PPIC, and that services provided are rendered without any warranty,
, expressed or implied, of their accuracy,
1 Q, SUSPENSION OF WORK - The Client may, at any time, by written notice, suspend further work by PPIC. The Client
shall remain liable for. and shall promptly pay PPIC for all services rendered to the date of suspension of services
plus suspension charges, Suspension charges shall include the cost of assembling documents, personnel and
equipment rescheduling or reassignment, and commitments made to others on Client's behalf,
If payment of invoices by the Client is not maintained current, PPIC may, upon written notice to the Client, suspend
further work until payments are brought current The Client agrees to indemnify and hold PPIC harmless from any
claim or liability resulting from such suspension,
11. CHANGES OR DELAYS - Unless the accompanying Proposal provides otherwise, the proposed fees constitute
. PPIC's estimate to perform the services required to complete the 'Project, Required services often are not fully
definable in the initial planning; accordingly, developments may dictate a change in the scope of services to be
performed, Where this occurs, changes in the Agreement shall be negotiated and agreed upon by all parties and an
equitable adjustment shall be made, prior to the work being done,
Costs and schedule commitments shall be subjected to renegotiation for unreasonable delays caused by the Client's
failure to provide specified facilities, direction, or information, or if PPIC's failure to perform is due to any act of God,
labor trouble, fire, inclement weather, act of govemmental authority, failure of transportation, accident, power failure,
or interruption of any other cause beyond the reasonable control of PPIC. Temporary work stoppage caused by any
of the above may result in additional cost beyond that outlined in the accompanying Proposal,
12, LIABILITY - PPIC will fumish appropriate insurance certificates for general and professional liability upon request
The Client agrees that PPIC's total liability to the Client for any and all injuries, claims, losses, expenses, or damages
whatsoever, including attomey's fees, arising out of or in any way related to the Project or this Contract from any
cause or causes, including, but not limited to, PPIC's inaccuracy in assessing pipeline structural condition; PPIC's
negligence, errors, omissions, strict liability, or breach of contract shall not exceed the total amount recoverable from
such insurance,
13, CONFLICTS OF INTEREST - This assignment may involve parties with adverse interests to clients with whom PPIC
has current or past relationships. It is PPIC's policy to make reasonable attempts to identify such relationships prior
to acceptance of a professional assignment, but PPIC cannot assure that conflicts or perceived conflicts will not
arise, and PPIC does not accept responsibility for such occurrences.
14. INDEMNIFICATION - PPIC shall, subject to the limitation of liability contained in Section 12, indemnify the Client for
any loss or damage solely caused by the professional negligence of PPIC in performance of the services under this
Agreement
15, MISCELLANEOUS
Precedence: These Standard Provisions shall take precedence over inconsistency or contradictory provisions
contained in any proposal, contract, purchase order, requisition, notice to proceed, or like document
Governing Law: The laws of the state in which the PPIC office executing this Agreement is located shall
govern the validity and interpretation of this Agreement
Invalid Terms: If any of these Standard Provisions shall be finally determined to be invalid of unenforceable in
whole or in part, the remaining provisions hereof shall remain in full force and effect and be binding upon the
parties, The parties agree to reform the contract between them to replace any such invalid or unenforceable
provision with a valid and enforceable provision that comes as close as possible to the intention of the stricken
provision,
PPIC Reliance: Unless otherwise specifically indicated in writing, PPIC shall be entitled to rely, without liability,
on the accuracy and completeness of information provided by Client, Client's consultants and contractors, and
information from public records, without the need for independent verification,
Certifications: PPIC shall not be required to sign any documents, no matter by whom requested, that would
result in PPIC's having to certify, guarantee, or warrant the existence of conditions that PPIC cannot ascertain,
Third Parties: Nothing contained in this Agreement shall create a contractual relationship with, or a cause of
action in favor of, a third party against either the Client or PPIC, PPIC's services hereunder are being
performed solely for the benefit of the Client, and no other entity shall have any claim against PPIC because of
this Agreement or PPIC's performance of services hereunder.
