LETTER OF AGREEl\'lENT
This letter confirms that Augusta Utilities Department (Customer) and Georgia Power
Company (Company) agree that Customer's facility located at 1506 Four H Club Rd.
will be placed on Company's Real Time Pricing Day Ahead (RTP) Tariff, subject to the
terms and provisions of the RTP-DA Tariff, the Company's Rules Regulations and Rate
Schedules for Electric service on file with the Georgia Public Service commission, and
the Georgia Territorial Electric Service Act. Customer also agrees its Customer Baseline
Load (CBL) will be established based on the 1997 billing history for account #
4281565002.
For the RTP Rate, Customer has elected to pay an Administrative Charge of 1ZI $155 per
month (and the Customer provides a computer and modem meeting the Company's
specifications for use in receiving RTP prices) or 0 $250 per month (and the Company
furnishes a personal computer, printer, and modem to be used for receiving RTP prices).

The Company has granted the Customer a limited, nonexclusive liCense to certain
computer programs for the Customer's use in receiving and verifying price notifications
from the Company during the term of this Addendum. No other use is permitted. These
programs are proprietary to the Company, its parent or affiliates. The Customer will use
its best efforts to protect this proprietary information; and neither the Customer nor its
employees, agents or independent contractors will copy, transfer in any way,
communicate, disclose, disseminate or reverse engineer the computer programs or
proprietary information contained therein to any third party. All hourly price information
furnished by the Company to the Customer shall be held in confidence and shall not be
disclosed by the Customer to any third party.

be placed on Company's Real Time Pricing Day Ahead (RTP) Tariff, subject to the terms
and provisions of the RTP-DA Tariff, the Company's Rules Regulations and Rate
Schedules for Electric service on file with the Georgia Public Service commission, and
the Georgia Territorial Electric Service Act. Customer also agrees its Customer Baseline
