L Agreement and Parties
On February 17, 2003, the U.S. Federal Emergency Management Agency (FEMA)
awarded $2,900,741 to Georgia through the Office of Planning and Budget/Georgia
Emergency Management Agency to perform the program. This award was made after
Georgia Emergency Management Agency's successful application for the above
mentioned funding pursuant to the 2002 Supplemental Appropriations Act for Further
Recovery from and Response to Terrorist Attacks on the United States (Public Law (PL)
107-206). This document is the Grantee - Subgrantee Local All Hazards Emergency
Operations Planning Agreement, hereinafter referred to as the Agreement.
Under this Agreement, the interests and responsibilities of the Grantee, hereinafter
referred to as GEMA, will be executed by the Georgia Emergency Management
Agency. The individu~l designated to represent the State is Mr. Mike Sherberger. The
State has designated Mr. Keith Wages as the program manager of this program. The
Subgrantee is the Augusta-Richmond County Emergency Management Agency,
hereinafter referred to as the J,ubgrantee in thi.s Agreement. The Subgrantee's
Authorized Representative is . wA~d j.L/~~ . The Subgrantee's
Authorized Representative will execute the interests and responsibilities of the
Subgrantee. The <:1rantee's and Subgrantee's signatures appear on page 5 of this
agreement.
The amount of this Agreement is $53,084.

m Terms and Conditions
1. The Subgrantee agrees to perform all work in accordance with Exhibit C, the
Scope of Work!LEOP Template or, if not, contracting with GTARC/GTRI,
Exhibit E. Any change to the Scope of Work shall be requested in writing by
the Subgrantee and shall be approved by the Program Manager prior to the
execution of the requested change.
2. Each local emergency management agency must furnish an updated Local
Emergency Operations Plan (LEOP) to the state by February 2,2004. GEMA
has entered into an agreement with Georgia Tech Applied Research
Corporation (GTARC) and the Georgia Tech Research Institute (GTRI)
(project Number A-7094) to develop Georgia's Emergency Operation Plan. If
contracting with GTRI, they will provide each local emergency management
agency software too'1s to develop its LEOP. This software will contain all of
the planning elements required by FEMA. The Subgrantee is not required to
use this software or engage GT ARC and GTRI to develop its LEOP.
However, final reimbursement to the Subgrantee will be made only upon
submission of an acceptable LEOP that conforms to the specifications used by
the GTRI software. Failure to submit an acceptable LEOP conforming to the
GTRI software specifications shall constitute failure to comply with this
Agreement and resuh in withholding of reimbursement until an acceptable
LEOP is submitted by the Subgrantee. To engage GTARClGTRI, the

3. The Subgrantee is' requested to declare its intent to contract with
GTARC/GTRI. To complete this Agreement, the Subgrantee must declare its
intent regarding contracting with GTARC/GTRI by completing Exhibit D.
Upon a declaration of intent to contract with GTARClGTRI, GTARC/GTRI
will invoice the Subgrantee for access to the software. The amount allocated
for this cost is $7,129.
4. Federal funds provided under this program are for 100% reimbursement of all
eligible expenditures in compliance with Title 44 of the Code of Federal
Regulations, Part 13. (44 CFR Part 13). The Catalog of Federal Domestic
Assistance number for the grant funding this agreement is 83.562.

5. The Subgrantee agrees to comply with all Fiscal Year (FY) 2002
Supplemental Grant Guidance for Emergency Operations Planning (Exhibit
E), this Agreement, and any other applicable federal or state law and
regulation. Failure to cOmply with the preceding documentation shall
constitute failure to comply with this Agreement and shall be cause for
withholding of reimbursement. If the Subgrantee fails to comply with the
preceding documentation, GEMA shall notify the Sub grantee that additional
fmancial assistance for this Agreement shall be withheld until such violation
has been corrected to the satisfaction of GEMA. In addition, GEMA may also
withhold all or any portion of financial assistance which has been or is to be
made available to the Sub grantee for other projects under this Agreement until
adequate corrective action is taken. If the Subgrantee does not complete the
prescribed corrective action, the Agreement shall be terminated and no further
reimbursement will be made.
6. The Subgrantee agrees that federal or state officials and auditors or their duly
authorized representatives may conduct required aud'its and examinations.
The Subgrantee further agrees that they shall have access to any books,
documents, papers and records of any recipients of this funding and of any
persons or entities which perform any activity which is reimbursed under this
Agreement.
7. No elected or appointed official or employee of the Subgrantee shall be
admitted to any share or part of this Agreement, or to any benefit to arise
thereupon; provided, however, that this provision shall not be construed to
extend to any contract made with a corporation for: its general benefit.
8. The Subgrantee agrees the work under this Agreement shall be completed by
February 2, 2004. The Subgrantee may request an, extension under this
Agreement to' the extent which FEMA will allow. Any extension requested
shall be made in writing to the program manager.
IV. Payments and Advances
1. Payments to the Subgrantee shall be made only upon presentation of Exhibit
F - Invoice. 'Payment of the invoice will only be made upon approval of the
Program Manager. , Work not performed according to this Agreement will
constitute justification for non-payment of invoice.
2. The Subgrantee may request in writing and with submission of an invoice an
advanced payment of an amount not to exceed fifty percent (50%) of the
Agreement amount. The Subgrantee may request in writing a progress
payment of an amount not to exceed 25% of the agreement amount three
months after execution of the agreement.

3. Final payment of this Agreement shall be made only upon submission of the
Subgrantee's final approved LEOP. The program manager will approve all
submissions of the LEOP. Failure to submit an approved LEOP will
constitute failure to comply with this Agreement. Final payment shall be
withheld until an approved LEOP is submitted. If the Subgrantee fails to
submit an approved LEOP, this Agreement shall terminate. Upon failure to
submit an approved LEOP, the Subgrantee agrees to reimburse GEMA for all
expenditures incurred under this Agreement.
V. Agreement Changes and Termination
1. There shall be no changes to this Agreement unless mutually agreed upon by
both parties to the Agreement.
2. Termination. This Agreement may be terminated for the following reasons:
Cause/Default - This Agreement may be terminated for cause, in whole or in
part, at any time by the State for failure of the Subgrantee to perform any of
the provisions herein. If the State exercises its right to terminate this
Agreement under the provisions of this paragraph, the termination shall be
accomplished in writing and specify the reason and termination date. The
Sub grantee will be required to submit the final invoice not later than 30 days
after the effective date of written notice of termination. Upon termination of
this Agreement, the State shall not incur any new obligations after the
effective date of the termination and shall c8Jlcel as many outstanding
obligations as possible. The above remedies are in addition to any other
remedies provided by law or the terms of this Agreement.
Convenience - This Agreement may be terminated by either of the parties
without cause; however, the party seeking to terminate this Agreement must
give written notice of its intention to do so to the other party at least 30 days,
prior to the effective date of termination.
Non-availability. of funding - Notwithstanding any other provision of this
Agreement, in the event that either of the sources of reimbursement for
services under this Agreement (appropriations from the General Assembly of
the State of Georgia or the Congress of the United States of America) no
longer exist or in the event the sum of all obligations of GEMA incurred under
this and all other agreements entered into for this program exceeds the balance
of such agreement sources, then this Agreement shall immediately terminate
without further obligation of GEMA as of that moment. The certification by
the Director of GEMA of the occurrence of either of the events stated above

3. In performing all work under this Agreement, the Subgrantee and its sub
recipients will comply with FEMA's FY 2002 Supplemental Grant
Guidance for Emergency Operations Planning (Guidance) and the
Uniform Administrative Requirements for Grants and Cooperative
Agreement to State and Local Governments (44 CFR Part 13). Failure to
comply with the Guidance or 44 CPR Part 13 will constitute breach of this
agreement. Upon breach of this agreement, the Grantee (GEMA.) may resolve
such breach by any remedy available including termination of the Agreement.
