Goodall Properties, Inc.
Dear Lena:
I enclose herewith the original of the executed Lease Agreement between
Augusta, Georgia and Goodall Properties, Inc. for the lease of sixty parking spaces at the
Municipal Parking Garage.
By carbon copy of this letter, I am forwarding copies to Rick Acree and Donna
Williams. I am also enclosing in the transmittal to Donna Williams a check in the amount of
$10,000.00, representing prepayment of rent at the rate of $600.00 per month.
Also, by carbon copy to Rick Acree, I am asking that he notify Donna Williams
of the move in date by the Department of Corrections in the space being renovated on Greene
Street, since the term begins on the later of October 1,1999, or the move in date.

AGREEMENT
THIS AGREEMENT is made and entered into as of the J.0ay of May, 1999
by and between AUGUSTA, GEORGIA, acting by and through the Augusta-Richmond County
Commission (the "City"), and Goodall Properties, Inc. ("Goodall").
For and in consideration of the mutual promises and covenants hereinafter set
forth, and other good and valuable consideration, the receipt and sufficiency of which are hereby
acknowledged, the parties hereto agree as follows:
(I) LEASE OF SPACES. The City hereby leases to Goodall sixty (60)
parking spaces located at the Municipal Parking Garage, Ellis Street, Augusta, Georgia (the
"Spaces"). Said Spaces shall be available exclusively to Goodall from 6:00 A.M. through 8:00
P.M. Monday through Friday. City agrees to maintain the lighting within the Municipal Parking
Garage and in any event will replace or repair any nonfunctional light promptly after notice from
Goodall. City agrees to provide routine cleaning service at the Municipal Parking Garage which
is reasonably customary for parking garages.
(2) PAYMENT TO CITY. In consideration of the lease of parking spaces as
set forth in Section I above, Goodall hereby agrees to pay to City the sum of Six Hundred and
No/IOO ($600.00) Dollars per month, for the term of this agreement. Said payments shall be due
on or before the first day of each month of the term of this Agreement. Rental for any partial
month shall be prorated. The sum ofTen Thousand and No/IOO ($10,000.00) Dollars is being
pre-paid upon execution of this Agreement.
(3) TERM AND TERMINATION. This Agreement shall be effective as of
the 1 st day of October, 1999 or the move-in date by the Department of Corrections under a
Rental Agreement dated March 5, 1999, between Andrew R. Allgood and Department of
Corrections, whichever date is later, and continue for a period of two (2) years, ending the 31 st
day of January, 2001.
(4) NOTICES. For purposes of this agreement, notices shall be deemed
given by certified mail, return receipt requested, sent to:

(5) NO ASSIGNMENT. This agreement may not be assigned by Goodall
without the prior written consent to the City.
(6) RELEASE AND INDEMNIFICATION. Goodall hereby releases the
City from any and all liability to GOODALL arising out of or in connection with Goodall lease
of the Spaces. Goodall agrees to indemnify and hold harmless the City from any claim, demand,
cause of action, suit and/or liability arising out of any injury to the person or property of a
Goodall employee or contractor while present with the Municipal Parking Garage during the
effective hours of this Agreement. Goodall agrees to indemnify and hold harmless the City from
any claim, demand, cause of action, suit and/or liability arising out of any injury to a person or
property to the extent caused by any act or omission of a Goodall employee, contractor or
representative while present or within the Municipal Parking Garage during the effective hours
of this Agreement. For purposes ofthis Section, "City" includes its officers, elected officials,
agents, employees and representatives. These indemnification obligations do not run to casualty
or fire damage to the Municipal parking Garage.
(7) MISCELLANEOUS. Time is of the essence of this agreement. This
agreement shall be governed by and construed pursuant to the laws of the State of Georgia. This
agreement is binding on the successors and assigns ofthe parties hereto. Goodall shall be
allowed to post notices regarding Goodall's lease of the Spaces as set forth herein.
(8) VENUE. All claims, disputes and other matters in question between the
Goodall and the City rnising out of or relating to the agreement, or the breach thereof, shall be
decided in the Superior Court of Richmond County, Georgia. Goodall, by executing this
agreement, specifically consents to venue in Richmond County and waives any right to contest
the venue in the Superior Court of Richmond County, Georgia.
