'.AGL Distribution Charges" shall mean those charges assigned to Seller for Buyer's account to
provide regulated distribution service from the citygate to the Buyer's meter, including Customer

GMA's Gas Aggregation Service is off to a great start. In the past three weeks, more
than 70 cities have joined the program. We have also been answering questions
regarding the service from many cities, so I thought it might be helpful to share the
answers to some of the most common ones:

Atlanta Gas Light (AGL) will continue to deliver gas and provide all field services, such
as installing and reading meters. For any emergencies, you will continue to contact AGL.
SCAJ."TA Energy wIarketing, Inc. will deliver the gas to AGL to deliver to you. You will
only receive one bill, which will be from SCA1~A. On the bill will be a number to contact
AGL for field service and emergency issues, and a number to contact SC.A.NA for pricing
and billing questions.
Is there a reason to act auicklv?
Cities use as much as 40% of their natUral gas for the year from Febnl:ary through April.
If you sign up by January 20, we will be able to switch your service beginning February 1,
saving you much more money than you will save by switching at a later date.
Is there a certain date bv which I have to choose a marketer?
Atlanta Gas Light will eventually no longer sell gas. The Public Service Commission has
divided the state into nine service areas. Once 33% of customers in a service area have
chosen a gas marketer, and 18% of customers have chosen a marketer other than an AGL-
affiliate, the remaining AGL customers in that service area will be assi!IDed to a marketer

What is the price for the Q'as?
There are two parts to your gas bill: one is a distribution charge and the other is a
consumption charge. Regardless of which marketer you choose, the distribution charge
should be the same, because the distribution part of your gas service has not been
deregulated. You can find out what your distribution charge will be by looking at the
"Base Charge" line on your last Atlanta Gas Light bill.
The consumption charge is based on how much gas you use. Under our aggregated
agreement, you will pay a price tied to the NYNlEX Gas Futures Index, which is a futures
contract index traded on the New York t-.I!ercantile Exchange. The price will be between "
.6.3~ and 8.3~ above the NYNfEX index, depending on your geographic location. Your
price for January would have been between 24~ and 26~ per thermo For comparison
purposes, Atlanta Gas Light's price per therm was 50~ - 60~ in December.
What is the term of the contract?
The contract will run from the date that gas service is switched to SCA1~A through
December 31, 1999.
Are vou offering a special deal to government emplovees at home or citizens?
We're working on it! Ifwe are able to arrange a special deal for employees and citizens,
we will let you know as soon as possible.
What do I have to do to si m up?
If you have already provided us account data, sign a Gas Aggregation Service
Confirmation Form, verify the accuracy of the account data we have provided you, and
fax the confirmation form to Giv!A at (404) 420-1656.
If you have not previously provided account data, sign a Gas Aggregation Service
Confirmation Form and complete an Account Data Form and fa"X them both to GMA at
(404) 420-1656.

Overview - Sectiou 1
1.1 Purpose: The purpose of this document is to provide general and specific infonnation
for use by vendors in submitting a bid to supply the fum natural gas requiremenrs of the
Georgia Municipal Associations (GMA's) Gas Aggregation Service members
(hereinafter referred to as ''GAS''.
1.2 BackgroUDd: The Georgia Municipal Association is a voluntary, non-profit asscciation
of 464 cities and t30 private settor ~cciate members. G1v1A's purpose is to anticipate
and influence the forces shaping Georgia's communities and to provide leadership, too~
and setVices that assist locai governmentS in becoming more innovative. effective and
responsive.
Atlanta Gas Light currently provides narural gas in 231 municipals in the Stare of
Georgia under franchised service territory agreements. While an e."<.act number is
unknown, the majority of these municipals use natural gas L.'1. city facilities. Under gas
deregulation in Georgia. these municipals now have the right :0 select their own .aatUral
gas supplier. To assist these members in obtaining reliable g-oS supplies at the lowest
eva.1ua.t:d cosr, and eliminate the need for each municipal ro individually address this
issue, GMA has established itS Gas Aggregation Service ("GAS"), which is part of its
overall .Energy Management Program.
As of the issuance date ofthisRFP, 93 municipals have provided account data, and
signed a letter indicating their interest in partic~atin-glin the GMA GAS program. It is
fully expected that many oime additional municipals will join this service as it becomes
available. It is also anticipated that counties and school districts throughout Georgia will
also join this ser'/ice. ~ it is now being m~e available to them.
This RFP proc;SS is intended to obtain reliable gas supplies at the lowest evaluated cost
to meet the GAS member needs for their own operations. Those operational needs
mainly inciude building space heating and domestic water heating. Other municipal uses
tor narural gas include cooking. gas air conditioning. and sludge incineration.
This RFP also addresses additional natural gas needs in their cOII1.Inurlries, w~jch could
result in significant additional gas requirements. These additional supply needs include
the employees of the municipals) and also renr=s. In addition, cities are conside......ng
offering, through ~his proposal, preferred provider recommendations on natural gas
pricmg and service rerr-uS ~o any residential, conunercial or industrial customer within the
city servi-ce area who is interested.
The selected supplier or suppliers are expected to provide standard contracts for fum
service to all GAS members by December 15, for service commencing January 1, 1999.
For those customers that can not contract faT the service bv December 22, customers
would be added on the first of the month following compl~tion af a contnCt for service
with the supplier.

3.2 Cost or SlIbminiDg Proposals: GMA will not reimburse Respondents for any costs
incurred in the preparation or submission of responses and/or in negotiations for a natural
gas supply agreement.
3.3. Bids for'AlI or Part: Unless otherwise specified by GMA Of by the respondent, GMA
reserves the right to ~ award on all items, or on any of the items according to the best
int~t of the GAS members.
3.4 Right of Rejection: G!YfA reserves the right, in its sole discretion and without
qualification: to select any submitta1 Or submittals; to reject anylor all submittals; to
waive any requirement in this RFP; and to pursue other natUt3l gas sut'P1y options that
may be available to it. Respondents whose proposal, in GMA's sole judgment, are likely
to yield the greatest overall value to GMA GAS members in terms of price, security,
reliability, and other factors will be se!et;ted for contract negotiations. If in OM.A..' s sole
judgment, negotiations are not'progressing acceptably, GMA r:ser/es the right to '.
terminate negotiations an~ may begin negotiations with. other Respondents. Tnis RFP is
solely an invitation to submit proposals; it is noe an offerestabiishing any contractual
rights.
3.5 Finn Commitment: GMA shall not have been considered to make a commitment to
purchase gas from any potential supplier either through the issuance of this RFP or by itS
negotiations with a potential supplier. GMA reserves the right, in its sole discretion and
at any time (including without limitation as GMA deems n~essary to comply with the
actions of regulatory bodies of competent jurisdiction), to withdraw and/or modify this
R.."t:'p, to reject any md all proposals, and to discontinue negotiations with any and all
potential suppliers. GMA shall have no commitment to purchase gas and me only
commitment that can be made is by the authorized representarive(s) of the individual
GAS members after they and the recommended supplier have executed an agreement and
any conditions precedent ~t forth in that agreement have been satisfied.
3.6 Evaluation of Proposals: The contract will be awarded to the responsible bidder whose

available at this time. Additional data. is being obtained daily, and will be updated if it
materially changes the volume information.
Based. 011 the current list of members (Attachment A., page 2 at 2), this RFP is
representing over 500 natural gas accounts across the State of Georgia. and is inaeasing
daily. Based on :1"enge account data. it is projected that this RFP will total over
1.500.000 ~!J~ annually of natural gas volume for city use load. This estimate does
not include any employee, retiree, or citizen or bUsiness use.
The municipal facility and equipment load requirements are expected to remain
consistent with historic requirements. with adjustments resulting mainly from weather
variations. It is fully cxpected that during the tcnn oftbis agreement, account additions,
deletions and equipment modifications will occur in the normal course ofbusmess. The
successful bidde:' must agree to supply 100% ofth.e GAS member's requirements
regardless of load changes. .
4.2 QIJ2limtive Requirements - See Attachment B: Several questions about meeting the
mcmb~ needs are indicated in AttaChment B. Please complete all questions that apply.
4.3 Pricing - See Attachment C: A fixed price proposal. and market based price proposal is
requested in Attachment C for accounts below 20010 and for accounts 20% and above load.

GMA is always looking tOward new and innovative approaches to meeting its member's
requirements. Although not required. each supplier is encouraged to submit alternate
proposals for consideration that you believe might add value for the GAS members.
As pan of me final pricing structure negotiations, GMA will establish a tee to be
recovered by the supplie:- selected from t.."le members and paid to GM.A... This fee does
not need to be considered in pricing quotes, and will be est1blished outside of this
eV":1luation. This fee is for GMA to ;uiminister the ongoing GAS on behalf of the
members.
4.4 CODtr:lct l'erms - See AtucbmeDt D~ All bidders are asked to submit their standard
cont:r3ct with their response. All bid.ciers are asked to indicate their willingness to comply
with the key contrac:t terms indicated. in this outline by signing Attachment D, or

assesses Seller with any penalties or fees for excessive or deficient nominations or gas,
the Seller is solely responsible for payment of these penalties or fees.

gas to the required city gate(s) of the purchaser, including but not limited to all
administrative costs, sener's purchase price, gathering cost, transportation costs, gas
shrinkage costS, storage costs, filel c:barge~ Gas R.csearch Institute charses (GRI),
Federal Energy Regulatory Commission Ammal Cost Adjustment charges (ACA). any
take-or-pay charges by the tranSporter, pipeline and distribution g3S pooling charges of
Atlanta Gas !..igh~ all applicable royalties md ta.,,<:es, and all costs as$ociated with
nOl'[1inating and balanc~g.
0.4. Term - Contract term is negotiable, but will probably range ber.veen one and two years.
If no new agreemenr is reached before the completion of the t~ the contract will
continue on a month to monm basis using a Market-Based pricing strUCture ofNYMEX
settlement !'rice for the commodity portion plus a citygate differential that is the same as
that used for the same month of the prior year.
