AGREEMENT FOR PROFESSIONAL SERVICES
This Agreement, made this 6th day of March, 2001, by and between Augusta,
Georgia, a political subdivision of the State of Georgia (hereinafter "AUGUSTA"), and C.
Michael Pearre, a resident of Columbia County, Georgia;
WHEREAS, AUGUSTA has the need for professional serVIces for land
acquisition for the Augusta Utilities Department; and
WHEREAS, C. Michael Pearre has special knowledge and expertise concerning
land titles and land acquisitions; and
WHEREAS, AUGUSTA desires to retain the services of C. Michael Pearre for
the purposes of assisting in the land acquisition for the Utilities Department; and
WHEREAS, it is the mutual desire of the parties hereto to enter into this
Agreement for the purpose of contracting for the services of C. Michael Pearre under the terms
and conditions hereinafter set forth;
NOW, THEREFORE, in consideration of the mutual covenants contained herein
and other good and valuable consideration, acknowledge between the parties to be of substantial
value, it is hereby agreed as follows:
1. C. Michael Pearre is hereby employed as a non-exclusive consultant and
independent contractor to provide land acquisition services, as hereinafter specified. The
effective date of this Agreement is April 12, 2001.
2. C. Michael Pearre shall report to the Director of Utilities.

3. In addition to other matters contracted for and reasonably assigned, C.
Michael Pearre shall perform the following duties:
(a) Examine title to properties as necessary to determine and verify
ownership of properties required for acquisition by the Utilities
Department.
(b) Negotiate for land acquisition, securing a signed option, and after
proper documents are prepared, close on the parcel, with assistance from
the County Attorney's office as needed.
(c) Confer and report at designated intervals with the Director of
Utilities, or his designee, and make appropriate written reports, upon
request, outlining in detail all activities undertaken for Utilities.
(d) Furnish to County Attorney's office necessary information for any
required condemnation for a project.
(e) Promptly perform all necessary services and duties to carry out the
requirements of this Agreement.
4. In consideration for the performance of the professional servIces listed
herein, Augusta shall pay, or cause to be paid to C. Michael Pearre as follows:
(a) The payment of $125.00 for the required title examination and
certificate of title for any parcel required for project.
(b) The total payment shall be $100.00 per parcel for completion of
negotiations, securing a signed option, and closing on the parcels
following preparation of the necessary and proper documents.

(c) If C. Michael Pearre does not negotiate a settlement on a parcel, C.
Michael Pearre shall not be paid for that parcel.
(d) C. Michael Pearre shall submit a detailed invoice to the Director of
Utilities. Upon approval by the Director of Utilities, the invoice shall be
submitted to the Finance Department for payment,
5. The term of this Agreement shall not exceed six (6) months.
6. C. Michael Pearre acknowledges and agrees that he is servmg as a
consultant and independent contractor, and is not entitled to any benefits provided to Augusta
employees.
7. C. Michael Pearre shall not have authority to, and shall not make any
binding commitments, or enter into any financial obligations, for Augusta, except as expressly
authorized herein.
8. All notices provided for in this agreement shall be in writing to the party at

9. Except as otherwise herein provided any and all amendments, additions
and deletions to this agreement shall be null and void unless approved by
the parties in writing.
10. All issues relating to this contract shall be decided in the Superior Court
of Richmond County, Georgia. The Parties by executing this Agreement
specifically consent to jurisdiction and venue in the Superior Court of
Richmond County and waives any right to contest the same.
11. This contract represents the complete agreement between the parties.
Each party to this Agreement acknowledges that any party or anyone
acting on behalf of any party, orally or otherwise, has made no
representation, inducements, promises, or agreements, which are not
embodied herein. .
