First Amendment to Co-location Lease Agreement
THIS AMENDMENT TO THE CO-LOCATION LEASE AGREEMENT (the
"Amendment") is entered into this day!i!!:..of f)t~ ,2002, by and between AUGUSTA,
GEORGIA, (''Landlord'') and TRITION PCS PROPERTY COMPANY L.L.C., a Delaware
limited liability company ("Tenant").
WHEREAS, Landlord and Tenant entered into that certain CO-LOCATION LEASE
AGREEMENT dated July 17, 1998 (the "Agreement"). Landlord is the owner of certain real
property located in Richmond County, State of Georgia (the "Property"), which is more
specifically described in Exhibit A of the Agreement. Tenant has obtained the right to lease a
portion of the Property, together with a right of way thereto (the ''Premises'') in order to construct,
install, operate, modify and replace a wireless communications facility.
WHEREAS, Landlord and Tenant now desire to amend the Agreement.
NOW, THEREFORE, in consideration of the mutual terms and covenants contained
herein, and other good and valuable consideration; the receipt and sufficiency of which the parties
hereby acknowledge, Landlord and Tenant agree as follows:
1. Section 1 (b), "Leased Premises; Use of Leased Premises". is hereby modified to
increase Tenant's leased portion of Land from approximately 266 square feet to approximately
Four hundred forty-two (442') square feet, as more particularly depicted in Exhibit "B", attached
hereto and incorporated herein by this reference. In addition, Tenant's concrete pad within the
leased area is increased from 43 square feet to approximately one hundred ninety-two (192')
square feet, as more particularly depicted in Exhibit "B", attached hereto and incorporated herein
by this reference.
2. Section 3, "Rental". is hereby deleted in its entirety and the following language is
inserted in lieu thereof:
3. Rent.
Upon execution of this Amendment, Tenant shall pay to Landlord as rent Eighteen
Thousand and NO/100 Dollars ($18,000.00) annually ("Rent"). The Rent for any fractional month
at the beginning or at the end of the Term or Renewal Term shall be prorated,
3. Section 4, "Extension of Term", is hereby modified to increase the first extended term
annual rental amount from $13,800.00 to Twenty Thousand Seven Hundred and No/I00 Dollars
($20,700.00). The second extended term annual rental amount is modified from $15,870.00 to
Twenty Three Thousand Eight Hundred five Dollars and No/IOO (23,805.00). The annual rental
for the extended terms shall be payable in the same manner as the annual rent during the initial
term.

4. All terms used in this Amendment, except as modified or defined hereunder, shall
have the same meaning as in the Agreement. If any conflict exists between the terms and
conditions of this Amendment and the terms and conditions ofthe Agreement, then the terms and
conditions of this Amendment shall control. All agreed upon terms and conditions of the
Agreement, except as modified hereunder, shall remain in full force and effect.

ALL that tract of parcel of land, with improvements thereon, situate, lying and being in
Richmond County, Georgia, within the boundaries of the former City of Augusta, located at the
northwest and southwest corners of the intersection of Highland Avenue and Central Avenue,
consisting of 48.5 acres, more or less, and being designated on Tax Map 43-2 as parcel No. 153 in
the Office of the Tax Assessor of Augusta-Richmond County, Georgia. This is a portion of the
tract conveyed to The City of Augusta by Deed dated October 18, 1894 and recorded in the Office
of the Clerk of Superior Court of Richmond County, Georgia in Realty Book 4-T, pages 129-133.
