AGREEMENT
THIS AGREEMENT is made and entered into as of the 5th day
of May, 1997 by and between RICHMOND COUNTY, GEORGIA, acting by and
through the Augusta-Richmond County Commission (the "County"), and
UNIVERSITY HEALTH SERVICES, INC. ("UHS II )
For and in consideration of the mutual promises and
covenants hereinafter set forth, and other good and valuable
consideration, the receipt and sufficiency .of which are hereby
acknowledged, the parties hereto agree as follows:
(1) LEASE OF SPACES. The county hereby leases to UHS
three hundred (300) parking spaces located at the Municipal Parking
Garage, Ellis Street, Augusta, Georgia (the "Spaces"). Said Spaces
shall be available exclusively to UHS from 6:00 A. M. through 8:00
P. M. Monday through Friday. County agrees to maintain the
lighting within the Municipal Parking Garage and in any event will
replace or repair any nonfunctional light promptly after notice
from UHS. County agrees to provide routine cleaning service at the
Municipal Parking Gara~e which is reasonably customary for parking
garages.
(2) PAYMENT TO COUNTY. In consideration of the lease of
parking spaces as set forth in Section 1 above, UHS hereby agrees
to pay to County the sum of Five Thousand and NO/100 ($5,000.00)
Dollars per month, fOr the term of this agreement. Said payments
shall be due on or before the first day of each month of the term
of this Agreement. Rental for any partial month shc;:tll be pro-
rated.
(3) TERM AND TERMINATION. This Agreement shall be
effective as of the 5th day of May, 1997 and continue for a period
of one (1) year, ending the 4th day of May, 1998; provided,
however, that after the end of the sixth month of the term of this
Agreement, either party may terminate this Agreement at any time by
providing thirty (30) days' written notice to the other party.
(4) NOTICES. For purposes of this agreement, notices
shall be deemed given by certified mail, return receipt requested,
sent to:

(5) NO ASSIGNMENT. This agreement may not be assigned
by UHS without the prior written consent of the County.
(6) RELEASE AND INDEMNIFICATION. UHS hereby releases
the County from any and all liability to UHS arising out of or in
connection with UHS' lease of the Spaces. UHS agrees to indemnify
and hold harmless the County from any claim, demand, cause of
action, suit and/or liability arising out of any injury to the
person or property of a UHS.employee or contractor while present
within the Municipal Parking Garage during the effective hours of
this Agreement. UHS agrees to indemnify and hold harmless the
County from any claim, demand, cause of action, 'suit and/or
liability arising out of any injury to a person or property to the
extent caused by any act or omission of a UHS employee, contractor
or representative while present or within the Municipal Parking
Garage during the effective hours of this Agreement. For purposes
of this Section, IICountyll includes its officers, elected officials,
agents, employees and representatives. These indemnification
obligations do not run to casualty or fire damage to the Municipal
Parking Garage, .
(7) MISCELLANEOUS. Time is on the essence of this
agreement, This agreement shall be governed by and construed
pursuant to the laws of the State of Georgia. This agreement is
binding on the successors and assigns of the parties hereto. UHS
shall be allowed to post notices regarding UHS' lease of the Spaces
as set forth herein,
