As indicated in the Supplemental Agreement-A, CH2MHILL (PROGRAM MANAGER) will furnish
Traffic Engineering support services to assist the Public Works and Engineering Department
(DEPARTMENT). The initial level of effort is defined in this Task Order 1.
SCOPE OF TASK
1.0 Review
PROGRAM MANAGER will conduct detailed reconnaissance of the DEPARTMENT's jurisdiction to
. become familiar with the tranSportati'on systems and its environs. This work will include a catalog of
. potential traffic engineering issues, ranging from minor (but correctable) conditions to severe (and
potentially hazardous) situations. In addition, PROGRAM MANAGER will also interview the Traffic
Engineering Section staff to acquire an understanding of the organization. Throughout the work-
initiation process, PROGRAM MANAGER will work closely with the DEPARTMENT Director to
provide feedback, and receive input and direction.
Deliverable: Comments and recom:.inendations of these reviews will be documented and submitted to
the DEPARTMENT Director.
2.0 Implementation Plan'
The PROGRAM MANAGER will work with the DEPARTMENT to screen and prioritize the"'--~
implementation of potentia.l improvements, as identified through Task 1. The result of this process
will be the development of a Traffic Engineering Section Implementation Plan, which will be used as
a guide for the Sections work activities. Depending upon need and direction from the
DEPARTMENT Director this plan could include: recommended changes to the Sections policies and
procedures; updates to plans for traffic calming, school safety, railroad safety, compliance with the
new requirements of the Manual of Uniform Traffic Control Devices, and compliance with the ADA
CIP for transportation system improvements (including geometric and traffic control). The
Implementation Plan will be fully documented to assist utilization by present and future staff
management.

3.0 Traffic Engineering Section Staff Support
The PROGRAM MANAGER will work closely with the DEPARTMENT Director to begin day-to-day
administration of the Traffic Engineering Section's staff. This will initially require the following:
. Management of the Traffic Engineering Section, including staffing, work assignments, and
administration of the annual operating budget;
. Inter and Intra-DEPARTMENT Coordination;

. Participate in monthly staff meetings
. Participate in weekly DEPARTMENT Meetings
. Provide close coordination with and feedback to the DEPARTMENT Director
. Overall management/supervision of the four groups within the Traffic Engineering Section
working closely with the lead person for each group. This will include routine maintenance
activities, as well as special projects developed in the Implementation Plan;
. Streetlights and Sign Group
. Traffic Signal Group
. Pavement Marking Group
. Accident Records Group
. Provide guidance/leadership to the Traffic Engineering Department. This will potentially
include training for new department I)olicies/procedures --as well as applications, systems,
or technologies, developed in the Implementation Plan;
. Respond to public concerns and issues, through the" Augusta Cares" hotline;
. Work with community leaders and public officials, as requested by the DEPARTMENT
Director; and,
. Act as a liaison between Traffic Engineering Section personnel and upper management.
Deliverables:
. Perform design reviews of traffic construction plans/ traffic reports.;
. Develop an initial Operation Guide Manual to detail the policies and procedures of the
Section. All policies and procedures will be thoroughly discussed with the DEPARTMENT
Director prior to .being incorporated into the document. Potential changes in these
policies/procedures, as instituted through the Implementation Plan, will be incorporated into
this document as well.
. Develop and document an annual operating plan for the maintenance program, including
identification of tools to measure the effectiveness of the maintenance plan.
. Conduct basic traffic engineering tasks (i.e. Traffic Signal Warrants, Speed studies, Traffic
signal timing evaluations/adjustments, etc.), as identified through the Implementation Plan.
The conclusions and recommendations of these studies will be forwarded to the
DEPARTMENT Director.
SCHEDULE
The PROGRAM MANAGER could plan for startup to be December 2, 2002 and lasting for 6 months.
PROGRAM MANAGER proposes to utilize two traffic engineers. The work and responsibilities will
be assigned to either Mark Hunter or Mike Love based on the required level of experience. However,
close coordination and cooperation will be maintained by the project team at all times. Initially,
PROGRAM MANAGER proposes to have Mark be on site for the month of December to initiate the
process. Once the tasks are identified and developed, Mark or Mike will continue to provide the
DEPARTMENT with traffic engineering support for the next five months.

BUDGET
A budgetary amount not to exceed one hundred thousand dollars ($100,000), excluding taxes, for a
period not to exceed six (6) months is hereby established for initial services defined in this Task
Order. Additional services not listed in this Task Order 1 or increased level of effort for defined
services will be established by amendment to the Supplemental Agreement-A.
PROCRAM MANAGER will make reasonable efforts to complete the work within the budget for
each element and will keep the DEPARTMENT Director informed of progress toward that end so
that the budget or work effort can be adjusted if found necessary.
PROCRAM MANAGER is not obligated to incur costs beyond the indicated budget, as may be
adjusted, nor is DEPARTMENT obligated to pay PROCRAM MANAGER beyond these limits.

SUPPLEMENTAL AGREEMENT-A to STANDARD AGREEMENT FOR
PROFESSIONAL SERVICES
This "SUPPLEMENTAL AGREEMENT-A to the STANDARD AGREEMENT FOR PROFESSIONAL SERVICES"
(AGREEMENT) is between CH2M HILL INC. ("PROGRAM MANAGER"), and Augusta, Georgia, acting by and through
the Augusta-Richmond County Commission (''OWNER'') for a PROJECT generally described as:
Program and Project Management Support to the Augusta Public Works and Engineering Department For Traffic
Engineering Services.
The "STANDARD AGREEMENT FOR PROFESSIOANL SERVICES" between PROGRAM MANAGER and OWNER, is
Dated April 6, 1998, for a PROJECT generally described as: Program Management Services for Bond Issue Projects for
the Augusta Utilities Department
The purpose of this AGREEMENT is to provide Program and Project Management Support to the Augusta Public 'Works
and Engineering Department Traffic Engineering Division. These services will be furnished as described in the
"STANDARD AGREEMENT FOR PROFESSIONAL SERVICES" with the following changes:
ARTICLE 1. SCOPE OF SERVICES
PROGRAM MANAGER will perform the Scope of Services set forth in Attachment A.
ARTICLE 2. COMPENSATION
OWNER will compensate PROGRAM MANAGER as set forth in Attachment B.
ARTICLE 3. TERMS OF PAYMENT
No changes.
ARTICLE 4. OBLIGATIONS OF PROGRAM MANAGER

ARTICLE 5. OBLIGATIONS OF OWNER

ARTICLE 6. GENERAL LEGAL PROVISIONS.
Add: "6.18 Employees. During the termof this Agreement and for a period of one year after Substantial Completion of
the Project, neither party shall hire any employee of the other party without the prior written consent of both parties."
ARTICLE 7. ATTACHMENTS, SCHEDULES, AND SIGNATURES
This AGREEMENT, including its attachments and schedules, constitutes the entire AGREEMENT and may only be
changed by a written amendment executed by both parties. The following attachments andschedules are hereby made
a part of this AGREEMENT:

. ATTACHMENT A- SCOPE OF SERVICES
This ATTACHMENT A is to the "SUPPLEMENTAL AGREEMENT-A to the STANDARD AGREEMENT FOR PROFESSIONAL
SERVICES" (AGREEMENT) between CH2M HILL INC. ("PROGRAM MANAGER"), and Augusta, Georgia, acting by and
through the Augusta-Richmond County Commission ("OWNER") for a PROJECT generally described as:
Program and Project Management Support to the Augusta Public Works and Engineering Department For Traffic
Engineering Services.
ARTICLE 1. SCOPE OF SERVICES
PROGRAM MANAGER agrees to furnish OWNER the following support services to assist OWNER with the outlined
tasks on an as needed basis. It is understood that as current "open staff positions" in the OWNER's Public Works and
Engineering Department (DEPARTMENT) are filled the need forthese support services may decrease. All
assignments will require specific Task Orders issued by the OWNER that define scope, estimated length of time
required, estimated cost of service and appropriate reporting requirements.
Task 1 - Review

with the transportation systems and its environs. This work will include a catalog of potential traffic engineering issues,
ranging from minor (but correctable) conditions to severe (and potentially hazardous) situations. In addition,
PROGRAM MANAGER will also interview the Traffic Engineering Section staff to acquire an understanding of the
organization. Throughout the work-initiation process, PROGRAM MANAGER will work closely with the DEPARTMENT
Director to provide feedback, and receive input and direction.

Section Implementation Plan, which will be used as a guide for the Sections work activities. Depending upon need
and direction from the DEPARTMENT Director this plan could include: recommended changes to the Sections
policies and procedures; updates to plans for traffic calming, school safety, railroad safety, compliance with the new
requirements of the Manual of Uniform Traffic Control Devices, and compliance with the ADA CIP for transportation

Task 3 - Staff Support
The PROGRAM MANAGER will provide TRAFFIC ENGINEERING assistance to the DEPARTMENT to support day-
to-day administration of the Traffic Engineering Section. To provide this assistance the' PROGRAM MANAGER, as
directed by DEPARTMENT Director, will functipn as an extension of the DEPARTMENT staff and will provide
additional staff, as necessary, to meet staffing needs or specialized technical expertise.

ATTACHMENT B - COMPENSATION
ARTICLE 2. COMPENSATION
All assignments will require specific Task Orders issued
by the OWNER that define scope, estimated length of
time required, estimated cost of service and appropriate
reporting requirements. Compensation by OWNER to
PROGRAM MANAGER for these authorized Task Orders will
be as follows:
A. COST REIMBURSABLE-PER DIEM (TIME AND EXPENSE)
For services enumerated in ARTICLE 1, PROGRAM
MANAGER's Per Diem Rates, plus Direct Expenses, plus a
service charge of 10 percent of Direct Expenses and 5
percent of outside services, plus applicable sales, use,
value added, business transfer, gross receipts, or other
similar taxes.

B. BUDGET

PROGRAM MANAGER will make reasonable efforts to

Task Order and will keep OWNER informed of progress
toward that end so that the budget or work effort can be
adjusted if found necessary.
PROGRAM MANAGER is not obligated to incur costs

OWNER obligated to pay PROGRAM MANAGER beyond
these limits.
C. PER DIEM RATES
Per Diem Rates are those hourly or daily rates charged for
work performed on the PROJECT by PROGRAM
MANAGER's employees of the indicated classifications.
These rates are subject to annual calendar year
adjustments, which shall not exceed four percent per year;
include all allowances for salary, overheads and fees; but
do not include allowances for Direct Expenses and outside
services.
D. DIRECT EXPENSES
Direct Expenses are those necessary costs and charges
incurred for the PROJECT including, but not limited to:
(1) the direct costs of mail, special OWNER approved
PROJECT specific insurance, letters of credit, bonds, and
equipment and supplies; (2) PROGRAM MANAGER's
current standard rate charges for direct use of PROGRAM
MANAGER's vehicles, laboratory test and analysis, printing
and reproduction services, and certain field equipment; and
(3) PROGRAM MANAGER's standard project charges for
special health and safety requirements of OSHA.
The charge for laboratory tests and analyses shall not
exceed those rates as approved for federal government
work. The current charge for printing and reproduction
costs are shown on the Attachment 1. The current charge
for special health and safety requirements of OSHA ;s $1.95
per hour for those employees who have been specially
trained.
The costs for transportation using rental vehicles shall not
exceed the actual cost of rental of a mid-size, 4-door
automobile, plus gasoline at the actual cost.
Reimbursement for use of a personal or PROGRAM
MANAGER's vehicle when in travel status for Program
work, shall not exceed the allowable federal rate for
mileage. Reimbursement for meals and lodging when in
travel status for Program work, shall be at the per diem
rates in the latest Federal Travel Regulations CONUS, for
Augusta (897).
