THIS AGREEMENT, made and entered into this ~ day of
1998, by and between THE MCKINNEY CORPORATION, a
corporation organized and existing under the laws of the State of
Georgia, and authorized to do business in the State of Georgia, as
Lessor, and AUGUSTA, GEORGIA, a political subdivision of the State
of Georgia, acting- by and through the August-a.:.Richmond County
Commission, as Lessee;
WITNESSETH:
That the Lessor, in consideration of the rent agreed to
be paid, and the mutual covenants herein contained, does hereby
rent and lease unto the Lessee, and the Lessee does rent and lease
from the Lessor, on the term's and conditions hereinafter stated,
the following described premises, to-wit:
Store No. 37, consisting of approximately 7,000
square feet in Southgate Shopping Center, Richmond
County, Georgia.
(1) The term of this lease shall be for ten (10) years
beginning September 1, 1998, and ending August 31, 2008.
(2) The Lessee agrees to pay Lessor rental in the amount
of One Dollar ($1.00) per year.
(3) Lessee hereby accepts the sp~ce in its "as is"
condition and any improvements, .maintenance and replacement will be
done by and at the expense of Lessee. Lessor reserves the right to
designate those pc)rtions' o'f"--the parking area to be used by Lessee.

(4) Lessee agrees that the herein leased premises shall
be used throughout the term of this lease, on a daily basis, as an
active substation for the Richmond County Sheriff's Department.
Lessor reserves the right at any time during the term of this lease
to relocate the substation for the Sheriff's Department to
comparable space within Southgate Shopping Center.
(5) If, at any time during the term of the lease, the
herein leased premises do not adequately accommodate the needs of
the Lessee, the Lessee shall be allowed to enlarge the space at the
rear of said space at Lessee's own expense.
(6) Lessee agrees to pay its own utilities and to
maintain the interior of the leased premises.
(7) Lessee agrees during the term of this lease to
display adequate signage identifying this as a substation to the
general public.
(8) Lessee shall be responsible for all plate glass.
(9) Lessee shall keep the premises clean, both inside
and outside, at its own expense, and will remove the ashes,
garbage, excelsior, straw and other refuse. Lessee agrees to keep
all accumulated rubbish in covered containers and to have same
removed regularly.
(10) Lessee will be allowed to stay in space 18ABC while
Lessee is repairing space #37. This is estimated to take 60 to 90
days from the time of possession. Possession will be given on or
