This Agreement made and entered into this 1 st day of January 1, 2010 between Augusta,
Georgia and Tax Management Associates, Inc.
WHEREAS, Augusta, Georgia ( "Augusta ") and Tax Management Associates, Inc.
( "TMA ") entered into a Business Personal Property Consulting Agreement dated November 8,
2007 (the "Agreement "); and
WHEREAS, the Agreement by its term expired on December 31, 2008; and
WHEREAS, the parties entered to an Extension Agreement dated March 17, 2009
extending the term of the Agreement until December 31, 2009; and
WHEREAS, the parties wish to continue their business relationship; and
WHEREAS, the parties have agreed to extend the term of the Agreement until December
31, 2010; and
WHEREAS, the parties wish to set forth their agreement down in writing.
NOW THEREFORE, Augusta, Georgia and Tax Management Associates, Inc. hereby
covenant and agree as follows:
1. The term of the Agreement is extended unto December 31, 2010.
2. The Agreement shall be deemed to have been in continual existence since December 31,
2009 and any work performed under the Agreement to the date of this Extension
Agreement shall be deemed to have performed pursuant to the terms of the Agreement,
without lapse, and the parties hereby ratify and affirm any action taken by either party
during such time.
3. Except as modified herein, the terms of the Agreement shall remain in full force and
effect.
IN WITNESS WHEREOF the parties hereto have caused this instrument to be executed by
their duly authorized officers, the day and year first above written.
