AGREEMENT
entered into as of the 7J.!y day
of ' 1Je. , 1991, by and between Richmond County, Georgia
(hereinafte the "County"), by and through the Augusta-Richmond County Commission
(hereinafter the "Commission") and Augusta/Richmond Clean & Beautiful, Inc.
(hereinafter "Clean & Beautiful").
WHEREAS, the Commission on
Richmond County's participation in an
(hereinafter the "Program"); and
1996, approved
"Operation Weed & Seed"
program
WHEREAS, it is necessary that a grant application (hereinafter the
"Application") to the funding source(s) be prepared in order for the County to
participate in the Program; and
WHEREAS, Clean & Beautiful is willing to provide its services in writing
and preparing the Application, and in having its Executive Director serve as the
interim director for the Program until such time as a full-time director should
be appointed.
NOW, THEREFORE, for and in consideration of the mutual promises and
covenants contained herein, and other good and valuable consideration, the
receipt and sufficiency of which are hereby acknowledge, the parties hereby agree
as follows:
1. PAYMENT BY COUNTY.
In consideration of its services as outlined above, the County hereby
agrees to pay Clean & Beautiful the sum of Fifteen Thousand and nO/lOa Dollars
($15,000.00) (hereinafter the "Fee").
2. SERVICES OF CLEAN & BEAUTIFUL.
In consideration of the payment by the County of the Fee, Clean & Beautiful
hereby agrees as follows:
a. to write and prepare the Application, in accordance with all
requirements and stipulations of the funding source. Such writing and
preparation shall include all necessary research and gathering of information,
with the reasonable cooperation of the County, all preparation of draft and final
Applications, and printing and distribution of the final Application. The County
shall bear no cost with regard to these services above the Fee amount. Clean &
Beautiful agrees to complete the Application and to submit it to the funding
source(s) prior to any deadline which may be established for said submission.
b. to provide the services of its Executive Director as interim director
of the Program, until such time as a full-time director should be appointed.
3. MISCELLANEOUS.
a. Both parties agree that the Fee represents payment for Clean &
Beautiful's services as outlined here and is not a payment for expenses of Clean
& Beautiful.
b. This Agreement may not be assigned by either party without the prior
written consent of the other party.
c. Both parties agree to sign all documents and do all things necessary
or appropriate, in a timely manner, to give effect to the intention of this
Agreement.

d. ThiB Agreement constitutes the entire agreement between the partieB

state of Georgia.
