THIS AGREEMENT, made and entered into as of the a p day of S ()+C (n bet',
20 09 , by and between AUGUSTA - RICHMOND COUNTY, State of Georgia (hereinafter referred
to as the "County "), and GEORGIA POWER COMPANY (hereinafter referred to as the "Company ").
WITNESSETH:
WHEREAS, the County proposes under the above written Project to construct the "ALEXANDER
DRIVE /CR 560 FM WASHINGTON ROAD TO RIVERWATCH PARKWA Y." Project (hereinafter
"Project "); and
WHEREAS, due to the construction of this Project, it will become necessary for the Company to
make certain adjustments to the Company's existing facilities, in accordance with the estimate of
"TWENTY FOUR THOUSAND, SEVEN HUNDRED AND THIRTY FOUR DOLLARS ($24,734.00)", a
copy of which estimate is attached hereto, and incorporated into this Agreement as Exhibit "A"; and
WHEREAS, it is claimed by the Company that it acquired easement rights for its electrical
facilities prior in time to acquisition of the road right -of -way, all as involved in said Project; and
WHEREAS, the County agrees to bear the lesser of one hundred percent (100 %) of actual cost or
"TWENTY FOUR THOUSAND, SEVEN HUNDRED AND THIRTY FOUR DOLLARS ($24,734.00)" of
said relocation expenses, subject to documentation of the Company's easement rights to the County's
satisfaction, with survey documents demonstrating the specific locations of easements claimed, the
location of electrical poles in relationship to those easements, the relationship of those easements to
current and previous road right -of -way, and any other documents required by the County to document the
Company's claim;
NOW, THEREFORE, in consideration of the promises and the mutual covenants of the parties
hereinafter set forth, it is agreed:
Section 1. The Company, with its regular construction or maintenance crews and personnel, at its standard
schedule of wages and working hours (as may be applicable from time to time during this Agreement),
and working in accordance with the terms of its agreements with such employees, will make such changes
in its facilities as previously agreed upon with the County. The Company may elect to contract any
portion of the work contemplated.
Section 2. Upon completion by the Company of the work contemplated herein, the County will pay the
Company a sum equal to lesser of the County's one hundred percent (100 %) actual cost or share of the
total Project relocation expenses estimate set forth herein, "TWENTY FOUR THOUSAND, SEVEN
HUNDRED AND THIRTY FOUR DOLLARS ($24,734.00)," subject to acceptance by the County of the
documentation presented by the Company of its specific easements rights, surveys showing the exact
locations of those easements, and other maps necessary to document that the electrical poles were on
private easement, outside of County right -of -way, and that those facilities have not been relocated since
the County acquisition of its right -of -way.
Section 3. The County will not be bound to pay any amount for facilities relocation in excess of the
reimbursable portion of the detailed cost estimate, Exhibit "A" attached hereto and made a part hereof,
nor for any items of relocation work not provided for in said detailed cost estimate, except as shall be
specifically approved in writing by the County.
Section 4. It is further mutually agreed that the final cost of the changes in the facilities of the Company
covered by the detailed cost estimate, Exhibit "A" attached hereto and made a part hereof, shall be borne
by the County.

Section 5. The Company shall make a reasonable effort to provide signing and other traffic control
measures during construction as contemplated under this Agreement in accordance with PART VI of the
U.S. Department of Transportation Manual on Uniform Traffic Control Devices, current edition, all at the
expense of the County. The Company shall also acquire a Utility Permit from Public Works -
Transportation Division, for this relocation work.
Section 6. The Company shall be responsible for its acts and the consequences thereof. The County shall
be responsible for its acts and the consequences there of.
Section 7. The covenants herein contained shall, except as otherwise provided, accrue to the benefit of
and be binding upon the successors and assigns of the parties hereto.
Section 8. The parties agree that this agreement shall be deemed to have been made and performed in
Augusta - Richmond County County, Georgia. For the purposes of venue, all suits of action arising out of
this agreement shall be brought in the courts of Augusta - Richmond County, Georgia.
IN WITNESS WHEREOF, the parties hereto acting through their duly authorized agents have
caused this Agreement to be signed, sealed and delivered.
