RELEASE executed on 191~ ~ ,1997, by Augusta-Richmond
County, Georgia.
In consideration of being permitted to use property of
Avondale Mills, Inc., (formerly Graniteville Company property), located
in Augusta, County of Richmond, State of Georgia, at the corner of Eve
Street and Pearl Avenue for the purpose of conducting an EPD-sponsored
recycling event from May 17, 1997 through May 24, 1997, without payment
of any consideration thereof;
To the extent permitted by law, Augusta-Richmond County agrees
to indemnify and hold harmless Avondale Mills, Inc. from any loss,
liability, damage or cost resulting from the use of the propert~ of
Avondale Mills, Inc., referred to above, whether caused by the negligence
of Avondale Mills, Inc. or otherwise, including all claims of damage for
personal injury or property damage made by any person on or in connection
with the property of Avondale Mills, Inc., and related to the event
referred to above, whether or not such claim be valid. This indemnity
incl udes all costs, including attorney's fees, and Augusta-Richmond
County acknowledges that it accepts the use of the property referred to
above "as is" and assumes all responsibility for the condition of the
property used by or for it,

ARTICLE I
SERVICES RENDERED
Cuslomer granls 10 the undersigned (BFt) the exclusive right to receive, process, recycle and/or dispose of all of Custome(s Conforming Materials, as delined In Article III herein (which include recyclable
materials), subject to the availability of processing and storage capacity or any periodic quantity limitations imposed by applicable law, regulation. permits or otherwise, BFI shall receive. process, recycle
and/or dispose of all Conforming Materials delivered to BF!'s processing facility set forth above ("Processing Facility"). up to the amounts of Conlorming Materials set forth above.
Customer agrees to make the payments as provided lor herein and BFI agrees to provide the services described herein. all in accordance with the terms 01 this Agreement. BFI reserves the right to
decline 10 accepl for processing, recycling and/or disposal Conforming Materials which in BF!'s judgment cannot be recycled in an economically feasible manner due to quality, quantity or general
marketability of the items.

ARTICLE III
CONFORMING MATERIALS
The Conforming Materials to be received, recycled and/or disposed of by BFI pursuant to this Agreement are those oullined and delined in Attachment 'A' to this Agreement which are detivered by
Customer (Ihe "Conforming Material"), The Conforming Malerials shall. while under the custody and control of the Customer. remain segregated from waste. Non'Conforming Materials. and Excluded
Maleriats, and shall remain free of any contamination by any amount of waste or other material. Conforming Malerial specifically excludes and Customer agrees not to deposit in BF!'s equipment or place
for processing by BFI any radioactive, volatile. corrosive. highly fiammable, explosive. biomedical, infectious, biohazardous, toxic or hazardous material as defined by applicable federal, state. provincial or
local laws or regulations ("Excluded Materials').
Where requested by BFI, Customer shall, In addition to any labeling, placarding, marking. manifest or other such documentation required by law. provide BFI. in advance. with a representative sample of
the Conforming Material to be delivered to SFI. Customer shall promptly furnish to SFI any information regarding known, suspected, or planned changes in composition of such Conforming Material.
Customer warrants that all Conforming Material delivered to BFI shall conform to lhe description set forth in Attachment "A".
BFI shall charge customer for clean,up and sorting services for contaminated loads at the Per hundred weight (cwt) rate of the entire load. if required. A load 01 Conforming Materials shall be determined to
be contaminated lithe amounl of Prohibitive Materials and/or OuHhrows exceeds allowable percentages as described in Attachment "A", Notilication of such contamination shall be provided 10 Customer
within five (5) working days of collection of said contaminaled Conforming Materials. Furthermore. Contractor may charge Customer customary and ordinary service fees for transporting the Non-
Conforming Malerials and disposing of same at an appropriate disposal facility,
ARTICLE IV
TITLE
Title to lhe Conforming Materials delivered by Cuslomer shall be transferred to and vest in BFI at the time the Conforming Material is fully unloaded althe Processing Facility and tho Custome(s vehicle
has departed such Facility, Prior thereto. title to the Conforming Material shall be in, and all risks and responsibilities Iherefore shall be borno by Customer. Tille to and Iiabilily for any Non,Conlornring
Materials. Excluded Malerials. and/or waste shall remain with the Cuslomer and Customer expressly agrees to defend, indemnify and hold harmless BFI from and against any and all claims, damages.

ARTICLE V
PAYMENTS
Customer agrees to pay BFI on a monthly basis for Ihe services and/or equipment furnished by BFI in accordance with the charges and rates provided lor herein, In addition 10 the charges and rates
provided for herein and the attachments hereto. Customer shall pay any sales. use. service or olher lax, il any. oIVing as a resull 01 the services or equipment being provided by BFllo Cuslomer hereunder.
Paymenl shall be made by Customer to BFi within ten (10) days 01 Ihe receipt of an invoice from BFI. BFI may impose and Customer agrees to pay a late fee for all past due payments. such lale fee as
determined by BFI in an amounl not to exceed lhe maximum rale for same allowed by applicable law.
