(CONSULTANT) This Agreement is made and entered into this & i:i day of /)1.A-t. { /I- . 2001 by and between AUGUSTA, Georgia, a political subdivision of the State of Georgia, hereinafter called the "CITY" and Parsons Engineering Science Inc. a Corporation authorized to do business in Georgia, hereinafter called the "CONSULTANT." WHEREAS, the CITY desires to engage a qualified and experience consulting firm to furnish professional services for: a Watershed Assessment for Augusta-Richmond County Georgia WHEREAS, the CONSULTANT has represented to the CITY that it is experience and qualified to provide the services contained herein and the CITY has relied upon such representation. NOW, THEREFORE, in consideration of the mutual promises and covenant herein contained, it is agreed by and between the CITY and the CONSULTANT that: 1:\738740\PM\CONTRACnCONTRACT1.DOC MODIFIED: FEBRUARY 5, 2001 GENERAL PROVISIONS CONSULTANT has agreed in its Agreement with CITY to provide the required professional engineering services for the Project in accordance with the requirements as outlined in and attached as Attachment A- Scope of Services. CONSULTANT COORDINATION The CONSULTANT shall cooperate fully with all municipalities, local government officials, utility companies, and other consultants as directed by the CITY. CITY, CONSULTANT and all relevant parties agree to work together on the basis of trust, good faith and fair dealing, and shall take actions reasonably necessary to enable each other to perform this Agreement in a timely, efficient and economical manner. All parties agree to cooperate in a manner consistent with good design practice and will exercise the degree of skill and diligence normally employed by professional engineers or consultants practicing under similar conditions. CONSULTANT will re-perform any services not meeting this standard without additional compensation. AMENDMENTS TO AGREEMENT Every amendment to the Scope of Services shall become and is hereby made a part of this Agreement. Amendments must be fully executed by both the CONSULTANT and CITY to be valid. REDUCTION IN REQUIRED SERVICES If reductions in the required services are ordered by CITY, the credits shall be the amounts for such services as described in subsequently executed Amendments to this Agreement, and no claim for damages for anticipated profits shall accrue to the CONSULTANT. DATE CHANGES If in this Agreement specific periods of time for rendering services are set forth or specific dates by which services are to be completed are provided and if such periods of time or dates are changed through no fault of CONSULTANT, the rates and amounts of compensation provided for herein shall be subject to equitable adjustment. AGREEMENT MODIFICATIONS This Agreement shall not be modified except by a duly executed Amendment hereto in writing under the hands and seals of both parties hereto. TIME OF COMPLETION The time of completion shall be as described in the schedule attached hereto as Attachment D - Schedule. 1:\738740IPMlCONTRACT\CONTRACT1 ,DOC 1 MODIFIED: FEBRUARY 5, 2001 This Agreement shall terminate immediately and absolutely at such time as appropriated and otheLWise obligated funds are no longer available to satisfy the obligations of the CONSULTANT on behalf of the CITY under this Agreement. PROJECT PROGRESS CONSULTANT'S services and compensation nnder this Agreement have been agreed to in anticipation of the orderly and continuous progress of the Project through completion. LITIGATION Nothing in this Agreement shall be construed as obligating the CONSULTANT to appear, support, prepare, document, bring, defend or assist in litigation either undertaken or defended in behalf of City except in consideration of compensation. All such services required or requested of CONSULTANT by City except suits or claims between the parties to this Agreement will be reimbursed as additional services. BINDINGS It is further agreed that the CITY and CONSULTANT each binds itself and themselves, its or their successors, executors, administrators and assigns to the other party to this Agreement and to its or their successors, executors and assigns in respect to all covenants of this Agreement. Except as above, neither CITY nor the CONSULTANT shall assign, sublet or transfer its or their interest in this Agreement without prior written consent of the other party hereto. EXTENT OF THE AGREEMENT This Agreement represents the entire agreement between CITY and CONSULTANT and supersedes all prior negotiations, representations and agreements, either written or oral. 1:\738740\PM\CONTRACnCONTRACT1.DOC 2 MODIFIED: FEBRUARY 5, 2001 DEFINITIONS Wherever used in this Agreement, whether in the singular or in the plural, the following terms shall have the following meanings: Agreement Execution - means the date on which CONSULTANT executes and enters into an Agreement with CITY to perform the Work. Agreement Price - means the total monies, adjusted in accordance with any provision herein, payable to the CONSULTANT under this Agreement. CITY -means a legal entity AUGUSTA, Georgia, a political subdivision of the State of Georgia. CONSULTANT - means the party or parties contracting directly with the City to perform Work pursuant to this Agreement. Contract - means the Agreement Documents specifically identified and incorporated herein by reference. Contract Time - means the period of time stated in this Agreement for the completion of the Work. Program Manager - means CH:zM-HilI as the representative of the CITY who shall act as Uaison between the CITY and the CONSULTANT for all matters pertaining to this Agreement, including review of CONSULTANT's plans and work. Subcontractor - means any person, firm, partnership, joint venture, company, corporation, or entity having a contractual agreement with CONSULTANT or with any of its subcontractors at any tier to provide a part of the Work called for by this Agreement. Supplemental Agreement - means a written order to CONSULTANT signed by CITY and accepted by CONSULTANT, effecting an addition, deletion or revision in the Work, or an adjustment in the Agreement Price or the Contract Time, issued after execution of this Agreement. Task Order - means a written order specifying a Scope of Services, time of completion and compensation limit for services being provided by CONSULTANT. Task Orders shall be incorporated by reference as part of the Supplemental Conditions of this Agreement. Work - means any and all obligations, duties and responsibilities, including furnishing equipment, engineering, design, workmanship, labor and any other services or things necessary to the successful completion of the Project, assigned to or undertaken by CONSULTANT under this Agreement. 1:\738740\PM\CONTRACT\CONTRACT1.DOC 3 MODIFIED: FEBRUARY 5, 2001 CONTRACT DOCUMENTS List of Documents The Agreement, the General Conditions, the Attachments, and any Supplemental Agreements, induding Task Orders shall constitute the Agreement Documents. Conflict and Precedence The Agreement Documents are complementary, and what is called for by one is as binding as if called for by all. In the event there are any conflicting provisions or requirements in the component parts of this Agreement, the several Agreement Documents shall take precedence in the following order: 1. Agreement - Induding Attachments 2. General Conditions 3. Supplemental Conditions - Including Task Orders 1:\7387 4OIPMlCONTRACT\CONTRACT1. DOC 4 MODIFIED: FEBRUARY 5, 2001 GENERAL CONDITIONS 1. COMMENCEMENT OF WORK The performance of services as defined in the Prime Agreement between CONSULTANT and the CITY, and herein described in this Agreement as Attachment A shall be commenced upon receipt by the CONSULTANT of a written Task Order authorization. The effective date of services shall be defined in each Task Order authorization. 2. PROFESSIONAL STANDARDS The standard of care for all services performed or furnished by CONSULTANT under this Agreement will be the level of care and that is ordinarily used by members of CONSULTANT'S profession practicing under similar conditions. 3. CHANGES AND EXTRA WORK The CITY may, at any time, request changes in the work to be performed hereunder. All such changes, including any increase or decrease in the amount of the CONSULTANT's compensation, which are mutually agreed upon by and between the CITY and the CONSULTANT, shall be incorporated in written Supplemental Agreements to the Agreement. Changes that involve an increase in the compensation shall be considered major, and require the approval of the CITY. The Program Manager may approve minor changes to the scope of services that do not involve an increase compensation schedule. 4. PERSONNEL The CONSULTANT represents that it has secured or will secure, at its own expense, all personnel necessary to complete this Agreement; none of whom shall be employees of, or have any contractual relationship with, the CITY. All of the services required hereunder will be performed by the CONSULTANT under its supervision, and all personnel engaged in the work shall be qualified and shall be authorized or permitted under law to perform such services. All key professional personnel, including subcontractors, engaged in performing services for the CONSULTANT under this agreement are indicated in a personnel listing attached hereto as Attachment C - Listing of Key Personnel and incorporate herein by reference. No changes or substitution shall be permitted in the CONSULTANT's Key Personnel without the prior written approval of the CITY or his designee. The CONSULTANT shall employ only persons duly registered in the appropriate category in responsible charge of supervision and design of the work. The CONSULTANT shall endorse all reports, contract plans, and survey data. Such endorsements shall be made by a person duly registered in the appropriate category by the Georgia State Board of Registration for Professional Engineers and Land Surveyors, being in the full employ of the CONSULTANT and responsible for the work prescribed by this Agreement. 1:\738740\PM\CONTRACnCONTRACT1.DOC 5 MODIFIED: FEBRUARY 5, 2001 5. ACCURACY OF WORK The CONSULTANT shall be responsible for the accuracy of the work and shall promptly correct errors and omissions in its plans and specifications without additional compensation. The CONSULTANT shall give immediate attention to these changes so there will be a minimum of delay to others. Acceptance of the work by the CITY will not relieve the CONSULTANT of the responsibility for subsequent correction of any errors and the clarification of any ambiguities. 6. CONFIDENTIALITY The CONSULTANT agrees that its conclusions and any reports are for the confidential use and information of the CITY and that it will not disclose its conclusions in whole or in part to any persons whatsoever, other than to submit its written documentation to the CITY, and will only discuss the same with it or its authorized representatives. Upon completion of this Agreement term, all documents, drawings, reports, maps, data and studies prepared by the CONSULTANT pursuant thereto shall become the property of the CITY and be delivered thereto. Articles, papers, bulletins, reports, or other materials reporting the plans, progress, analyses, or results and findings of the work conducted under this Agreement shall not be presented publicly or published without prior approval in writing of the CITY. It is further agreed that if any information concerning the PROJECT, should be released by the CONSULTANT without prior approval from the CITY, the release of same shall constitute grounds for termination of this Agreement without indemnity to the CONSULTANT, but should any such information be released by the CITY or by the CONSULTANT with such prior approval, the same shall be regarded as public information and no longer subject to the restrictions of this Agreement. 7. OPEN RECORDS CONSULTANT acknowledge that all records relating to this Agreement and the services to be provided under the contract may be a public record subject to Georgia's Open Records Act (O.c.G.A. 950-18-70, et seq.). CONSULTANT shall cooperate fully in responding to such request and making all records, not exempt, available for inspection and copying as provided by law. 8. JURISDICTION The law of the State of Georgia shall govern the CONTRACT between CITY and CONSULTANT, with regard to, its interpretation and performance, and any other claims related to this agreement. All claims, disputes and other matters in question between CITY and CONSULTANT arising out of or relating to the Agreement, or the breach thereof, shall be decided in the Superior Court of Richmond County, Georgia. The CONSULTANT, by executing this Agreement, specifically consents to jurisdiction and venue in Richmond County and waives any right to contest the jurisdiction and venue in the Superior Court of Richmond County, Georgia. 1:\738740\PM\CONTRACnCONTRACT1.DOC 6 MODIFIED: FEBRUARY 5, 2001 9. TERMINATION OF AGREEMENT FOR CAUSE If through any cause, the CONSULTANT shall fail to fulfill in a timely and proper manner its obligations under this Agreement, or if the CONSULTANT shall violate any of the covenants, agreements or stipulations of this Agreement, CONSULTANT will be given the opportunity to commence correction of obligation within 5 days of written notice and diligently complete the correction thereafter. Failure to maintain the scheduled level of effort as proposed and prescribed, or deviation from the aforesaid schedule without prior approval of the CITY, shall constitute cause for termination. The CITY shall thereupon have the right to terminate this Agreement by giving written notice to the CONSULTANT of such termination, and specifying the effective date thereof, at least five (5) days before the effective date of such termination. In such event, all finished or unfinished documents, maps, data, studies, work papers and reports prepared by the CONSULTANT under this Agreement shall become the property of the CITY, and the CONSULTANT shall be entitled to receive just and equitable compensation for any satisfactory work completed on such documents, as mutually agreed by the CITY and CONSULTANT. 10. TERMINATION FOR CONVENIENCE OF THE CITY The CITY may terminate this contract in part or in whole upon written notice to the CONSULTANT. The CONSULTANT shall be paid for any validated services under this Contract up to the time of termination. 11. COORDINATION AND COOPERATION WITH OTHER UTILITIES AND CONSULTANTS CONSULTANT shall thoroughly research all utility records to identify the existing facilities on the submitted roadway plans for avoidance, or resolution, of conflicts with the proposed Scope of Services. If the CITY undertakes or awards other contracts for additional related work, the CONSULTANT shall fully cooperate with such other CONSULTANT's and the CITY employees or appointed committee(s), and carefully fit its own work to such additional work as may be directed by the CITY. The CONSULTANT shall not commit or permit any act, which will interfere with the performance of work by any other CONSULTANT or by CITY employees. 12. COVENANT AGAINST CONTINGENT FEES The CONSULTANT warrants that no person or selling agency has been employed or retained to solicit or secure this Agreement upon an agreement or understanding for a commission, percentage, brokerage, or contingent fee, excepting bona fide employees or bona fide established commercial or selling agencies maintained by CONSULTANT for the purpose of securing business and that the CONSULTANT has not received any non-CITY fee related to this Agreement without the prior written consent of the CITY. For breach or violation of this warranty, the CITY shall have the right to annul this Agreement without liability or at its discretion to deduct from the Agreement Price of consideration the full amount of such commission, percentage, brokerage or contingent fee. 13. RESPONSIBILITY FOR CLAIMS AND LIABILITY The CONSULTANT shall be responsible for any and all damages to properties or persons caused by its employees, subcontractors, or agents, and shall hold harmless the CITY, its officers, agents and employees from all suits, claims, actions or damages of any nature whatsoever to the extent found to be resulting from the CONSULTANT, its subcontracts, or agent in the negligent performance or non-performance of work 1:\738740\PM\CONTRACnCONTRACT1.DOC 7 MODIFIED: FEBRUARY 5, 2001 under this Agreement. These indemnities shall not be limited by reason of the listing of any insurance coverage. 14. INSURANCE The CONSULTANT shall, at all times that this Agreement is in effect, cause to be maintained in force and effect an insurance policy(s) that will ensure and indemnify both the CITY, and Program Manager against liability or financial loss resulting from injuries occurring to persons or property or occurring as a result of any negligent error, act, or omission of the CONSULTANT during the term of this Agreement. The CONSULTANT shall provide, at all times that this agreement is in effect, Worker's Compensation insurance in accordance with the laws of the State of Georgia. The CONSULTANT shall provide, at all times that this Agreement is in effect, Insurance with limits of not less than: A. Workmen's Compensation Insurance - in accordance with the laws of the State of Georgia. B. Public Liability Insurance - in an amount of not less that One Million ($1,000,000) Dollars for injuries, including those resulting in death to anyone person, and in an amount of not less than One Million ($1,000,000) Dollars on account of anyone occurrence. C. Property Damage Insurance - in an amount of not less than One Million ($1,000,000) Dollars from damages on account of an occurrence, with an aggregate limit of One Million ($1,000,000) Dollars. D. Valuable Papers Insurance - in an amount sufficient to assure the restoration of any plans, drawings, field notes, or other similar data relating to the work covered by the Project. E. Professional Liability Insurance - in an amount of not less than One Million ($1,000,000) Dollars. CI1Y will be designated as an additional insured with respect to CONSULTANT's liabilities hereunder in insurance coverage's identified in items (b) and (c). The policies shall be written by a responsible company(s), and shall be noncancellable except on thirty-(30) days' written notice to the CI1Y. Such policies shall designate the CITY as an additional-insured, except for worker's compensation and professional liability policies, and a copy of such policy or a certificate of insurance shall be filed with the Director at the time of the execution of this Agreement. 15. PROHIBITED INTERESTS 15.1 Conflict of Interest: The CONSULTANT agrees that it presently has no interest and shall acquire no interest, direct or indirect, that would conflict in any manner or degree with the performance of its services hereunder. The CONSULTANT further agrees that, in the performance of the Agreement, no person having such interest shall be employed. 15.2 Interest of Public Officials: No member, officer, or employee of the CI1Y during his tenure or for one year thereafter, shall have any interest, direct or indirect, in this Agreement or the proceeds thereof. 1:\738740\PM\CONTRACT\CONTRACT1.DOC 8 MODIFIED: FEBRUARY 5, 2001 15.3 Employment of CITY's Personnel: The CONSULTANT shall not employ any person or persons in the employ of the CITY for any work required by the terms of the Agreement, without the written permission of the CITY except as may otherwise be provided for herein. 16. SUBCONTRACTING The CONSULTANT shall not subcontract any part of the work covered by this Agreement or permit subcontracted work to be further subcontracted without the CITY's prior written approval of the subcontractor. The CITY will not approve any subcontractor for work covered by this Agreement that has not been recommended for approval by the Program Manager. All subcontracts in the amount of $5,000 or more shall include, where possible, the provisions set forth in this Agreement. 17. ASSIGNABILITY The CONSULTANT shall not assign or transfer whether by an assignment or novation, any of its rights, obligations, benefits, liabilities or other interest under this Agreement without the written consent of the CITY. 18. EQUAL EMPLOYMENT OPPORTUNITY During the performance of this Agreement, the CONSULTANT agrees as follows: (1) the CONSULTANT will not discriminate against any employee or applicant for employment because of race, creed, color, sex or national origin; (2) the CONSULTANT will, in all solicitations or advertisements for employees placed by qualified applicants, receive consideration for employment without regard to race, creed, color, sex or national origin; (3) the CONSULTANT will cause the foregoing provisions to be inserted in all subcontracts for any work covered by the Agreement so that such provision will be binding upon each subcontractor, provided that the foregoing provision shall not apply to contracts or subcontracts for standard commercial supplies of raw materials. 19. DRUG FREE WORK PLACE CONSULTANT shall be responsible for insuring that its employees shall not be involved in any manner with the unlawful manufacture, distribution, dispensation, possession, sale or use of a controlled substance in the workplace. For purposes of the policy, "workplace" is defined as CITY owned or leased property, vehicles, and project or client site. Any violation of the prohibitions may result in discipline and/ or immedia te discharge. CONSULTANT shall notify the appropriate federal agencies of an employee who has a criminal drug statute conviction for workplace violation. CONSULTANT may require drug or alcohol testing of employees when contractually or legally obligated, or when good business practices would dictate. 20. ANTI-KICKBACK CLAUSE 1:\738740IPMlCONTRACnCONTRACT1.DOC 9 MODIFIED: FEBRUARY 5, 2001 Salaries of architects, drafters, engineer's, and technicians performing work under this Agreement shall be paid unconditionally and not less often than once a month without deduction or rebate on any account except only such payroll deductions as are mandatory by law. The CONSULTANT hereby promises to comply with all applicable "Anti-kickback" laws, and shall insert appropriate provisions in all subcontracts covering work under this Agreement. 21. AUDITS AND INSPECTORS At any time during normal business hours and as often as the CITY may deem necessary, the CONSULTANT shall make available to the CITY and/ or audit representatives of the CITY for examination all of its records with respect to all matters covered by this Agreement. It shall also permit the CITY and/ or representatives of the audit, examine and make copies, excerpts or transcripts from such records of personnel, conditions of employment and other data relating to all matters covered by this Agreement. The CONSULTANT shall maintain all books, documents, papers, accounting records and other evidence pertaining to costs incurred on the Project and used in support of its proposal and shall make such material available at all reasonable times during the period of the Agreement, and for three years from the date of final payment under the Agreement, for inspection by the CITY or any reviewing agencies, and copies thereof shall be furnished upon request. The CONSULTANT agrees that the provisions of this Article shall be included in any Agreements it may make with any subcontractor, assignee, or transferee. Such inspections and audits of Consultant's books and records shall not include the financial components of the Consultant's hourly rates set forth in Attachment C. 22. OWNERSHIP, PUBLICATION, REPRODUCTION AND USE All documents and materials prepared pursuant to this Agreement are the property of the CITY. The CITY shall have the unrestricted authority to publish, disclose, distribute, and other use, in whole or in part, any reports, data, maps, or other materials prepared under this Agreement without according credit of authorship. The CITY shall hold harmless the CONSULTANT against all claims arising out of such use of documents and materials without the CONSULTANT's knowledge and written consent. 23. VERBAL AGREEMENT OR CONVERSATION No verbal agreement or conversation with any officer, agent, or employee of the CITY, either before, during, or after the execution of this Agreement, shall affect or modify any of the terms or obligations herein contained, nor shall such verbal agreement or conversation entitle the CONSULTANT to any additional payment whatsoever under the terms for this Agreement. All changes to this Agreement shall be in writing and appended hereto as prescribed in Article 3 above. 24. INDEPENDENT CONTRACTOR The CONSULTANT shall perform the services under this Agreement as an independent contractor and nothing contained herein shall be construed to be inconsistent with this relationship or status. Nothing in this Agreement shall be interpreted or construed to constitute the CONSULTANT or any of its agents or employees to be the agent, employee, or representative of the CITY. 1:\738740IPMlCONTRACT\CONTRACTl ,DOC 10 MODIFIED: FEBRUARY 5, 2001 25. CONSULTANT shall review its understanding of the Project requirements with Program Manager and shall advise CITY of additional data or services which are not a part of CONSULTANT's services, if any, necessary for design to begin. PROTECT UNDERSTANDING Upon request from the CONSULTANT, CITY may provide all criteria and full information as to CITY's and CONSULTANT'S requirements for this part of the project, including design objectives and constraints, space, capacity and performance requirements, flexibility and expendability, and any budgetary limitations. CONSULTANT may request from the CITY to furnish data, reports, surveys, and other materials that may be relied upon in performing CONSULTANT'S services. REVIEW OF WORK Authorized representatives of the CITY may at all reasonable times review and inspect the project activities and data collected under the Agreement and amendments thereto. All reports, drawings, studies, specifications, estimates, maps and computation prepared by or for the CITY in association with this Agreement shall be subject to review. The CITY may at any time request progress reports, prints or copies of any work performed under this Agreement. Refusal by the CONSULTANT to submit progress reports and/ or plans shall be cause to withhold payment to the CONSULTANT until the CONSULTANT complies with the CITY's request in the regard. The CITY's review recommendations shall be incorporated into the plans by the CONSULTANT. CONSUL T ANT'S INSURANCE CONSULTANT will maintain throughout this AGREEMENT the following insurance limits as specified in General Condition 14 - Insurance. 1:\738740\PM\CONTRACT\CONTRACT1.DOC 13 MODIFIED: FEBRUARY 5, 2001 ~ CITY'S RESPONSIBILITES CITY-FURNISHED DATA CITY will provide to CONSULTANT all data in CITY's possession relating to CONSULTANT's services on the PROJECT. CONSULTANT will reasonably rely upon the accuracy, timeliness, and completeness of the information provided by CITY. RIGHT TO ENTER The CONSULTANT will notify all property owners or occupants of the intent to enter properties for the purpose of accomplishing work in accordance with the practices of the CITY. The CONSULTANT shall discuss with and receive approval from the CITY prior to sending notices of intent to enter private property. Upon request by the CONSULTANT, the CITY will provide the necessary documents identifying the CONSULTANT as being in the employ CITY for the purpose described in the Agreement. ADVERTISEMENTS, PERMITS, AND ACCESS Unless otherwise agreed to in the Scope of Services, CITY will obtain, arrange, and pay for all advertisements for bids; permits and licenses required by local, state, or federal authorities; and land, easements, rights-of-way, and access necessary for CONSULTANT's services or PROJECT construction. TIMEL Y REVIEW CITY will examine CONSULTANT's studies, reports, sketches, drawings, specifications, proposals, and other documents; obtain advice of an attorney, insurance counselor, accountant, auditor, bond and financial advisors, and other consultants as CITY deems appropriate; and render in writing decisions required by CITY in a timely manner. PROMPT NOTICE CITY will give prompt written notice to CONSULTANT whenever CITY observes or becomes aware of any development that affects the scope or timing of CONSULTANT's Services, or of any defect in the work of CONSULTANT or construction contractors. CITY'S INSURANCE CITY will maintain property insurance on all pre-existing physical facilities associated in any way with the PROJECT. LITIGATION ASSISTANCE The Scope of Services does not include costs of CONSULTANT for required or requested assistance to support, prepare, document, bring, defend, or assist in litigation undertaken or defended by CITY. Therefore, the Augusta Utilities Department (AUD) will have to complete a watershed assessment. The objective of a watershed assessment is to identify areas where water resources are affected by "stressors" (contaminants entering the water) and provide a factual basis for mitigation of water quality problems using sound engineering solutions and regulatory measures. This study should establish the framework to address future water quality and quantity, wastewater and storm water permitting, total maximum daily loads (TMDLs), public involvement and education, funding sources, and compliance with other regulatory agency requirements. The project will address watershed assessment and protection according to the GAEPD's program. Task 1 - Project Management Project management is an important part of any project in that it is the tool that keeps the project on schedule, within budget, coordinates between all of the tasks and related activities, and provides the communication conduit between the client and project participants. The Parsons Team shall be responsible for the following project management efforts: 1.1. Develop Project Management Plan 1.2. Refine Scope Work 1.2.1. Meet with Augusta-Richmond County (AUD) staff to review and discuss this initial scope of work and identify proposed revisions. 1.2.2. Revise initial scope of work based on this input, creating up to two drafts for review by AUD. 1.2.3. Issue final scope. 1.3 Prepare a Project Work Plan 1.3.1 Define roles and responsibilities of PARSONS project team members and submit to AUD. 1.3.2 Meet in a half-day session to define mutual expectations and communication needs and protocol. PARSONS ENGINEERING SCIENCE C:ITEMPISCOPE0216. DOC 1 SCOPE OF WORK - AUGUSTA-RICHMOND COUNTY WATERSHED ASSESSMENT Revision: 2 February 16,2001 1.3.3 Prepare and submit a project schedule for review and approval by AUD. This schedule will be used as a project control system for PARSONS and as a basis for status reporting. 1.3.4 Provide AUD with an itemized list of tasks and estimated cost per task. As the project progresses and information becomes available, it may be appropriate to redistribute the individual task budgets. 1.3.5 Prepare a draft Project Management Plan that will provide the basis for accomplishing and completing the project. The work plan shall address the following subjects and include the following sections or items: Project Description, Approach, Assumptions, Responsibilities, Quality Control Plan, Schedule of Performance (Gantt Chart), and Project Budget. AUD will review the plan and provide any comments within 30 days of receipt of the plan. PARSONS will review the plan and provide any response to the comments within 15 days of receipt and incorporate appropriate comments in to the final work plan, which shall be submitted within 15 days after their response to comments. 1.3.6 Develop draft project team communication plan that defines external and internal lines of communication to be incorporated into the work plan. 1.3.7 Review and revise draft project work plan based on AUD comments. 1.3.8 Issue final work plan to PARSONS project team and AUD. 1.4 Project Communications 1.4.1 Meet with ADD, TAC, and CAG (see Task 2.3) monthly, or as needed up to a maximum of 30 total meetings for project coordination and updates, prepare for meetings, and prepare and distribute meeting minutes. 1.4.2 Implement the project communications plan developed as part of the project work plan (including phone calls, e-mails, meetings, memos, letters, transmittals, and other project communications as necessary to perform the project). 1.4.3 Hold internal PARSONS Team coordination meetings as needed. 1.4.4 Prepare and submit a monthly status report to update the study schedule, list milestones achieved, support and document schedule changes, update project costs and justify changes to the schedule or proposed study costs. 1.4.5 Coordinate with GAEPD and other relevant state and regional agencies regarding acceptance of the plan (see Task 7.0). Task 2 - Public Education and Participation People most affected by watershed management decisions should have an opportunity to be involved in the decision-making process. The Parsons Team will develop a plan to educate and involve stakeholders in the various stages of the project. This plan will help to initiate communications between all project participants including citizens, businesses, regulatory agencies, and other government entities. Stakeholders will be contacted and involved early in the process. 2.1 Stakeholder Identification 2.1.1 Identify major stakeholder groups in the project area using AUD data on residences and businesses, as well as zip code-based information and set up a stakeholder database. Major stakeholder groups will include, but not be limited to, neighborhood associations, citizens, homeowners associations, interest groups, schools, businesses, local governments, and state, regional and federal agencies. 2.1.2 AUD will assist in identifying various members of the community who reside or have significant involvement or interest in the study area, 2.1.3 Manage and update the database, as needed. 2.2 Stakeholder Input 2.2.1 Contact stakeholders using up to 6000 two-sided insert or flyer to introduce the project and inform stakeholders of field investigations; this flyer will be inserted PARSONS ENGINEERING SCIENCE C:\TEMPISCOPE0216,DOC 3 SCOPE OF WORK - AUGUST A-RICHMOND COUNTY WATERSHED ASSESSMENT Revision: 2 February 16, 2001 in AUD water and sewer bills, passed out by field crews, and placed at various locations throughout the project area; and 2.3 Set up a Technical Advisory Committee (TAC) and a Citizen Advisory Group (CAG) 2.3.1 Assist the AUD in the establishment of a CAG, which should be comprised of a maximum 13 members representing the overall stakeholder groups and a TAC, which should be comprised of a maximum five members with a technical background relative to water resources and representing one of the many stakeholder groups. 2.3.2 Arrange and attend bimonthly TAC meetings (up to eight TAC meetings) and quarterly CAG meetings (up to five CAG meetings, three of which will be scheduled with TAC) to monitor progress and activities and to establish and maintain contact with members. Create and distribute meeting notices, public information flyers, meeting summaries, project-specific handouts, and other informational materials for watershed-specific T AC and CAG meetings. 2.4 County-Wide Meetings and Briefings 2.4.1 Arrange and hold two community outreach efforts (e.g. Workshops, presentations, events, etc.) focused on eXplaining the County's program and obtaining input from participants as well as presenting the findings and proposed recommendations of the program. Outreach efforts will also provide information on water resources education and participation. A Power-Point presentation shall be prepared with supporting materials provided by other tasks. 2.5 Develop Final Presentation of the Watershed Assessment for the Board of County Commissioners (HOCC). 2.5.1 Develop a draft presentation outline for review by AUD, TAC and CAG. 2.5.2 Incorporate review comments and develop draft presentation for review by AUD. 2.5.3 Incorporate review comments and develop a final presentation. 2.5.4 The Parsons Team shall make two (3) presentations to the BOCC. The first presentation wi II be to request the approval of T AC / CAG, the second to present interim project findings and the last presentation will be to present the draft version of the Final Watershed Management Plan report. 2.6 Public Web Site Support -The Parsons Team will prepare a one (1) page summary of information on the project for the existing Augusta-Richmond County web site and coordinate with City GIS department on format so that it can easily be uploaded to the existing website. PARSONS ENGINEERING SCIENCE C:ITEMPISCOPE0216,DOC 4 SCOPE OF WORK- AUGUSTA-RICHMOND COUNTY WATERSHED ASSESSMENT Revision: 2 February 16,2001 2.7 Media Outreach -The Parsons Team will provide to AUD information, maps, and other materials as appropriate to prepare up to three (3) press releases and up to five (5) public service announcements. 2.8 Public Information and Education Components - Purchase an "Enviroscape" model to be used at public presentations, and to be made available to AUD staff for public educational activities. The model will be used at up to six (6) educational meetings at schools, libraries, or other centers during the project. The model will be delivered to AUD at the end ofthe project. Task 3 - Data Collection Collecting field data is the key to assessing, verifying, and understanding the existing conditions of the watershed. Surveyors, scientists and engineers will systematically collect field data throughout the watershed by walking, measuring, and photographing the streams, wetlands, conveyance systems, and potential pollutant sources in the Augusta-Richmond County watershed. The field reconnaissance data is combined with existing available data to establish baseline conditions in terms of water quality, water quantity (flooding, etc.), stream bank erosion, and natural habitat. 3.1 Define Subbasins 3.1.1 Determine a practical subbasin. The extent and size of a subbasin will be determined, as problems, needs, and objectives are identified for the project. 3.1.2 Delineate the subbasins. Available data and information from USGS and the available topographic information will be used for delineation. The project area will be divided into several subbasins. 3.1.3 Develop GIS subbasin theme. The delineated subbasins for the entire project area will be a theme coverage in the AUD GIS database, consistent with other planning maps. 3.2 Compile existing available data from AUD, GAEPD, USEPA, FEMA, and other sources, including (in electronic form where available) the following types of data. Data considered pertinent may be either at a specific location or of a general nature that is applicable throughout the project area. 3.2.1 Digital databases should be populated and related to map features on AUD GIS in an ARCIINFO format. The digital database shall have fields that tabulate, describe, characterize, summarize and generally locate information. This information shall include: · Present Land Use - The 1995 Augusta Richmond County Comprehensive Land Use Plan as well as the 1992 Land use information from the City of Augusta will be obtained in hard copy and will be digitized by Parsons. Parsons will update this coverage in Arc View using the aerial photography and County input. PARSONS ENGINEERING SCIENCE C:ITEMPISCOPE0216.DOC 5 SCOPE OF WORK- AUGUSTA-RICHMOND COUNTY WATERSHED ASSESSMENT Revision: 2 February 16,2001 · Future Land Use - The projected 2010 land use conditions will be obtained from the County and then digitized by Parsons. Parsons will meet with the planning department to determine where adjustments should be made to reflect the 2020 or build-out conditions and will incorporate those adjustments in the GIS coverage. · NRCS hydrologic soil types. · Streets (based on a cumulative comparison of aerial photography and AUD GIS). · Multi-objective factors (parks, greenways, areas of biological significance). · Topographic contours (based solely on the information contained in AUD GIS system). · Current surface water monitoring locations. · Digital aerial photography. · Floodplain areas. · Channel eroded reaches. · Centerline flow path of major and minor conveyance system. · Water quality data. · Biological and habitat. · Drinking water intakes. · Any Point - Discharge information · Hydrologic and meteorological data. · Existing attainment status for streams and data upon which status was determined. · Existing historical landfills. · Publicly sewered and septic tank areas · Existing BMPs including as-built of outlet structures where available · Existing ordinances and regulations. · Parcel coverage and any mapped building footprints · Wetland inventory maps · Vegetation cover · Satellite imagery · Comprehensive plans . Soil survey maps · Easements · Identification of land owned by Augusta-Richmond County, or State or environmental groups · Data from USEPA, GAEPD, AUD, and the Book on Industrial Facilities shall be used to develop a Water Pollution Source database in Arc View. 3.3 Identification of Problems, Needs, and Objectives 3.3.1 Review existing data and conduct discussions with AUD staff (assumed attendance at three (3) meetings, with departmental staff). This will include the previous reports and studies. PARSONS ENGINEERING SCIENCE C:\TEMP\SCOPE0216. DOC 6 SCOPE OF WORK - AUGUSTA-RICHMOND COUNTY WATERSHED ASSESSMENT Revision: 2 February 16,2001 3.3.1.1 Review the complaint and other data on file related to sanitary sewer overflows (SSO), septic tank failures and erosion within AUD. Copies of information will be provided to the Parsons Team at no cost. The information may be in differing formats including digital and hard copy records or summaries of records. A complaint database will be established to compile the various sources of complaints. Certain information for populating the database will be researched by the Parsons Team. 3.3.1.2 Conduct interviews of ADD engineering and maintenance staff to obtain information on their knowledge of the system and areas of erosion, water quality degradation, septic tank failures, and sanitary sewer overflows. 3.3.1.3 Perform field visits to the sites (assumed to be 25-50 separate locations) identified with problems and formulate preliminary approximate cause opinions and potential solutions. The problem areas visits will be coupled with stream walks and any facility inspections. The problem areas visited will be geo-referenced in the ArcView database. All photos taken of the problem areas and of the stream walks will be hot-linked in GIS. 3.3.1.4 At a regular monthly meeting, Parsons will present to ADD the findings of the problem area visits and the stream walks. These findings will help identify basin specific problems or needs and will be used in developing site-specific alternatives. 3.3.2 Identify the problems and needs specific to the basin. Incorporate or modify the recommendations and procedures presented in previous studies of the basin to reflect unique concerns or problems. 3.3.3 Identified problems and needs will be discussed during a ~ day workshop, (including how the identified problems will be considered in the project) with ADD and TAC, and incorporated into the Watershed Impacts Assessment TM referenced in Task 6.1. 3.4 Water Pollution Source Identification - The (MS4) NPDES Permit requires AUD to locate and identify possible water quality pollution sources that discharge into the municipal storm water conveyance systems. 3.4.1 Database development - Data shall be gathered from a number of sources (DSEPA, GAEPD, ADD, and The Book on Industrial Facilities) and compiled into a GIS database when feasible. It is assumed that approximately 500 records will be entered into the database. Information to be provided shall include: Name of Firm, Address, Parcel Number, or coordinates, Phone Numbers, Name of Responsible individual, SIC Code, Type of Operation, Size of Site, Sub-Basin, PARSONS ENGINEERING SCIENCE C:\ TEMP\SCOPE0216.DOC 7 SCOPE OF WORK - AUGUSTA-RICHMOND COUNTY WATERSHED ASSESSMENT Revision: 2 February 16,2001 Conveyance System Receiving Runoff, and Potential Pollutants Used on Site. The sites will be geo-referenced if site address information is available. 3.4.2 GIS Mapping - GIS map layers (polygon features) will be develop to identify and geo-reference industries and commercial enterprises that are potential water quality pollution sources shall be prepared for ADD's GIS. Identified potential sources shall be linked to the database created in the activity. 3.4.3 GIS and database data shall be compatible with Arc View and Arc/Info systems and information structures. The Parsons Team shall locate and map database features and establish linkage to the data using and Arc View theme without the use of third party software. 3.4.4 Parsons will attempt to obtain the NPDES permit applications for the various industries. In addition, some sites may be visited based on the information in the application or based on the receiving water's water quality. Segments of Butler Creek and Rocky Creek are on the 303(d) list and the industrial sites upstream of these stream segments will be visited in order to possibly identify potential sources of specific water quality parameters. Up to 300 sites will be evaluated either by obtaining the permit application or site visits. 3.4.5 Stream walks will be limited to the 303(d) listed streams or areas where the monitoring stations indicate problems. Up to 30 percent of the studied stream may be walked. 3.4.6 A photo log will be provided for all field visits. 3.5 Preliminary Wetlands Delineation 3.5.1 Provide a GIS layer of National Wetland Inventory (NWI) map as part of the AUD GIS coverage. 3.6 GIS Database All aforementioned data and information collected for the Data Collection Task will be used to construct a database in GIS format. Each type of data will be presented as a theme coverage. These data will be geo-coded and prepared for spatial display. 3.7 Data Collection TM Submit a Technical Memorandum summarizing the data collection task and information collected. Task 4 - Watershed Characterization The objective of watershed characterization is to assess the existing chemical, physical, and biological conditions of the streams in the watershed, and gather appropriate information to support the water quality modeling efforts that simulate and predict future conditions. For purposes of this initial scope and cost estimate, the following assumptions were made (which may be modified based on discussions with GA EPD and AUD): · Monitoring equipment (autosamplers) will be provided by AUD or leased, as necessary, and described in the monitoring plan. Grab sampling will occur during every sampling event but the locations of these samples will float from basin to basin with each sampling event. There will be a total of] 8 grab sampling locations. PARSONS ENGINEERING SCIENCE C:ITEMPISCOPE0216DOC 10 SCOPE OF WORK - AUGUSTA-RICHMOND COUNTY WATERSHED ASSESSMENT Revision: 2 February 16,2001 Approximately 6 grab samples will occur for each event. Grab sampling for more than one event is expected at each of the 18 locations. The grab sampling will not be used to calibrate the models, although it will be analyzed during model verification, and during the correlation analysis. · Assuming weather permits, eight (8) events will be sampled for the standard parameters (one for each sampling station and two for least-disturbed waters). Four (4) events shall be sampled for each season, summer (May-October) and winter (November-April). The Four (4) events will include three (3) wet weather storm events and one (1) event during dry weather periods. 4.3.2 Perform laboratory analysis for watershed water quality samples. 4.3.3 Install, calibrate, and collect data from up to eight in-stream flow monitoring stations and up to three rainfall stations in the basin. 4.3.4 Apply QA/QC to analyze data developed and manage in a database that facilitates summarization and development of model input data. 4.3.5 Prepare technical memorandum (TM) summarizing monitoring data and characterizing data trends. 4.4 Biological Monitoring 4.4.1 Applying the US EP A Rapid Bio-assessment Protocol (RBP), develop detailed biological monitoring plan for the watershed. All sampling will be conducting following GA DNR protocols. The monitoring plan will include · Monitoring locations (same as Comprehensive Monitoring Locations) · Reference stations (urban and un-impacted) · Monitoring indicators (benthos and fish) · Methods and equipment (modified RBP, fish, and IE] protocol) · Monitoring conditions · QA/QC protocol · Sample handling and analysis protocol · Record keeping · Safety · Schedule · Data reporting and summary protocol · Database development 4.4.2 Issue the plan for review by AUD and incorporate comments. 4.4.3 Issue final plan. Additionally, the following shall apply: · A single late spring/early summer monitoring event for each location. · Approved modified RBP protocols and IB! protocols 4.4.6 Perform laboratory analysis for benthic macroinvertebrate samples. 4.4.7 Prepare a TM summarizing biological sampling results and characterizing data trends. Task 5 - Water Quality Modeling The objective of this task is to develop a model that can simulate water quality conditions, potential future impacts due to changes in land use, and effectiveness of various pollution control measures. Various BMPs will be identified and quantified in terms of pollutant reduction efficiency and incorporated into the model. 5.1 Model Selection 5.1.1 It is anticipated that the USEP A BASINS model will be selected for use and modeling related efforts should assume the use of that modeling software. The BASINS model was developed specifically for purpose of calculating Total Maximum Daily Loads (TMDLs). PARSONS ENGINEERING SCIENCE C:\TEMP\SCOPE0216,DOC 12 SCOPE OF WORK - AUGUSTA-RICHMOND COUNTY WATERSHED ASSESSMENT Revision: 2 February 16, 2001 5.2 Develop Model(s) 5.2.1 Integrate model data needs with Watershed Characterization Plan as necessary. 5.2.2 Develop draft modeling approach and options, and basic model framework using existing data and appropriate literature values for a pilot sub-watershed in the watershed for use in model development, and present the selected model, goals, and procedures to AUD and TAC (and CAG, if appropriate) in a workshop setting. 5.2.3 Using the input data gathered as part of the basin characterization and data collection task category along with the experience gained from preparing the pilot sub-watershed, develop the model for each of the subbasins. 5.3 Calibrate Model(s) 5.3.1 Begin initial model calibration (in parallel with monitoring) for the pilot sub- watershed (working from annual mass balance to seasonal variability of storm events). 5.3.2 Continue refining the model based on additional monitoring data available until acceptable level of accuracy, as defined by the modeling objectives, has been reached. 5.3.3 Document the calibration of the pilot sub-watershed in the TM (Task 5.7). 5.3.4 Verify individual model calibration based on the data collected during the Watershed Characterization task. 5.4 Modeling subbasin of Existing and Future Land Use Conditions 5.4.1 Apply model to the watershed under existing and future land use condition with no additional improvements for the future land use.. 5.4.2 Calculate non-point source pollutant loads per land use and basin. 5.4.3 Identify basins that have high potential of pollutant loading. 5.4.4 Estimate targeted pollutant loading to achieve protection of streams. 5.4.5 Estimate reduction of pollutant loading by applying different BMPs. 5.4.6 Per AUD comments, run modeling analyses for up to three management scenarios using future land use with proposed BMPs. PARSONS ENGINEERING SCIENCE C:ITEMPISCOPE0216,OOC 13 SCOPE OF WORK - AUGUSTA-RICHMOND COUNTY WATERSHED ASSESSMENT Revision: 2 February 16,2001 5.4.7 Summarize and prepare the model output in tabular and graphic form. 5.5 Watershed Modeling TM 5.5.1 Develop a summary of modeling results. 5.5.2 Develop a draft TM documenting the watershed modeling task and results. 5.5.3 Submit the draft TM to AUD and TAC for comments. 5.5.4 Incorporate comments and issue final TM. Task 6 - Watershed Impacts Assessment The effects of urbanization on stream health include changes in hydrologic regime, channel morphology, and physiochemical water quality. Correlation analysis will be used to identify meaningful relationships between stream health and watershed hydrologic and water quality conditions. This analysis will be based on field sampling data and is intended to be a general means of establishing associations between the various factors. 6.1 Watershed Impacts Assessment Results 6.1.1 Perform integrated analysis of factors affecting the streams, including modeled pollutant loads, sampling results, problems, needs and objectives, and identified habitat impacts. 6.1.2 Identify, describe, and quantify, as possible, impacted areas. 6.1.3 Prepare draft impacts assessment TM on existing conditions and observed impacts and contributing factors. 6.1.4 Submit draft impacts assessment TM for review and comment to AUD and the TAC. 6.1.5 Incorporate comments and issue final impacts assessment TM. Task 7 - Watershed Improvement Guidelines It is important to identify water quality targets, or improvement guidelines, early in the project in order to evaluate existing data and to insure that the monitoring plan include the correct parameters and analytical detection limits. The target conditions can be defined as meeting state water quality standards or appropriate turbidity or pathogen levels, for example. Stakeholders can help determine the point at which cost and target conditions are maximized. The guidelines PARSONS ENGINEERING SCIENCE C:ITEMPISCOPE0216,DOC 14 SCOPE OF WORK - AUGUSTA-RICHMOND COUNTY WATERSHED ASSESSMENT Revision: 2 February 16, 2001 will be presented to the CAG and TAC. 7.1 Prepare draft Technical Memorandum of Watershed management guidelines based on the Impact Assessment, AUD, guidance, and the T AC and CAG input, consistent with guidelines previously developed by the Program Team. The draft guidelines may include: 7.1.1 Aquatic integrity guidelines consistent with designated use. 7.1.2 Water quality/pollutant load guidelines consistent with attainment of water quality standards. 7.1.3 Flooding and stream channel stability guidelines. 7.1.4 Where appropriate, document constraints that prevent attainment of existing standards and support site-specific revision of standards (other guidelines beyond standards, aesthetics, public health, etc.). 7.2 Setup and attend up to two (2) meeting(s) with GA EPD to discuss the issues related to proposed guidelines. 7.3 Incorporate comments and issue final guidelines. Task 8 - Watershed Management Plan This task consists of developing a Watershed Management Plan that outlines proposed projects to address the identified problems. This task will also include the evaluation and ranking involved in developing those recommendations. 8.1 Summarize Problems / Issues and Develop Strategies for Actions 8.1.1 Based on the results of above Tasks including Data Collection, Watershed Characterization, and Watershed Modeling, the Parsons Team will summarize the condition of the water resources in the project area. This will include the identification of areas in the watershed where water quality, flooding, and erosion problems have been improved or degraded. 8.1.2 Meet with ADD, the T AC, and the CAG to discuss basic approaches and frameworks to watershed management and obtain feedback on needs, constraints, and concerns. 8.1.3 Develop strategies to address problems and issues. 8.2 Watershed Management Scenarios PARSONS ENGINEERING SCIENCE C:\ TEMP\SCOPE0216, DOC 15 SCOPE OF WORK - AUGUSTA-RICHMOND COUNTY WATERSHED ASSESSMENT Revision: 2 February 16, 2001 8.2.1 Coordinate the development of watershed management scenarios with ongoing related projects. 8.2.2 Using watershed management strategies as the base, develop draft watershed management scenarios for the subbasins. In each area where there are problems, the following approaches will considered: · Investigate retrofitting opportunities of existing flood control structures to provide water quality control and additional control of flood volumes and in-stream velocities. · Investigate opportunities to control/manage water quality and quantity of runoff through the use of passive controls, such as land use zoning; buffer strip requirements, vegetated channels, and the like. · Investigate the use of structural controls for the management of runoff water quality and quantity, including wet detention ponds, dry detention ponds, artificial wetlands, first flush devices, (impact of these devices on flood peak rate and timing must be reflected in hydrology and hydraulics analyses). · Identify mitigating measures required to prevent, reduce/eliminate potential site specific flooding, erosion, and pollution issues relating to the storm water conveyance system. · Evaluate the elements of the current storm water maintenance program that impact surface water quality and flooding issues. Review potential frequency and type of maintenance for various systems and facilities throughout the study area to meet NPDES requirements. Typical maintenance needs to include channel banks, catch basin cleaning, litter control, sediment removal and other activities related to post- development. The Parsons Team shall recommend a maintenance program implementation methodology and opinion of cost of the program that will meet the NPDES permit requirements, relating to maintenance for the project watershed. Specific maintenance recommendations identified from the complaint data will also be provided. · Identify administrative requirements such as enhance existing ordinances, revise standards, implement procedures, and controls, necessary for Watershed Management. · Identify land use controls for sensitive areas such as wetlands, flood plains and riparian areas. · Coordinate with other AUD Departments including the Forestry Department, Recreation, Public Works, Planning and Zoning, and Trees and Landscape Department, to integrate into the Management Plan an assessment of the use of greenways, maintenance of biodiversity, conservation, and other environmental considerations/objectives for implementation into administrative controls. · Evaluate, develop, and recommend the procedures needed to address on- site septic systems. The Parsons Team shall review current AUD administrative procedures that impact water quality (NPDES), identify PARSONS ENGINEERING SCIENCE C:\TEMP\SCOPE0216DOC 16 SCOPE OF WORK- AUGUSTA-RICHMOND COUNTY WATERSHED ASSESSMENT Revision: 2 February 16,2001 on-site system characteristics, evaluate establishing a regular homeowner septic system inspection and maintenance program, and provide an opinion concerning the benefits of implementing educational programs for homeowners regarding proper maintenance and functioning of septic systems. · The Parsons Team will review complaint recordsJor possible SSOs. 8.2.3 Prepare and submit draft up to three watershed management scenarios to AUD, and T AC for comment and incorporate comments. 8.3 Evaluation of Watershed Management Scenarios 8.3.1 Develop draft scenario evaluation criteria focused on goals of watershed management. For any suggested structural BMP in addition to other technical criteria, evaluation criteria shall include: impacts on habitat for existing wildlife and any listed threatened or endangered species, impacts to any cultural resources, and impacts to any specimen trees as specified in AUD's tree protection regulations. The Parsons Team shall provide a cursory on-site investigation for each structural BMP recommended for evaluation. 8.3.2 Present the scenario evaluation criteria to AUD and the TAC for comment and incorporate comments. 8.3.3 Prepare draft evaluation data, based on evaluation criteria, for each scenario under future conditions. 8.3.4 Run watershed models for each scenario under future conditions and present the results in graphical and tabular fonn 8.3.5 Attend one workshop to present preliminary scenarios to AUD and CAG. 8.3.6 Incorporate comments and prepare final scenarios. 8.4 Evaluate Capital Improvement Projects for Watershed Management 8.4.1 Evaluate costs for planning and budgeting purposes for major capital improvement projects identified. 8.4.2 Provide a description of the cost effectiveness and feasibility of stonnwater best management practices (BMP) for water quality/quantity runoff in project area. 8.4.3 Develop a prioritization matrix for the capital projects. The matrix will be presented and applied during a workshop with AUD and the TAC. 8.4.4 Identify potential funding sources for implementing watershed management scenanos. The CONSULTANT may submit to the CITY a monthly invoice, in a form acceptable to the CITY and accompanied by all support documentation requested by the CITY, for payment for the services, which were completed during the billing period. The CITY shall review for approval said invoices. The CITY shall have the right to reject payment of any invoice or part thereof if not properly supported, or if the costs requested or a part thereof, as determined solely by the CITY, are unreasonably in excess of the actual phase of completion of each phase. The CITY shall pay each such invoice or portion thereof as approved, provided that the approval or payment of any such invoice shall not be considered evidence of performance by the CONSULTANT to the point indicted by such invoice, or of receipt of acceptance by the CITY of the service covered by such invoice. The CITY shall pay any undisputed items contained in such invoices. Each invoice shall be accompanied by a letter progress report describing the total work accomplished for each phase and any problems, which have been encountered, which may inhibit execution of the work. The CONSULTANT shall also submit an accurate updated schedule, and an itemized description of the percentage of total work completed for each phase during the billing period. When the CITY authorizes the CONSULTANT to proceed with the work authorized in a Task Order, it agrees to pay the CONSULTANT for work completed, on the basis of the standard billing rates shown in this Attachment B to the Contract of those principals and employees engaged directly on the work. Compensation for professional services shall be invoiced based on the sum of all actual costs incurred in the performance of the work, including all direct, payroll, overall and profit cost in an amount not-to-exceed the compensation set forth in any authorized Task Order. All invoIces submitted by the CONSULTANT shall be detailed to reflect incurred expenses, labor hours and costs by authorized Task.
