AMENDMENT NO.9
TO THE
AGREEMENT FOR OPERATIONS,
MAINTENANCE AND MANAGEMENT SERVICES
FOR
AUGUSTA, GEORGIA
This AMENDMENT No.9 to the Agreement for Operations, Maintenance and Management
Services for Augusta, Georgia dated July 20, 1999 (the "Agreement") is made effective this
18t day of January 2005 between Augusta, Georgia, a political subdivision of the State of
Georgia, whose address for any formal notice is 530 Green Street, Room 801, Augusta Georgia
30911, Attention: City Administrator (hereinafter "Owner") and Operations Management
International, Inc., with offices at 9193 South Jamaica Street, Suite 400, Englewood, Colorado
80112 (hereinafter "OMI").
NOW, THEREFORE, Owner and OMI agree to amend the Agreement as follows:
1. A new Article 2.6 is added as follows:
2.6 Local, Minority-owned, Women-Owned Business Requirements. Contractor shall
comply with the following requirements commencing on the Effective Date of
this Amendment:
2.6.1 Provide Owner with available historical information dating back to
January 1, 2003 showing payments to contractors, subcontractors, material
vendors and other service providers which are local, minority-owned, or
women-owned businesses. A local contractor, subcontractor, material
vendor or service provider is defined as one having an office in Augusta-
Richmond County, Georgia or any county contiguous to Augusta-
Richmond County. Said information shall include the name and address
of t~e recipient of said payment.
2.6.2 OMI agrees to provide owner with a plan to utilize contractors,
subcontractors, material vendors and other service providers which are
local, minority-owned, or women-owned for a goal of twenty percent
(20%) of its total work commencing on the Effective Date and continuing
throughout the Term ofthe Agreement.
2.6.3 OMI shall provide Owner on a monthly basis reports detailing the
involvement of local, minority-owned, and women-owned businesses in
the services provided during that month and detailing out expenditures on
a year to date level.
2.6.4 OMI shall appoint a liaison to establish, track and monitor the goal of
providing work or purchasing supplies from local, minority owned or
woman owned businesses. Said liaison as of the date of this Amendment
No.9 is Mr. Anthony R. Johnson as indicated in Appendix N.

2.6.5 OMI shall commit to a concerted and continued effort to direct our focus
to small, local, minority owned and woman owned businesses as discussed
in OMI's commitment letter of May 11, 2005 (Appendix 0). Mr.
Anthony Johnson shall personally work with the Owner's Disadvantaged
Business Enterprise Coordinator in achieving the mutual goal of at least
20% participation on allocated funds for materials, supplies and services.
2. Article 7.1 is hereby deleted in its entirety and is replaced with the following Article 7.1.
7.1 In December 2004, Owner exercised one (1) year of the option period thereby
extending the Agreement through December 31, 2005. With this Amendment,
Owner elects to exercise the remaining four years of the option period
commencing on January 1, 2006 and ending December 31, 2009. All contract
periods and renewals are subject to and contingent upon yearly budget approval
by the Owner.
3. Article 2.11 is modified to include the following additional paragraph:
OMI shall provide qualified personnel to perform the services contemplated by
the Agreement. A listing of current "Key Personnel" is included in Appendix N,
attached hereto. OMI agrees not to force the transfer of any of the Key Personnel
without the written approval of Owner, such approval not to be unreasonably
withheld.
This Amendment No. 9 together with the Agreement constitutes the entire agreement between
the Parties and supersedes all prior oral and written understandings with respect to the subject
matter set forth herein. Unless specifically stated all other terms and conditions of the
Agreement shall remain in full force and effect. Neither this Amendment nor the Agreement
may be modified except in writing signed by an authorized representative of the Parties.
The Parties, intending to be legally bound, indicate their approval of the Amendment by their
signatures below.

OMI Listing of Key Personnel
The Project Manager shall provide qualified personnel to perform the services contemplated by
this Agreement. The following Key Personnel will not be force transferred without written
approval of Owner, such approval not to be unreasonably withheld:

Dear Ms. Gentry
It was a pleasure meeting with you this afternoon to discuss options and the potential to increase
small, local, minority owned and women owned business participation for the purchasing of
goods and services within the greater Augusta area. You provided great insight into the
expectations of Augusta and OM! is fully prepared to work diligently to meet and exceed the
City's expectations.
We commit to provide you a detailed action plan showing innovative ways to increase vendor
participation within 30 days following the execution of Amendment No.9.
As you are aware, OM! has assigned Mr. Anthony (Tony) Johnson as liaison to interface with
you directly. Tony will meet with you each month to identifY opportunities and track our
successes and challenges. He also serves in a similar role for our CH2M Hill Program
Management team which will maximize our efforts in many areas.
In addition, we intend to provide you detailed information listing typical procurement materials,
supplies and services in an effort to expedite locating qualified small, local, minority owned and
women owned businesses. This means that you will be included during the initiation of
procurement processes as opposed to post-procurement activities.
In summary, OM! is committed to placing a concerted and continued effort to direct our focus
to small, local, minority owned and women owned businesses. We demonstrate our initial
commitment by assigning Mr. Anthony Johnson as liaison to personally work with your
department in achieving our mutual goal of at least 20% participation on allocated funds for
materials, supplies and services.
