AMENDMENT TO LEASE
(DECEMBER, 2005)
COUNTY OF RICHMOND
THIS AMENDMENT TO LEASE, made and entered into effective as of the 1 st
day of December, 2005, by and between AUGUSTA, GEORGIA, by and through the
General Aviation Commission, ("Lessor"), and N.V.A., INC., ("Lessee");
WIT N E SSE T H:
WHEREAS, the City Council of Augusta, Georgia, by the General Aviation
Commission, did on September 6, 1977, execute and deliver as Lessor that certain
Lease Agreement ("Ground Lease") to David W. Fry as Lessee (hereinafter referred to
as the "Lease"); and
WHEREAS, said Lease has been amended and assigned numerous times, the
last such amendment being effective on August 1, 2002; and
WHEREAS, the current parties in interest are Augusta-Richmond County,
Georgia, by the General Aviation Commission, as Lessor and NV.A., Inc. as Lessee;
and
WHEREAS, Lessor and Lessee wish to further amend said Lease in certain
respects.
NOW, THEREFORE for and in consideration of the sum of Ten and No/100
($10.00) Dollars, and other good and valuable consideration, in hand paid by Lessee to
Lessor, the receipt and adequacy of which is hereby acknowledged, Lessor and
Lessee, do hereby modify' the Lease as follows:
1. Term. The current term of said Lease is until midnight of July 31,2017.
2. Options to Renew and Extend. After July 31, 2017 Lessee shall have
six (6) options to renew and extend the Lese term for an additional term of
five (5) years for each such renewal and extension. Lessee shall exercise
said option to renew by written notice to Lessor, given not less than sixty
(60) days prior to the expiration of the then term of the Lease.
3. Rental. Until July 31, 2017, the annual rental shall be $36,950.00,
payable monthly in advance in installments of $3,079.17. Should Lessee
exercise any of the five (5) year options to renew and extend the Lease,
the base rental for each said renewal period shall be increased by the
percentage increase of the Consumer Price Index then in effect over and
above the Consumer Price Index in effect on the date five (5) years prior
to the commencement of any renewal term.
Except as specifically amended herein, Lessor and Lessee do hereby ratify and
confirm all other terms of the Lease.
IN WITNESS WHEREOF, Lessor and Lessee havecaysed these presents to be
executed by their duly authorized officers and officials and their seals affixed hereto the
date and year first above written.
