AGENCY AUTHORITY AGREEMENT
This Agency Authority Agreement (the "Agreement") is made as ~ 2001 by
and bebveen Motorola, Inc. ("Motorola") and Augusta, Georgia, a political subdivision of the
State of Georgia ("Licensee").
WHEREAS, Licensee is licensed by the Federal Communications Commission ("FCC")
to operate those 800 MHz radio station licenses listed on Exhibit A (the "Stations") that are
utilized in the joint Public SafetylUtility radio system managed by SCANA Communications,
Inc., ("SCI"). Each Station is licensed to Licensee under the provisions of the FCC's rules
governing Public Safety Radio Services;
\VHEREAS, Motorola and SCI are parties to a certain Subcontracting Agreement (the
"Subcontract"), pursuant to which Motorola will provide certain management services to SCI in
connection with an 800 MHz radio network (the "Network") currently operated by SCI; and
WHEREAS, upon commencement of the term of the Subcontract, Licensee wishes to
grant Motorola the authority to act as Licensee's agent for the limited purpose of entering into
agreements with eligible third party users that satisfy the requirements of FCC Rule 90.179(d).
NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of
which is hereby acknowledged, the parties agree as follows:
1. Licensee hereby expressly grants Motorola the authority to enter into user
agreements with eligible third party users of the Network. Such Network will operate on a non-
profit cost-shared basis among the Licensees as required by FCC Rule 90.179(d).
2. Motorola acknowledges that the Station(s) are subject to the control of Licensee
as required by FCC's rules.
3. Licensee and Motorola agree that if Licensee obtains additional stations that
become part of the Network, Motorola will also act as agent for such stations and Motorola's
actions will be governed by the terms ofthis Agreement.
4. This Agreement may be signed in any number of counterparts with the same force
and effect as if all signatures appeared on one and the same instrument.
