ROAD EXTENSldN AND COST SHARING AGREEMENT
THIS AGREEMENT is entered into this ~ day of &r; 9
1998, by and between AUGUSTA, GEORGIA, a political subdivision of the State
of Georgia, acting by and through the Augusta-Richmond County Commission
(hereinafter "Augusta"), LEE H. BRANDENBURG and ERIC ]La
BRANDENBURG (hereinafter "Brandenburg") and RIVER WATCH, LLC9 a
Georgia limited liability company (hereinafter "Storey");
WIT N E SSE T H:
WHEREAS, Augusta has plans to construct improvements on certain
property located north of Riverwatch Parkway, near the intersection of Riverwatch
Parkway and Interstate 20 to include road improvements and sewer, water and
storm water facilities as shown on Exhibit "A" attached hereto and depicted on a
site plan prepared by Southern Partners dated July 31, 1998, a copy of which is
attached hereto as Exhibit "B" (hereinafter the "Project"); and
WHEREAS, Storey plans to construct a proposed office building on
said land adjoining said Project; and
WHEREAS, Augusta, Brandenburg and Storey recognize the benefit
of joint planning of construction with regard to the Project and desire to work
together to complete the same in accordance with the terms and conditions set forth
below; and
WHEREAS, Brandenburg and Augusta have and do hereby agree to
share the cost of the Proj ect;
NOW, THEREFORE, for and in consideration of Ten and no/IOO
($10.00) Dollars, the mutual promises and covenants contained herein, and the
benefits to be derived therefrom, the Parties agree as follows:
1. Storey shall cause to be constructed the Project in accordance
with the specifications and site plan attached hereto as Exhibits "A" and "B".
2. Augusta and Brandenburg will share costs associated in
completing the Project with Augusta's total participation toward the Project costs
being Two Hundred Thirty-Eight Thousand and no/IOO ($238,000.00) Dollars.

3. All improvements in the Project shall be built in accordance
with the specifications and site plan attached hereto as Exhibits "A" and "B."
4. Brandenburg and Storey shall dedicate or cause to be dedicated
to Augusta, at no cost to Augusta (except as set out herein), the right-of-way for
the road system and the required easements for the sewer, sanitary storm drainage
facilities (exclusive of the siltation pond) and water lines which are a part of the
Project depicted in the plans referenced in the above described contract.
5. Brandenburg shall pay, or cause to be paid, all costs associated
with the Project, as and when they become due, and pursuant to the above
described contract. Upon completion of the Project and acceptance by Augusta,
Augusta shall pay to Brandenburg the sum of Two Hundred Thirty-Eight Thousand
and nolIOO ($238,000.00) Dollars.
IN WITNESS WHEREOF, the parties have hereunto caused this
instrument to be executed by their duly authorized officials.
