FIRST AMENDMENT TO AGREEMENT
This First Amendment to that certain Agreement dated May 19,
1997, by and between Richmond County, Georgia and The Lamar
Corporation (the "Agreement"), is made and entered into this-1L-.
day of October , 1997, by and between AUGUSTA, GEORGIA
(formerly RICHMOND COUNTY, GEORGIA), acting by and through the
Augusta-Richmond County Commission ("AUGUSTA"), and The Lamar
Corporation, a corporation organized and existing pursuant to the
laws of the State of Louisiana ("LAMAR").
For and in consideration of the mutual promises and
covenants contained herein, and other good and valuable
consideration, the receipt and sufficiency of which are hereby
acknowledged, the parties agree as follows:
1. The Agreement is hereby amended by deleting section 6
thereof in its entirety and substituting therefor the following:
LAMAR agrees that it shall ensure that any and all pay
telephones located at shelters and/or benches covered
by this Agreement are maintained in working order.
LAMAR may, at its own expense, provide additional pay
telephones at any shelter and/or bench covered under
this Agreement, and shall ensure that said additional
telephones are maintained in working order. The
parties agree that should the supplier of said
telephones remove said telephones from the shelters
and/or benches, LAMAR shall only be required to replace
telephones in existence as of the effective date of the
Agreement. In the event LAMAR or COUNTY receives
notice that any telephone provided at a bus stop
shelter or bench pursuant to this Agreement is being
used for illicit purposes, and, after investigation,
determines that said information is correct, LAMAR
shall remove such telephone upon request of the COUNTY,
or with permission of the COUNTY if the request for
removal is made by LAMAR. Revenues derived from said
pay telephones shall be shared with the County as
provided for in section 11 herein.
2. All other terms, conditions and provisions of the
Agreement remain in full force and effect.
