THIS AGREEMENT, made this -2L day of FehTlIRry ,2001, by and
between AUGUSTA, GEORGIA, hereinafter AUGUSTA, and JAY CALLA WAY
WHEREAS, in order to further the achievement of its ends, AUGUSTA requires
certain consultant services to train, implement, and maintain certain tax software utilized by the
Tax Commissioner's office; and
WHEREAS, JAY CALLA WAY offers consultant services, with special
competence and experience in the area of said software training, implementation, and
maintenance; and
WHEREAS, it is the mutual desire of the parties hereto to enter into this
agreement for the purpose of providing the consulting services required by the AUGUSTA and
offered by JAY CALLA WAY, under the terms and conditions hereinafter set forth.
NOW, THEREFORE, in consideration of the mutual covenants contained herein
and other good and valuable consideration, acknowledged between the parties to be of
substantial value, it is mutually agreed as follows:
1. JAY CALLA WAY is hereby employed as a non-exclusive consultant and
independent contractor to provide consulting service to the Information
Technology Department and the Tax Commissioner's office for
AUGUSTA for an agreed period. This effective date of this agreement is
February 1,2001.
JAY CALLA WAY shall be directly responsible to the AUGUSTA and, in
addition to the other matters contracted for and reasonably assigned, shall:
(a) Provide consulting services to the Information Technology
Department and the Tax Commissioner's office.
(b) Confer and report at reasonable intervals with AUGUST A and
make appropriate written reports upon request outlining in
reasonable detail all activities undertaken for AUGUST A.
(c) Promptly perfoml all necessary services and duties to carry out the
requirements of this contract.

2. In consideration for the performance of the professional services listed
herein, AUGUSTA shall pay, or cause to be paid to JAY CALLA WAY, a
sum of $80.00 per hour. All statements for services rendered shall be
documented as to date and times of service, with all items set forth in
reasonable detail.
3. AUGUSTA acknowledges that JAY CALLA WAY is free to enter into
working agreements with other organizations, so long as such services do
not conflict with the best interests of AUGUSTA in the services of this
contract. Contact with JAY CALLA WAY shall normally be after 5:00
p.m. Monday through Friday or on weekends, but in an emergency JAY
CALLA WAY may be contacted during the hours of 8:00 a.m. to 5:00 p.m.
4. JA Y CALLA WAY shall not have authority to and shall not make any
binding commitments, or enter into any financial obligations for
AUGUSTA, without the prior written approval of the AUGUSTA.
5. Both parties acknowledge that JAY CALLA WAY is serving only as an
independent contractor to AUGUSTA, and REVENUE SYSTEMS, INC.
is in no way involved or responsible for the work of JAY CALLA WAY.
