INSTRUCTIONS FOR EXECUTING GRANT AGREEMENTS
Enclosed are three (3) copies of a Grant Agreement which have been executed on
behalf of the Federal Transit Administration. Two (2) copies are to be retained by the
Grant Recipient and one (1) copy will be returne~ to FT A to the attention of:

The person officially authorized by the Grant to accept the Government's offer of
financial assistance should execute the Grant Agreements. (If an individual other than
the one authorized executes the Grant Agreement, please provide copies of the
appropriate delegation of signature authority.) This execution must be witnessed.
Stamped signatures are not acceotable.
Please note that this Grant Agreement incorporates by reference the Federal Transit
Administration Master Agreement, Form FTA MA(2), October 1, 1995, as may be
amended from time to time, which was sent to you under separate cover. Also
incorporated by reference are any special conditions or requirements that may be
contained in the grant award letter.
In the event the Grant Agreements cannot be returned within the ninety (90) day period,
please notify the Regional Counsel immediately, in writing, setting forth the reason for
delay and requesting an extension.

GRANT AGREEMENT

Upon execution by the Grantee named below. the U.S. Department of Transportation, Federal
Transit Administration (Federal Government or FT A) and the Grantee have entered into this
Grant Agreement. This Grant Agreement covers the Project described below. In addition, the
following documents are incorporated by reference and made part of this Grant Agreement:
( 1) "Federal Transit Administration Master Agreement," Form FT A MA(2), October 1, 1995; and
(2) Any Award notification containing special conditions or requirements, if issued.
THE FEDERAL GOVERNMENT MA Y WITHDRAW ITS OBLIGATION TO PROVIDE
FINANCIAL ASSISTANCE IF THE GRANTEE DOES NOT EXECUTE THIS GRANT
AGREENfENT WITHIN 90 DAYS AFTER AWARD.

EXECUTION OF GRANT AGREEMENT
This Grant Agreement may be simultaneously executed in several counterparts, each of which
shall be deemed to be an original having identicallegaI effect. After the FT A Authorized Official
has signed this Grant Agreement, the Grantee should then execute this Grant Agreement.
The Grantee, by executing this Grant Agreement, ratifies and adopts all statements,
representations, warranties, covenants, and materials submitted by it; accepts the Federal
Government's grant award; and agrees to all terms and conditions of this Grant Agreement..
