A.s you may know, Informix Corporation and Informix Software, Inc;/l'-;;;re reached an agreement
with International Business :Machines Corporation ("IBM'') that will result in IB,M and its affiliates
acquiring substantially all of the assets of Informix and its subsidiaries relating to our database busi-
ness. The transaction is subject to customary regulatory approvals and approval by our stockhold-
ers, which we expect to recei,'e during the third quarter.
IBn'~ is committed to providing to you the excellent service and support to which you are accustomed.
Almost all Informix database employees are expected to join IBM to ensure that the transition goes
smoothly, and to pro,'ide the technical and product know-how to ensure continued good service.
IB},( is also embracing Informix products and technology and has stated very explicitly tllat support
and continued enhancement of tlle products you use will continue for the foreseeable future. Some
of tl'le technology contained in products such as IDS and XPS Red Brick will also be included in
future releases ofDB2.
\\ie :eel tllat IBlv[ and Informix have the best database skills anywhere in tlle world and togetller will
become a formidable force in the marketplace. 1l1is will grow the business and can only be good
for our customers.
In accordance with the agreement between Informix and IBIv[, InfOlmix intends to assign your data-
base agreement(s) to IB?v[ or an affiliate of IBM. \\'1lile the provisions of your database agreemef!t(s)
with us may not expressly require your consent to assign your agreement(s) to IBlv[, due to the
value we place on our relationship with you and consistent with our corporate policy, we are seek-
ing your consent to assign your database agreement(s) to IBM or an IBr/[ affiliate, effective as of tlle
appLcable closing date of the sale of the database business in your co~nt1J' (the "Effective Date"),
On the Effective Date, IBj\,[ or an IBlv[ affiliate will assume all of tlle rights and responsibilities of
Informix under the assigned agreement(s) on a going-forward basis as provided in the agreement
between Informix and IB.\ L
If ycur database agreement(s) with Informix also includes Ascential Software products (for example,
A\:ielle, DataStage, j\'[edia360, \'\/ebSuccess or i,Reach), only that part of your agreement(s) pertaining
to Ir:formix database products will be assigned to IBj\/L

and delivery to Imvl, or an IBId affiliate, of all of our rights, title, and interest in and to your agree-
