SUB-GRANT AGREEMENT BY AND BETWEEN AUGUSTA, GEORGIA AND
HISTORIC AUGUSTA, INC. USE OF DCA GRANT FUNDS BY SUB RECIPIENT
TO INSTALL AN ELEVATOR IN THE JOSEPH R. LAMAR BOYHOOD HOME AT 415
SEVENTH STREET, AUGUSTA, GEORGIA
DCA GRANT NO.: 08-C-L-Oll (2008).
WHEREAS, the Augusta-Richmond County Commission in meeting of September 4,
2007, approved the acceptance of the above referenced grant.

This sub-grant agreement by and between Augusta, Georgia, a political subdivision of the
State of Georgia, acting by and through the Augusta Richmond County Commission c/o
Administrator, 530 Greene Street, Room 801, Augusta, Georgia 30911, and Historic Augusta,
Inc., a Georgia not for profit corporation having an office and a place of doing business at 415
Seventh Street, Augusta, Georgia 30903-0037 and hereinafter referred to as "sub-recipient" is
made and entered into memorialize the terms of a sub-grant through Augusta from the
Department of Community Affairs, State of Georgia intended for use by said Historic Augusta,
Inc. for installation of an elevator in the Joseph R. Lamar Boyhood Home.

Historic Augusta, hereinafter referred to as sub-grant recipient, hereby authorizes the
Augusta Richmond County Commission by and through its finance director as the fiscal agent
for the disbursement of DCA Grant No. 08-C-8-0ll in the amount of $20,000.

All provIsIons and conditions of the grant agreement by and between the Georgia
Department of Community Affairs and Augusta, Georgia are incorporated herein by reference
and are hereby acknowledged and accepted by sub-recipient as the implementing agency before
any expenditures are made.

Sub-recipient hereby accepts receipt of seventy-five (75%) percent of the grant amount.
Upon receipt of appropriately documented use of the funds and the compliance with any DCA
approval procedures and DCA approval Augusta, Georgia will make final payment to the sub-
recipient in the amount of twenty-five (25%) percent of said grant amount.

Sub-recipient as a condition of the receipt of said grant from the DCA hereby accept
covenants and promises for its self and its successors and assigns to indemnify and hold harmless
. Augusta, Georgia its mayor, commissioners, officers, employees and agents and servants from
any and all liability associated with the expenditure of the money herein identified as DCA Grant
No. 08-C-L-Oll (2008) and shall so indemnify Augusta from any and all damages, suits or
demands which might be brought in any way against Augusta and relating to said grant funds.

In further consideration of the receipt of the grant the undersigned personal guarantor,

hereby guarantees the appropriate expenditure of said
funds and in the event that the sub-grantee above named cannot indemnify and hold harmless
Augusta, Georgia as herein provided will personally and unconditionally guarantee said

expenditure is appropriately used or shall return and deliver to Augusta an amount of money
equal to the granted amount and any and all reasonable attorney's fees incurred by Augusta in
any way connected with the application of this grant and the disbursement thereof by sub-
recipient.
Sub-recipient must expend or contractually obligate the full amount of the grant within
twelve (12) calendar months from the date of the executed agreement between the Department of
Community Affairs and Augusta. At the end of that time, the authority to expend unencumbered
Grant Funds or to obligate them contractually will expire, and sub-recipient Augusta must repay
to Department all Grant Funds paid to Recipient which Recipient has not spent or contractually
obligated by the end of the following calendar month, unless the Commissioner of Community
Affairs consents to a new deadline for good cause in a writing specifically referring to this Grant
by number.
This grant agreement is executed in duplicate originals by and through the authorized
officers of the parties effective for the period
