SERVICE AGREEMENT
This Agreement, made effective January 1, 2000 by and between Augusta/Richmond County
and Hilb, Rogal & Hamilton Company of Savannah, Inc. (The Administrator), is entered into
on the following terms and conditions:
I. Hilb, Rogal & Hamilton Company of Savannah, Inc. agrees to assist
Augusta/Richmond County in the performance of the following services with respect
to Augusta/Richmond County's Workers' Compensation Self-Insurance Program:
A. Program Development
1. Assist Augusta/Richmond County in the continued monitoring and
evaluation of your administrative policy as a qualified self-insured
employer under the provisions of the State of Georgia Workers'
Compensation Statute.
2. Provide information on changes or proposed changes in legislation,
rules, and regulations affecting Augusta/Richmond County's
responsibilities as a Self-Funded employer.
3.
Monitor the Augusta/Richmond County self-funded program and
. evaluate program goals against objectives, recommending corrections
where needed.
B.
Claims Administration
1. Review and process the Augusta/Richmond County Workers 1
Compensation accident and occupational disease claims as reported to
Hilb, Rogal and Hamilton Company of Savannah, Inc. per Georgia's
Workers' Compensation Statute.
2. Assist in determining compensability of injury/or occupational disease
cases in accordance with Georgia's Workers' Compensation Statute.
3. Provide utilization review on all medical reports and bills concerning
Workers' Compensation claims to determine eligibility for payment.
Issues reviewed will include evaluating relationship of sustained injury to
the job, reasonableness of charges and necessity of treatment.

4. Using funds provided by Augusta/Richmond County, process payments
of all eligible temporary total benefits, permanent partial disability
benefits, and death benefits to Augusta/Richmond County employees
and/or their dependents.
5. Using funds provided by Augusta/Richmond County, process payments
of all eligible medical bills on behalf of Augusta/Richmond County
employees.
6. Assist in determining extent and degree of permanent disability as
defined by the Georgia Workers' Compensation Act, utilizing, when
desirable, physicians selected by Augusta/Richmond County for
medical examinations.
7. Maintain a claim file on each reported claim, which shall be the property
of Augusta/Richmond County and be available at all times for
inspection by personnel authorized by Augusta/Richmond County.
8. Maintain current estimates of the cost of all anticipated benefits on each
case.
9.
Investigate questionable cases to assist in establishing adjustment and
litigation strategy. All such investigations are to be done with the prior
approval of Augusta/Richmond County.
10.
Assist Augusta/Richmond County's Attorney in the preparation of
cases involving a pending Hearing and/or negotiations of compromise.
Settlements must have the approval of Augusta/Richmond County.
11.
Work with Augusta/Richmond County personnel, injured employee,
and other agencies to provide rehabilitation, retraining or reassignment
of employees with physical limitations arising out of Workers'
Compensation claims.
12.
Assist Augusta/Richmond County personnel with evaluating and filing
of claims against The Subsequent Injury Trust Fund.

C. Fiscal Analysis
1. Provide Augusta/Richmond County with a monthly computer check
register showing benefits paid by name of injured employee.
2. Provide a quarterly accumulative claim activity report to list the
claimant, cause of injury, type of injury, current paid benefits, paid to
date benefits, estimated future cost and total estimated cost on each case,
segregated in a manner as agreed upon.
II. Service Fees
A. Augusta/Richmond County shall pay for all services of attorney used in
handling of Augusta/Richmond County claims.
B. Augusta/Richmond County shall pay for the cost of any outside investigations
required in handling of any claim. Hilb, Rogal & Hamilton Company of
Savannah, Inc. will not assign any outside investigation without first obtaining
the approval of Augusta/Richmond County.
C. Claims Administration service fees for one year shall be $49,900.00.
III.
Terms of Agreement
A. The term of this Agreement shall be for a period of 2 years effective January 1,
2000 until January 1, 2002. Either party may terminate the Agreement by
giving sixty (60) days written notice of such termination, and in such an event,
Augusta/Richmond County shall pay Hilb, Rogal & Hamilton Company of
Savannah, Inc. a pro-rated portion of the annual fees from the termination date,
based on the fee schedule in effect at the time of cancellation.

IV. General Terms and Conditions
A. Practices of the Law Excluded
The services to be performed in connection with this Agreement shall
specifically exclude any which now or in the future may be deemed to be the
practice of the Law.
B. Augusta/Richmond County shall make available, at all times, funds upon
which Hilb, Rogal & Hamilton Company of Savannah, Inc. can draw upon at
any time to make payments on claims, within discretionary limits, and all
allocated loss expenses and awards and claims in excess of discretionary limits
for which it has approval of Augusta/Richmond County.
C. Hilb, Rogal & Hamilton Company of Savannah, Inc. will not assign any of the
rights or benefits arising out of this Agreement without first obtaining written
consent of Augusta/Richmond County.
D.
All claim files, documents and data of every kind prepared in whole or in part
by Hilb, Rogal & Hamilton Company of Savannah, Inc. under this Agreement
shall become the sole property of Augusta/Richmond County and shall be
delivered to Augusta/Richmond County upon request or termination of the
Agreement. Augusta/Richmond County shall have full and unlimited right and
title thereto of such documents. All of the foregoing, together with all
knowledge otherwise acquired by Hilb, Rogal & Hamilton Company of
Savannah, Inc. during the term hereof relating to Augusta/Richmond County's
business shall be deemed confidential information. The Administrator shall not
disclose or use directly or indirectly at any time, either during or subsequent to
the term hereof any confidential information, knowledge or data of
Augusta/Richmond County other than that necessary for the performance of
this Agreement, unless it shall first secure the written consent of
Augusta/Richmond County.
E.
This Agreement contains the entire understanding of the parties. No statement
of any officer, agent, or employee of Augusta/Richmond County shall modify
the terms of this Agreement or the rights and obligations of Augusta/Richmond
County hereunder.
