SECOND AMENDMENT TO
MEMORANDUM OF UNDERSTANDING

January 1, 2006 - December 31, 2006
This Second Amendment to the Memorandum of Understanding (MOU)
executed by a:Q.d between the Parties on January 1, 2006 is made and entered into on the
17th day of ApriL 2007, by and between AUGUSTA, GEORGIA, (hereinafter referred
to as "GRANTEE") and the Augusta-Richmond County Recreation Department
(hereinafter referred to as the "SUBRECIPIENT").
WHEREAS, GRANTEE desires to amend the ORIGINAL MEMORANDUM OF
UNDERSTANDING to allow the SUB-RECIPIENT to effectively and efficiently
administer its HENRY BRJ;GHAM SENIOR CENTER PROJECT;
WHEREAS, SUB-RECIPIENT has determined that this amendment is in its best
interest and has agreed to the said amendment;
NOW THEREFORE, in exchange for their mutual good and valuable
consideration, the receipt and sufficiency of which each PARTY acknowledges, and
intending to be legally bound, GRANTEE and SUB-RECIPIENT agree to amend said
MEMORANDUM OF UNDERSTANDING as follows:

1. Paragraph (4) of the Original Memorandum of Understanding shall be
stricken in its entirety and shall be replaced with the following language:
GRANT FUNDS
"Funding for this Project has been approved by the Augusta-Richmond
County Commission and the u.s. Department of Housing and Urban
Development in the amount of $255,000. The total cost of this project
is estimated to be $255,000. Any costs exceeding the grant amount will
be the responsibility of the SUB-RECIPIENT. The GRANTEE shall be
responsible for paying the contractor for work performed under this
MOU for the SUB-RECIPIENT."

"On January 1, 2006 Commission approved a CDBG in the amount of $175,000. The
amount of funds already expended to date is $195,000.00. On April 17, 2007
Commission approved an additional CDBG in the amount of $60,000. The total amount
funded is $255,000.00. See funding sources in the chart below.
Total construction cost and grant amount awarded: $255,000.00.
